By acknowledging that you have read this Agreement and accepting access to this password protected "dealer/distributor only" portion of the garmin.com website, you agree that all information, documents and files (the "Information") disclosed to you through this portion of the garmin.com website by Garmin International, Inc. ("Garmin") or any of its affiliated companies shall be governed by the following:

1. You understand and agree that the Information is supplied to you for your own internal use as a Garmin dealer and will use the Information only for such purpose.
2. You agree not to disclose the Information to third parties except as required by law.
3. You agree to protect the Information by using the same degree of care to prevent unauthorized use, dissemination or publication of the Information as you use to protect your own confidential information, provided that in no case will you use less than a reasonable degree of care.
4. In the event of violation of this Agreement, Garmin may terminate your dealer or distributor agreement and Garmin shall have the right to seek appropriate relief (including injunctive relief) from a court of competent jurisdiction.
5. This Agreement is made under and shall be construed according to the laws of the State of Kansas, U.S.A., without regard to its conflict of laws provisions.
