Danish group Unibio aims to be a world leader in its field, it is understandable then that the group has been very busy since they last caught up with Proactive Investors.
Unibio, which has a process that uses methane gas to produce animal feed, is currently advancing operations to complete and start-up a new plant in the coming months.
Chief executive Henkrik Busch Larsen gave Proactive Investors the lowdown on the group’s growth strategy and he highlights that capturing just 1% of the animal feed protein production market could deliver hundreds of millions of dollars in revenues.
Unibio is now at the beginging of its foray into the huge US$500bn - or 1bn tonne per year - market and, as Busch points out, the opening of the plant and the pending start of deliveries to the company’s first client will mark an important catalyst.
A public listing is still on the agenda for Unibio, though in the short term it is seeking to raise capital in a pre-IPO funding round.

High net worth investors are losing value by not seeking out shares of hot pre-IPO technology companies, said Atish Davda, CEO of EquityZen. Davda added that EquityZen offers accredited investors the opportunity to gain exposure to the hottest private technology companies before they are bid up in the public markets. What is An Initial Coin Offering?
ICO is the abbreviation of Initial Coin Offering. It means that someone offers investors some units of a new cryptocurrency or crypto-token in exchange against cryptocurrencies like Bitcoin or Ethereum. Since 2013 ICOs are often used to fund the development of new cryptocurrencies. The pre-created token can be easily sold and traded on all cryptocurrency exchanges if there is demand for them.
With the success of Ethereum ICO are more and more used to fund the development of a crypto project by releasing token which is somehow integrated into the project. With this turn, ICO has become a tool that could revolutionize not just currency but the whole financial system. ICO token could become the securities and shares of tomorrow.
The Initial Coin Offering phenomenon has started to play a significant role in the crypto-startup world. Lately, more and more experts are looking to decentralized crowd-funding methods with interest.

Lesson Outline:
We get a lot of questions about "IPO valuation" or "IPO modeling," but the truth is that it’s really simple because you don't, in fact, "value" a company in an IPO.
Instead, you simply value a company and then decide how its valuation might be different in an IPO (e.g., no private company discount).
Step 1: Assumptions & Setup
You almost always start an IPO model with an idea of how much in funding the company wants to raise, and the multiples it may be valued at (based on public comps).
The multiples used vary by industry, but 1-year forward P / E multiples are very common (e.g., go to the next full fiscal year and assume a multiple for that projected full-year figure).
Here, we’d pick forward multiples from similar, profitable social networking / mobile messaging companies (not covered in this tutorial in the interest of time).
Amount of Capital to Raise: Very discretionary and it comes down to the company's plans, how many existing shareholders want to sell, whether it's PE or VC-backed, etc.
This is often set to 20-40% of a company's value; common to sell ~1/4 or ~1/3 of the company in a public offering, though that also varies.
Step 2: Trading vs. Pricing and the Pricing Discount
You apply the assumed multiple to the company's relevant metric, so Forward Net Income in this case, which gets you the "Post-Money Equity Value @ Trading."
This is what the company's market cap should be after it has raised the capital and is trading on the stock market.
So we can then calculate the Post-Money Equity Value at Trading (the market rate) vs. Pricing (the discounted rate that institutional investors get).
And then calculate the Implied Offering Price per Share based on this - take this value, subtract the funds raised, and divide by the company's current share count.
Step 3: Determining the Primary vs. Secondary Shares and the "Greenshoe" (Overallotment) Provision
"Primary Shares" are newly created shares that represent actual capital being raised in the deal - this capital then goes to the company in the form of cash.
"Secondary Shares" represent existing investors selling their stakes to new investors (usually large institutions like Fidelity). No capital is raised here.
Formulas: Always determine the Primary Shares first, based on the Post-Money Equity Value @ Pricing and/or the amount of capital raised… and then figure out the Secondary Shares in relation to that.
Have to also figure out split between "Base Offering" and "Greenshoe" - "Greenshoe" is an option to issue even more shares if demand is strong enough. Used for cases where the company wants to keep the same offering price, but simply raise more capital if more investors are interested.
Very commonly set to ~15% in offerings in developed markets.
Step 4: Net Proceeds to Issuer
Look at Total Offering Size first (Primary + Secondary + Overallotment) and then subtract out fees.
Underwriting Discount: Banks used to, and sometimes still do, buy a portion of the company's stock as "insurance" in case the company can't sell it to anyone else… so this is supposed to compensate them for the risk of holding the stock temporarily, in case it can't find any buyers.
Bigger deal = lower fee % in most cases.
% Company Sold: Based on Primary Proceeds and Post-Money Equity Value @ Pricing - how much the company sold of itself just before it started trading publicly.
Step 5: Valuation Multiples
We move from Equity Value to Enterprise Value as we normally do… but we must factor in the cash raised in the IPO now!
Equity Value implicitly reflects this cash, so it must be subtracted when calculating the new Enterprise Value.
Would have to compare these multiples to those of the public comps to decide whether or not they look reasonable.

As the name suggests, an Initial Public Offering, or IPO, is the process by which a company goes from private to public by selling stocks to the general public.
One of the main reasons companies go public is to raise funds and have more liquidity on hand. They can reinvest the capital in the business’ infrastructure or expand the company. Another added benefit of an IPO is that you can increase your chances of attracting top management candidates by offering them perks such as stock option plans. Not to mention that being listed in major stock exchange markets like Nasdaq or NYSE gives credibility.
Once the company goes public, the stocks the investors bought are no longer “paper money.” They now can sell or liquidate their stock in exchange for real money.
Let’s take Snapchat as an example since they went public recently, and managed to raise $3.4 billion at a valuation of $24 billion. They priced their IPO at $17, meaning that anyone in the world can now go to an online brokerage site, such as TD Ameritrade or ETrade and buy shares in Snapchat under the trading symbol SNAP.
In reality, however, the IPO process isn’t very democratic, and it favors large institutional investors (venture capital, hedge funds, private equity and ultra-rich individuals known as angel investors).
We can illustrate this by going over the Snapchat price before the IPO.
Snapchat Valuation
If we look at data from Pitchbook, we can see that the Seed Round (Series A1) valuation for Snapchat was only $5.3 million. Compare this to the post-IPO valuation of $24 billion.
Snapchats Cap Table
Looking at Snapchat’s cap table, we see that their pre-IPO price for Series A1 was $0.01, and $0.21 for Series A. Compare that versus the current post-IPO price of $17.00!!!! This is exactly how startup founders become billionaires, and how early investors become millionaires!
To put things in perspective, a Series A1 investor received a 169,900% (1,699x) return on their investment after five years, when Snapchat had an IPO. A Series A investor received a 7,900% (79x) return on their investment after five years.
If you had invested $100 in Snapchat’s Series A1 or A, your $100 would now be $169,900 (Series A1), and $7,900 (Series A).
If you had invested $1,000, your money would now be $1.7 million (Series A1), and $79,000 (Series A).
If you had invested $10,000, your money would now be $17 million (Series A1), and $790,000 (Series A).
This is what Angel Investors and Venture Capital funds do. Except instead of investing $10,000, the average Angel Investor invests a minimum of $25,000, and the average Venture capital fund invests $3 million.
When it comes to raising money using traditional investment methods, startups are incentivized to keep the number of investors as low as possible, resulting in only people with the most money being able to invest.
As a result, regular people who don’t have a minimum of $25,000, miss out on these opportunities of making money pre-IPO and have to wait until a private company goes public to buy its shares.
IPOs are not without risks, though. More often than not, there is little data on the company so it can be hard for investors, especially angel investors (rich individual investors), to predict how the stock will behave in its initial day of trading and the near future. Add to this the fact that most IPOs are for companies that are going through provisional growth periods and you’ll understand the uncertainty that lingers above their future value.
Maybe these are some of the reasons why the number of companies going public has declined in the first half of 2016. Or maybe it’s because change is upon us.

Bitcoin Group
Bitcoin Group is a multinational bitcoin mining company headquartered in Melbourne, Australia. The company was founded during 2014 as a result of a partnership between Sam Lee, Allan Guo and Ryan Xu. The company announced that it would pursue an initial public offering (IPO) on the Australian Securities Exchange (ASX) in October 2014, however it was delayed due to two stop orders from the Australian Securities and Investments Commission (ASIC). Bitcoin Group is currently in the process of making a third attempt to list on the ASX through an IPO, it is expected to occur in January 2016 due to ASIC's request for an Independent Expert Report. The company maintains it is the first digital currency company in the world to IPO as it has avoided going through so-called 'backdoor listings' that have been undertaken by other listed digital currency companies.

Ripple (company)
The company Ripple is the creator and a developer of the Ripple payment protocol and exchange network. Originally named Opencoin and renamed Ripple Labs until 2015, the company was founded in 2012 and is based in San Francisco, California.
History
Ryan Fugger conceived Ripple in 2004 after working on a local exchange trading system in Vancouver. The intent was to create a monetary system that was decentralized and could effectively empower individuals and communities to create their own money. Fugger later built the first iteration of this system, RipplePay.com. Concurrently, in May 2011, Jed McCaleb began developing a digital currency system in which transactions were verified by consensus among members of the network, rather than by the mining process used by Bitcoin. In August 2012, Jed McCaleb hired Chris Larsen and they approached Ryan Fugger with their digital currency idea. After discussions with McCaleb and long-standing members of the Ripple community, Fugger handed over the reins. In September 2012, Chris Larsen and Jed McCaleb co-founded the corporation OpenCoin.

Initial public offering
Initial public offering (IPO) or stock market launch is a type of public offering in which shares of a company usually are sold to institutional investors that in turn, sell to the general public, on a securities exchange, for the first time. Through this process, a private company transforms into a public company. Initial public offerings are mostly used by companies to raise the expansion of capital, possibly to monetize the investments of early private investors, and to become publicly traded enterprises. A company selling shares is never required to repay the capital to its public investors. After the IPO, when shares trade freely in the open market, money passes between public investors. Although IPO offers many advantages, there are also significant disadvantages, chief among these are the costs associated with the process and the requirement to disclose certain information that could prove helpful to competitors. The IPO process is colloquially known as going public.

Instead, you simply value a company and then decide how its valuation might be different in an IPO (e.g., no private company discount). Step 1: Assumptions & Setup You almost always start an IPO model with an idea of how much in funding the company wants to raise, and the multiples it may be valued at (based on public comps). The multiples used vary by industry, but 1-year forward P / E multiples are very common (e.g., go to the next full fiscal year and assume a multiple for that projected full-year figure). Here, we’d pick forward multiples from similar, profitable social networking / mobile messaging companies (not covered in this tutorial in the interest of time). Amount of Capital to Raise: Very discretionary and it comes down to the company's plans, how many existing shareholders want to sell, whether it's PE or VC-backed, etc. This is often set to 20-40% of a company's value; common to sell ~1/4 or ~1/3 of the company in a public offering, though that also varies. Step 2: Trading vs. Pricing and the Pricing Discount You apply the assumed multiple to the company's relevant metric, so Forward Net Income in this case, which gets you the "Post-Money Equity Value @ Trading." This is what the company's market cap should be after it has raised the capital and is trading on the stock market. So we can then calculate the Post-Money Equity Value at Trading (the market rate) vs. Pricing (the discounted rate that institutional investors get). And then calculate the Implied Offering Price per Share based on this - take this value, subtract the funds raised, and divide by the company's current share count. Step 3: Determining the Primary vs. Secondary Shares and the "Greenshoe" (Overallotment) Provision "Primary Shares" are newly created shares that represent actual capital being raised in the deal - this capital then goes to the company in the form of cash. "Secondary Shares" represent existing investors selling their stakes to new investors (usually large institutions like Fidelity). No capital is raised here. Formulas: Always determine the Primary Shares first, based on the Post-Money Equity Value @ Pricing and/or the amount of capital raised… and then figure out the Secondary Shares in relation to that. Have to also figure out split between "Base Offering" and "Greenshoe" - "Greenshoe" is an option to issue even more shares if demand is strong enough. Used for cases where the company wants to keep the same offering price, but simply raise more capital if more investors are interested. Very commonly set to ~15% in offerings in developed markets. Step 4: Net Proceeds to Issuer Look at Total Offering Size first (Primary + Secondary + Overallotment) and then subtract out fees. Underwriting Discount: Banks used to, and sometimes still do, buy a portion of the company's stock as "insurance" in case the company can't sell it to anyone else… so this is supposed to compensate them for the risk of holding the stock temporarily, in case it can't find any buyers. Bigger deal = lower fee % in most cases. % Company Sold: Based on Primary Proceeds and Post-Money Equity Value @ Pricing - how much the company sold of itself just before it started trading publicly. Step 5: Valuation Multiples We move from Equity Value to Enterprise Value as we normally do… but we must factor in the cash raised in the IPO now! Equity Value implicitly reflects this cash, so it must be subtracted when calculating the new Enterprise Value. Would have to compare these multiples to those of the public comps to decide whether or not they look reasonable. As the name suggests, an Initial Public Offering, or IPO, is the process by which a company goes from private to public by selling stocks to the general public. One of the main reasons companies go public is to raise funds and have more liquidity on hand. They can reinvest the capital in the business’ infrastructure or expand the company. Another added benefit of an IPO is that you can increase your chances of attracting top management candidates by offering them perks such as stock option plans. Not to mention that being listed in major stock exchange markets like Nasdaq or NYSE gives credibility. Once the company goes public, the stocks the investors bought are no longer “paper money.” They now can sell or liquidate their stock in exchange for real money. Let’s take Snapchat as an example since they went public recently, and managed to raise $3.4 billion at a valuation of $24 billion. They priced their IPO at $17, meaning that anyone in the world can now go to an online brokerage site, such as TD Ameritrade or ETrade and buy shares in Snapchat under the trading symbol SNAP. In reality, however, the IPO process isn’t very democratic, and it favors large institutional investors (venture capital, hedge funds, private equity and ultra-rich individuals known as angel investors). We can illustrate this by going over the Snapchat price before the IPO. Snapchat Valuation If we look at data from Pitchbook, we can see that the Seed Round (Series A1) valuation for Snapchat was only $5.3 million. Compare this to the post-IPO valuation of $24 billion. Snapchats Cap Table Looking at Snapchat’s cap table, we see that their pre-IPO price for Series A1 was $0.01, and $0.21 for Series A. Compare that versus the current post-IPO price of $17.00!!!! This is exactly how startup founders become billionaires, and how early investors become millionaires! To put things in perspective, a Series A1 investor received a 169,900% (1,699x) return on their investment after five years, when Snapchat had an IPO. A Series A investor received a 7,900% (79x) return on their investment after five years. If you had invested $100 in Snapchat’s Series A1 or A, your $100 would now be $169,900 (Series A1), and $7,900 (Series A). If you had invested $1,000, your money would now be $1.7 million (Series A1), and $79,000 (Series A). If you had invested $10,000, your money would now be $17 million (Series A1), and $790,000 (Series A). This is what Angel Investors and Venture Capital funds do. Except instead of investing $10,000, the average Angel Investor invests a minimum of $25,000, and the average Venture capital fund invests $3 million. When it comes to raising money using traditional investment methods, startups are incentivized to keep the number of investors as low as possible, resulting in only people with the most money being able to invest. As a result, regular people who don’t have a minimum of $25,000, miss out on these opportunities of making money pre-IPO and have to wait until a private company goes public to buy its shares. IPOs are not without risks, though. More often than not, there is little data on the company so it can be hard for investors, especially angel investors (rich individual investors), to predict how the stock will behave in its initial day of trading and the near future. Add to this the fact that most IPOs are for companies that are going through provisional growth periods and you’ll understand the uncertainty that lingers above their future value. Maybe these are some of the reasons why the number of companies going public has declined in the first half of 2016. Danish group Unibio aims to be a world leader in its field, it is understandable then that the group has been very busy since they last caught up with Proactive Investors. Unibio, which has a process that uses methane gas to produce animal feed, is currently advancing operations to complete and start-up a new plant in the coming months. Danish group Unibio aims to be a world leader in its field, it is understandable then that the group has been very busy since they last caught up with Proactive Investors.
Unibio, which has a process that uses methane gas to produce animal feed, is currently advancing operations to complete and start-up a new plant in the coming months.
Chief executive Henkrik Busch Larsen gave Proactive Investors the lowdown on the group’s growth strategy and he highlights that capturing just 1% of the animal feed protein production market could deliver hundreds of millions of dollars in revenues.
Unibio is now at the beginging of its foray into the huge US$500bn - or 1bn tonne per year - market and, as Busch points out, the opening of the plant and the pending start of deliveries to the company’s first client will mark an important catalyst.
A public listing is still on the agenda for Unibio, though in the short term it is seeking to raise capital in a pre-IPO funding round.

Lesson Outline:
We get a lot of questions about "IPO valuation" or "IPO modeling," but the truth is that it’s really simple because you don't, in fact, "value" a company in an IPO.
Instead, you simply value a company and then decide how its valuation might be different in an IPO (e.g., no private company discount).
Step 1: Assumptions & Setup
You almost always start an IPO model with an idea of how much in funding the company wants to raise, and the multiples it may be valued at (based on public comps).
The multiples used vary by industry, but 1-year forward P / E multiples are very common (e.g., go to the next full fiscal year and assume a multiple for that projected full-year figure).
Here, we’d pick forward multiples from similar, profitable social networking / mobile messaging companies (not covered in this tutorial in the interest of time).
Amount of Capital to Raise: Very discretionary and it comes down to the company's plans, how many existing shareholders want to sell, whether it's PE or VC-backed, etc.
This is often set to 20-40% of a company's value; common to sell ~1/4 or ~1/3 of the company in a public offering, though that also varies.
Step 2: Trading vs. Pricing and the Pricing Discount
You apply the assumed multiple to the company's relevant metric, so Forward Net Income in this case, which gets you the "Post-Money Equity Value @ Trading."
This is what the company's market cap should be after it has raised the capital and is trading on the stock market.
So we can then calculate the Post-Money Equity Value at Trading (the market rate) vs. Pricing (the discounted rate that institutional investors get).
And then calculate the Implied Offering Price per Share based on this - take this value, subtract the funds raised, and divide by the company's current share count.
Step 3: Determining the Primary vs. Secondary Shares and the "Greenshoe" (Overallotment) Provision
"Primary Shares" are newly created shares that represent actual capital being raised in the deal - this capital then goes to the company in the form of cash.
"Secondary Shares" represent existing investors selling their stakes to new investors (usually large institutions like Fidelity). No capital is raised here.
Formulas: Always determine the Primary Shares first, based on the Post-Money Equity Value @ Pricing and/or the amount of capital raised… and then figure out the Secondary Shares in relation to that.

Lesson Outline:
We get a lot of questions about "IPO valuation" or "IPO modeling," but the truth is that it’s really simple because you don't, in fact, "value" a company in an IPO.
Instead, you simply value a company and then decide how its valuation might be different in an IPO (e.g., no private company discount).
Step 1: Assumptions & Setup
You almost always start an IPO model with an idea of how much in funding the company wants to raise, and the multiples it may be valued at (based on public comps).
The multiples used vary by industry, but 1-year forward P / E multiples are very common (e.g., go to the next full fiscal year and assume a multiple for that projected full-year figure).
Here, we’d pick forward multiples from similar, profitable social networking / mobile messaging companies (not covered in this tutorial in the interest of time).
Amount of Capital to Raise: Very discretionary and it comes down to the company's plans, how many existing shareholders want to sell, whether it's PE or VC-backed, etc.
This is often set to 20-40% of a company's value; common to sell ~1/4 or ~1/3 of the company in a public offering, though that also varies.
Step 2: Trading vs. Pricing and the Pricing Discount
You apply the assumed multiple to the company's relevant metric, so Forward Net Income in this case, which gets you the "Post-Money Equity Value @ Trading."
This is what the company's market cap should be after it has raised the capital and is trading on the stock market.
So we can then calculate the Post-Money Equity Value at Trading (the market rate) vs. Pricing (the discounted rate that institutional investors get).
And then calculate the Implied Offering Price per Share based on this - take this value, subtract the funds raised, and divide by the company's current share count.
Step 3: Determining the Primary vs. Secondary Shares and the "Greenshoe" (Overallotment) Provision
"Primary Shares" are newly created shares that represent actual capital being raised in the deal - this capital then goes to the company in the form of cash.
"Secondary Shares" represent existing investors selling their stakes to new investors (usually large institutions like Fidelity). No capital is raised here.
Formulas: Always determine the Primary Shares first, based on the Post-Money Equity Value @ Pricing and/or the amount of capital raised… and then figure out the Secondary Shares in relation to that.

As the name suggests, an Initial Public Offering, or IPO, is the process by which a company goes from private to public by selling stocks to the general public.
One of the main reasons companies go public is to raise funds and have more liquidity on hand. They can reinvest the capital in the business’ infrastructure or expand the company. Another added benefit of an IPO is that you can increase your chances of attracting top management candidates by offering them perks such as stock option plans. Not to mention that being listed in major stock exchange markets like Nasdaq or NYSE gives credibility.
Once the company goes public, the stocks the investors bought are no longer “paper money.” They now can sell or liquidate their stock in exchange for real money.
Let’s take Snapchat as an example since they went public recently, and managed to raise $3.4 billion at a valuation of $24 billion. They priced their IPO at $17, meaning that anyone in the world can now go to an online brokerage site, such as TD Ameritrade or ETrade and buy shares in Snapchat under the trading symbol SNAP.
In reality, however, the IPO process isn’t very democratic, and it favors large institutional investors (venture capital, hedge funds, private equity and ultra-rich individuals known as angel investors).
We can illustrate this by going over the Snapchat price before the IPO.
Snapchat Valuation
If we look at data from Pitchbook, we can see that the Seed Round (Series A1) valuation for Snapchat was only $5.3 million. Compare this to the post-IPO valuation of $24 billion.

Looking at Snapchat’s cap table, we see that their pre-IPO price for Series A1 was $0.01, and $0.21 for Series A. Compare that versus the current post-IPO price of $17.00!!!! This is exactly how startup founders become billionaires, and how early investors become millionaires!
To put things in perspective, a Series A1 investor received a 169,900% (1,699x) return on their investment after five years, when Snapchat had an IPO. A Series A investor received a 7,900% (79x) return on their investment after five years.
If you had invested $100 in Snapchat’s Series A1 or A, your $100 would now be $169,900 (Series A1), and $7,900 (Series A).
If you had invested $1,000, your money would now be $1.7 million (Series A1), and $79,000 (Series A).
If you had invested $10,000, your money would now be $17 million (Series A1), and $790,000 (Series A).
This is what Angel Investors and Venture Capital funds do. Except instead of investing $10,000, the average Angel Investor invests a minimum of $25,000, and the average Venture capital fund invests $3 million.
When it comes to raising money using traditional investment methods, startups are incentivized to keep the number of investors as low as possible, resulting in only people with the most money being able to invest.
As a result, regular people who don’t have a minimum of $25,000, miss out on these opportunities of making money pre-IPO and have to wait until a private company goes public to buy its shares.
IPOs are not without risks, though. More often than not, there is little data on the company so it can be hard for investors, especially angel investors (rich individual investors), to predict how the stock will behave in its initial day of trading and the near future. Add to this the fact that most IPOs are for companies that are going through provisional growth periods and you’ll understand the uncertainty that lingers above their future value.
Maybe these are some of the reasons why the number of companies going public has declined in the first half of 2016. Or maybe it’s because change is upon us.

Unlike bitcoin, ripple has a company behind it -- Ripple Labs -- that has been instrumental in developing the open-source payment network. . Many investors who are optimistic about blockchain technology but dubious about trading in cryptocurrencies themselves want opportunities to invest in the companies behind tokens like ripple, and that's drawing speculation that Ripple Labs could file to go public in the coming year. Let's take a closer look at Ripple Labs and whether it would make a good IPO candidate in 2018.. INSIDERS MIGHT WANT A RIPPLE IPO. Ripple Labs has attracted high-profile interest during its short history. Just after its founding in 2012, Ripple Labs did a private placement, raising more than $2 million in a seed round of funding in April 2013. . Influential investors such as Andreessen Horowitz, Lightspeed Venture Partners, and a fund managed by Peter Thiel's Founders Fund participated in the seed round.. Subsequent funding rounds brought in even more investors. Later in 2013, Google Ventures and IDG Capital Partners were among those investing undisclosed figures in Ripple Labs.. By late 2014, Ripple Labs had announced a $32 million deal for further funding, issuing common stock to existing investors and putting a $100 million valuation on the business. . The deal closed in late 2015, with 28 investors eventually participating, including CME Group (NASDAQ:CME), Seagate Technology (NASDAQ:STX), and a fund associated with Banco Santander's (NYSE:SAN) U.K. unit.. The most recent round in 2016 brought in $55 million. We get a lot of questions about "IPO valuation" or "IPO modeling," but the truth is that it’s really simple because you don't, in fact, "value" a company in an IPO.
Instead, you simply value a company and then decide how its valuation might be different in an IPO (e.g., no private company discount).
Step 1: Assumptions & Setup
You almost always start an IPO model with an idea of how much in funding the company wants to raise, and the multiples it may be valued at (based on public comps).
The multiples used vary by industry, but 1-year forward P / E multiples are very common (e.g., go to the next full fiscal year and assume a multiple for that projected full-year figure).
Here, we’d pick forward multiples from similar, profitable social networking / mobile messaging companies (not covered in this tutorial in the interest of time).
Amount of Capital to Raise: Very discretionary and it comes down to the company's plans, how many existing shareholders want to sell, whether it's PE or VC-backed, etc.
This is often set to 20-40% of a company's value; common to sell ~1/4 or ~1/3 of the company in a public offering, though that also varies.
Step 2: Trading vs. Pricing and the Pricing Discount
You apply the assumed multiple to the company's relevant metric, so Forward Net Income in this case, which gets you the "Post-Money Equity Value @ Trading."
This is what the company's market cap should be after it has raised the capital and is trading on the stock market.
So we can then calculate the Post-Money Equity Value at Trading (the market rate) vs. Pricing (the discounted rate that institutional investors get).
And then calculate the Implied Offering Price per Share based on this - take this value, subtract the funds raised, and divide by the company's current share count.
Step 3: Determining the Primary vs. Secondary Shares and the "Greenshoe" (Overallotment) Provision
"Primary Shares" are newly created shares that represent actual capital being raised in the deal - this capital then goes to the company in the form of cash.
"Secondary Shares" represent existing investors selling their stakes to new investors (usually large institutions like Fidelity). No capital is raised here.
Formulas: Always determine the Primary Shares first, based on the Post-Money Equity Value @ Pricing and/or the amount of capital raised… and then figure out the Secondary Shares in relation to that.
Have to also figure out split between "Base Offering" and "Greenshoe" - "Greenshoe" is an option to issue even more shares if demand is strong enough. Used for cases where the company wants to keep the same offering price, but simply raise more capital if more investors are interested.
Very commonly set to ~15% in offerings in developed markets.
Step 4: Net Proceeds to Issuer
Look at Total Offering Size first (Primary + Secondary + Overallotment) and then subtract out fees.
Underwriting Discount: Banks used to, and sometimes still do, buy a portion of the company's stock as "insurance" in case the company can't sell it to anyone else… so this is supposed to compensate them for the risk of holding the stock temporarily, in case it can't find any buyers.
Bigger deal = lower fee % in most cases.
% Company Sold: Based on Primary Proceeds and Post-Money Equity Value @ Pricing - how much the company sold of itself just before it started trading publicly.
Step 5: Valuation Multiples
We move from Equity Value to Enterprise Value as we normally do… but we must factor in the cash raised in the IPO now!
Equity Value implicitly reflects this cash, so it must be subtracted when calculating the new Enterprise Value.
Would have to compare these multiples to those of the public comps to decide whether or not they look reasonable.

If the profit vs loss ratio is 2:1 we will take the trade. I teach both day trading strategies and swing trading strategies. For day trading we focus primarily on 5min charts while swing traders focus more on daily charts. The patterns in general are the same. I teach traders how to find patterns in real-time including Bull Flags, Bear Flags, Flat Tops, Flat Bottoms, and Rubber Band Reversal Setups.

A trading strategy requires details on the time of day you take these trades, what type of stocks you like to trade, what percentage to success you expect. All our students are required to papertrade and prove to me that they can trade on a percentage of success that is high enough to justify real trading. If you can’t make money in a demo account, you have no business trading a real account. We have saved students hundreds of thousands of dollars by encouraging paper trading while they are learning. The market will be here for a long time to come. The important thing for you right now is to build up the skills to trade the market successfully. You will learn that once you possess the skills to consistently make $20.00/day all it takes to make $200 is larger share size. Then all it takes to make $2000 is again, larger share size. The tools and practice of valuation is intimidating to most laymen, who assume that they do not have the skills and the capability to value companies. In this talk, I propose to lay out four simple propositions about valuation. The first is that valuation is not an extension of accounting, insofar as it is not about recording the past but forecasting the future. The second is that valuation is not just modeling, where people put numbers into Excel spreadsheets and pump out values. A good valuation requires a narrative that binds the numbers together. The third is that valuing an asset or business is very different from pricing that asset or business, a difference that is often blurred in practice. The fourth is that luck plays a disproportionate role in whether you make money off your valuations. Put differently, you can do everything right and still walk away with nothing or worse at the end.

In business, a takeover is the purchase of one company (the target) by another (the acquirer, or bidder). In UK, the term refers to the acquisition of a public company whose shares are listed on a stock exchange, in contrast to the acquisition of a private company.
A "friendly takeover" is an acquisition which is approved by the management. Before a bidder makes an offer for another company, it usually first informs the company's board of directors. In an ideal world, if the board feels that accepting the offer serves the shareholders better than rejecting it, it recommends the offer be accepted by the shareholders.
In a private company, because the shareholders and the board are usually the same people or closely connected with one another, private acquisitions are usually friendly. If the shareholders agree to sell the company, then the board is usually of the same mind or sufficiently under the orders of the equity shareholders to cooperate with the bidder. This point is not relevant to the UK concept of takeovers, which always involve the acquisition of a public company.
A "hostile takeover" allows a suitor to take over a target company whose management is unwilling to agree to a merger or takeover. A takeover is considered "hostile" if the target company's board rejects the offer, but the bidder continues to pursue it, or the bidder makes the offer directly after having announced its firm intention to make an offer. Development of the hostile tender is attributed to Louis Wolfson.
A hostile takeover can be conducted in several ways. A tender offer can be made where the acquiring company makes a public offer at a fixed price above the current market price. Tender offers in the United States are regulated by the Williams Act. An acquiring company can also engage in a proxy fight, whereby it tries to persuade enough shareholders, usually a simple majority, to replace the management with a new one which will approve the takeover. Another method involves quietly purchasing enough stock on the open market, known as a "creeping tender offer", to effect a change in management. In all of these ways, management resists the acquisition, but it is carried out anyway.
The main consequence of a bid being considered hostile is practical rather than legal. If the board of the target cooperates, the bidder can conduct extensive due diligence into the affairs of the target company, providing the bidder with a comprehensive analysis of the target company's finances. In contrast, a hostile bidder will only have more limited, publicly available information about the target company available, rendering the bidder vulnerable to hidden risks regarding the target company's finances. An additional problem is that takeovers often require loans provided by banks in order to service the offer, but banks are often less willing to back a hostile bidder because of the relative lack of target information which is available to them.
A "reverse takeover" is a type of takeover where a private company acquires a public company. This is usually done at the instigation of the larger, private company, the purpose being for the private company to effectively float itself while avoiding some of the expense and time involved in a conventional IPO. However, in the UK under AIM rules, a reverse take-over is an acquisition or acquisitions in a twelve-month period which for an AIM company would:
exceed 100% in any of the class tests; or
result in a fundamental change in its business, board or voting control; or
in the case of an investing company, depart substantially from the investing strategy stated in its admission document or, where no admission document was produced on admission, depart substantially from the investing strategy stated in its pre-admission announcement or, depart substantially from the investing strategy.
An individual or organization, sometimes known as corporate raider, can purchase a large fraction of the company's stock and, in doing so, get enough votes to replace the board of directors and the CEO. With a new agreeable management team, the stock is a much more attractive investment, which would likely result in a price rise and a profit for the corporate raider and the other shareholders.

If the shareholders agree to sell the company, then the board is usually of the same mind or sufficiently under the orders of the equity shareholders to cooperate with the bidder. This point is not relevant to the UK concept of takeovers, which always involve the acquisition of a public company.
A "hostile takeover" allows a suitor to take over a target company whose management is unwilling to agree to a merger or takeover. A takeover is considered "hostile" if the target company's board rejects the offer, but the bidder continues to pursue it, or the bidder makes the offer directly after having announced its firm intention to make an offer. Development of the hostile tender is attributed to Louis Wolfson.
A hostile takeover can be conducted in several ways. A tender offer can be made where the acquiring company makes a public offer at a fixed price above the current market price. Tender offers in the United States are regulated by the Williams Act. An acquiring company can also engage in a proxy fight, whereby it tries to persuade enough shareholders, usually a simple majority, to replace the management with a new one which will approve the takeover. Another method involves quietly purchasing enough stock on the open market, known as a "creeping tender offer", to effect a change in management. In all of these ways, management resists the acquisition, but it is carried out anyway.
The main consequence of a bid being considered hostile is practical rather than legal. If the board of the target cooperates, the bidder can conduct extensive due diligence into the affairs of the target company, providing the bidder with a comprehensive analysis of the target company's finances. In contrast, a hostile bidder will only have more limited, publicly available information about the target company available, rendering the bidder vulnerable to hidden risks regarding the target company's finances. An additional problem is that takeovers often require loans provided by banks in order to service the offer, but banks are often less willing to back a hostile bidder because of the relative lack of target information which is available to them.
A "reverse takeover" is a type of takeover where a private company acquires a public company. This is usually done at the instigation of the larger, private company, the purpose being for the private company to effectively float itself while avoiding some of the expense and time involved in a conventional IPO. However, in the UK under AIM rules, a reverse take-over is an acquisition or acquisitions in a twelve-month period which for an AIM company would:
exceed 100% in any of the class tests; or
result in a fundamental change in its business, board or voting control; or
in the case of an investing company, depart substantially from the investing strategy stated in its admission document or, where no admission document was produced on admission, depart substantially from the investing strategy stated in its pre-admission announcement or, depart substantially from the investing strategy.
An individual or organization, sometimes known as corporate raider, can purchase a large fraction of the company's stock and, in doing so, get enough votes to replace the board of directors and the CEO. With a new agreeable management team, the stock is a much more attractive investment, which would likely result in a price rise and a profit for the corporate raider and the other shareholders.
