FedEx has stepped up to the challenge of rivals UPS by agreeing to buy Dutch package delivery company TNT Express for 4.4 billion euros ($4.8 billion) on Tuesday (April 7).
European regulators blocked a 2013 take-over of TNT by UPS due to concerns it would stifle competition, but analysts and executives said FedEx, with its strong air fleet, would complement TNT's sizeable European road network.
"In terms of FedEx, it significantly increases the reach of their European footprint. It's one of the reasons of course why FedEx is actually quite confident that unlike the UPS deal, this isn't likely to be blocked by Brussels. So it seems as though it's a win-win situation," said BGC Partners Market Analyst Mike Ingram.
The US-based FedEx is the latest company to seize on global, low interest rates - financing the TNT acquisition by borrowing to pay for it all.
"And certainly, the weaker euro and on the flipside, the strong dollar, has meant that European targets are more attractive to U.S. investors and I think that FedEx/TNT is a very clear example of that," he added.
"Europe, despite the fact that there has been low growth, is still an enormous market both for import and export," FedEx Chief Executive Fred Smith told analysts.
TNT gives FedEx access to pan-European service and the domestic UK and French markets, areas where it is not yet a big player, Smith said, while TNT customers will get access to FedEx's global distribution platform.
ING analysts estimate Deutsche Post's DHL currently has a 19 percent market share in Europe, followed by UPS with 16 percent, TNT with 12 percent and FedEx at 5 percent -- meaning the deal could catapult FedEx to second place.
The deal, which was unanimously recommended by TNT's supervisory board and is expected to close next year, saw the Dutch company's share price jump by more than 30 per cent.

In Europa beschäftigt FedEx mehr als 16.000 Mitarbeiter, betreibt
eine Flotte von über 3.000 Fahrzeugen sowie 39 Flugzeugen und hat 327
Niederlassungen. Mit dieser zunehmend starken Präsenz ist FedEx in
Europa gut aufgestellt, um die großen Sendungsvolumina abzufertigen, die
aufgrund des steigenden Online-Handels und des sich wandelnden
Einkaufsverhaltens von Verbrauchern in der Region erwartet werden. Laut E-commerce Europe
kauften 15 Prozent aller Personen in der EU Waren und/oder
Dienstleistungen im Internet von Verkäufern außerhalb des Landes ihres

FedEx Corporation announced plans to buy Dutch package delivery company TNT Express for an agreed 4.4 billion euros, stepping up the challenge to rivals United Parcel Service and Deutsche Post in Europe. European regulators blocked a 2013 takeover of TNT by UPS due to concerns it would stifle competition. TNT gives FedEx access to pan-European service and the domestic UK and French markets, while TNT customers will get access to FedEx's global distribution platform. Combining FedEx’s 5 percent European market share with TNT’s 12 percent, would catapult FedEx into second place, overtaking UPS which currently holds 16 percent market share. FedEx will offer 8 euros in cash per ordinary TNT share, which even though is a 33 percent premium to TNT’s previous closing price, is still below UPS's 2013 offer of 9 ½ euros. The Tennessee based company is the latest in a long list of companies to take advantage of the current low interest rate environment and finance a deal entirely with debt. The deal has been unanimously recommended by TNT's supervisory board, with TNT's largest shareholder, PostNL also saying it would tender its 14.7 percent stake to FedEx. TNT warned in February it expected tough trading to continue in its main western European markets, in what capped off a disappointing 12 months for the company with the share price dropping 17 percent, against a 21 percent rise in the benchmark index. FedEx said the strong US dollar contributed to perfect timing on its bid, with the Euro down more than a fifth against the greenback in the past year. U.S. companies have announced 195 ½ billion dollars in acquisitions of Western European companies in the past 12 months, more than twice the value of a year earlier. The last two quarters of 2014 were two of the three busiest by value in more than seven years. Unlike the UPS bid back in 2013, FedEx is unlikely to be blocked by European regulators.

LONDON — FedEx Corporation said on Tuesday that it had agreed to acquire the Dutch delivery company TNT Express in an all-cash deal that values TNT at 4.4 billion euros, or about $4.8 billion.
The transaction would greatly expand the American delivery giant’s presence in Europe and comes less than two years after European regulators blocked a bid for TNT by United Parcel Service, its global delivery rival.
FedEx would pay €8 a share in cash for each outstanding share of TNT, representing a 33 percent premium on its closing price on Thursday, the last day it was traded before the Easter holiday in Europe. Shares of TNT jumped 30.6 percent to €7.84 in early trading in Amsterdam on Tuesday.
Frederick W. Smith, the FedEx chairman and chief executive, said in a news release that the transaction “allows us to quickly broaden our portfolio of international transportation solutions to take advantage of market trends — especially the continuing growth of global e-commerce — and positions FedEx for greater long-term profitable growth.”

With the purchase of Caliber, FedEx started offering other services besides express shipping. Caliber subsidiaries included RPS, a small-package ground service; Roberts Express, an expedited shipping provider; Viking Freight, a regional, less than truckload freight carrier serving the Western United States; Caribbean Transportation Services, a provider of airfreight forwarding between the United States and the Caribbean; and Caliber Logistics and Caliber Technology, providers of logistics and technology solutions. FDX Corporation was founded to oversee all of the operations of those companies and its original air division, Federal Express.[6]
In the 1980s, FedEx planned, but later abandoned, a joint service with British Airways to have BA fly a Concorde SST to Shannon, Ireland with FedEx packages on board, and then FedEx would have flown the packages subsonically to their delivery points in Europe. Ron Ponder, a vice president at the time, was in charge of this proposed venture. In January 2000, FDX Corporation changed its name to FedEx Corporation and re-branded all of its subsidiaries. Federal Express became FedEx Express, RPS became FedEx Ground, Roberts Express became FedEx Custom Critical, and Caliber Logistics and Caliber Technology were combined to comprise FedEx Global Logistics. A new subsidiary, called FedEx Corporate Services, was formed to centralize the sales, marketing, and customer service for all of the subsidiaries. In February 2000, FedEx acquired Tower Group International, an international logistics company. FedEx also acquired WorldTariff, a customs duty and tax information company; TowerGroup and WorldTariff were re-branded to form FedEx Trade Networks.[6]
FedEx Corp. acquired privately held Kinko's, Inc. in February 2004 and rebranded it FedEx Kinko's. The acquisition was made to expand FedEx's retail access to the general public. After the acquisition, all FedEx Kinko's locations exclusively offered only FedEx shipping.[6] In June 2008, FedEx announced that they would be dropping the Kinko's name from their ship centers; FedEx Kinko's would now be called FedEx Office.[7][8]
