Except as authorized in writing by the Contracting Officer, the Corporation shall not use any person in direct performance of this Contract who has either resigned from employment with the CIA within the previous eighteen (18) months or has been barred from performing on CIA contracts as a result of a recommendation from a CIA Advisory Board (as defined in CIA regulations). This restriction applies to the use of the services (paid by the Corporation) of an individual as a Corporation employee, a consultant to the Corporation, independent contractor to the Corporation, or any similar arrangement, but does not apply to the Corporation’s portfolio companies or their subcontractors. This clause does not apply to persons who have retired from the CIA, but does not affect other restrictions that may apply (e.g., those that apply to Senior Intelligence Service officers and/or procurement officials).
