Bryan Meyer, concerned SHPE Lifetime Member asks Barry Cordero, SHPE President and Interim CEO the questions that members want to know about the proposed merger of SHPE Inc. (501(c)(6)) and SHPE Foundation (501(c)(3)) to become “SHPE” (a 501(c)(3)). Questions asked include: Q1. Could you give us a summary of the proposal and what its purpose is? Q2. There have been complaints that much of the merger discussions and process has been conducted in secrecy – is this true, and if so, why not provide transparency? Q3. The Bylaws state that February 15th is the normal deadline for elections. And any changes to the Bylaws require all members to vote, not a small portion of them. Can you explain why a vote is being held earlier than the normal deadline, and why the percentage of votes needed to make changes to the bylaws is being relaxed to only require a greater than 50% vote? Q4a. The secretive meetings and increased urgency call into question the finances of SHPE. What kinds of financial problems are we facing? Q4b. I have heard that chapters have not received reimbursements from nationals for three quarters, even though dues have been paid. Where is the money going? Q5. People are under the impression that by merging the two entities, it will facilitate co-mingling of funds. What if anything will be put in place to prevent that? Q6. The new hybrid board structure places more power in the non-elected board member positions. How is this non-democratic structure good for the organization? Q7. The Society of Women Engineers is a very successful non-profit focused on encouraging STEM for women. They are comprised of a primarily elected board and leadership. Why not follow their model? Q8. The new organization is said to be aimed at being a “true membership organization”. I have heard from some that this sounds like we would be changing into an exclusive organization, which could alienate people interested in joining. How is this changing from what we are today? Q9. You stated previously that the 9 appointed board members will “know what they are doing” to ensure continuity for the organization. Why not implement member levels (i.e. 10 years of industry experience and membership) as requirements for elected positions to ensure that board members and officers have enough experience? Q10. What is the backup or alternative plan if this proposal is not approved by the membership?
