If Academy Awards were given for films most likely to start arguments at dinner tables, this hot-button polemic would have won the 2005 Oscar hands down.
It begins with the revelation that, according to a Supreme Court ruling, a corporation must be considered a person rather than an entity.

Corporations are misunderstood and, as a result, misconceptions about them abound. Some entrepreneurs definitely benefit from incorporating while at least as many do not. For you to make an informed and intelligent decision as to whether or not you should incorporate and objectively evaluate what can and cannot be accomplished when you incorporate you must have a basic understanding of what a corporation is, how you form one, and what the advantages and disadvantages are.
Corporation defined
A corporation is an independent legal entity owned by its shareholders. This means that the corporation itself is legally liable for its actions and debts, not the shareholders who own it.
Corporations are more complex than sole proprietorships, partnerships and limited liability companies because they tend to have more administrative, tax, and legal responsibilities imposed on them. Because of this, corporations are generally better suited for more established and larger companies.
Because it is a legally distinct entity, separate from its owners, a corporation is given many of the same legal rights as an actual person. And its owners don't have to risk their personal assets in the event the corporation can't satisfy its obligations. But it also means that corporations are usually taxed separately from its owners as well.
You don't need to be a large company to be a corporation. In recent years, many small businesses have made the decision to incorporate to not only limit their personal liability and protect their personal assets but also gain credibility, attract outside investment, and access more sophisticated tax-planning strategies.
How to form a corporation
A corporation comes into existence when prospective shareholders file a charter document with a state's business entities department, which is usually the Secretary of State. The owners of a corporation are called shareholders and shares of stock represent their ownership interests. A corporation must have at least one owner. There is usually no limit on the number of shareholders a corporation can have, the most notable exception being an "S" corporation that is limited to 100 shareholders.
Corporations and the IRS
In the eyes of the IRS, there are two types of corporations: "C" corporations and "S" Corporations.
By default all newly formed corporations begin as a "C" corporation and are taxed separately from their owners under subchapter C of the Internal Revenue Code. They file a corporate tax return and pay taxes on their profits. When these profits are then distributed to the shareholders the shareholders will pay taxes on the distribution.
Certain corporations elect to be treated as an "S" corporation for federal tax purposes by filing Form 2553 with the IRS. This election causes the corporation to be treated as a "pass-through" entity. The corporation files an informational tax return but doesn't pay taxes at the corporate level. Rather, the profits and losses are "passed through" the business and reported on the shareholders personal income tax returns. Electing "S" corporation status is one way of avoiding "double" taxation.
Close corporations
Sometimes, at the state level there are two types of corporations as well: regular and close. Up to now I've been referring only to regular corporations.
A close corporation is generally a smaller corporation that elects close corporation status and is entitled to operate without the strict formalities required in the operation of a regular corporation. Simply stated, it is a corporation whose shareholders and directors are allowed to operate more like a partnership because there are typically less than 30 shareholders. The close corporation election is made at the state level but a number of states do not recognize them.
Corporate formalities
Corporations have a set management structure. The shareholders elect a Board of Directors who in turn elects officers. Other than the election of the directors, the shareholders do not usually participate in the operations of the corporation. The Board of Directors manages the corporation at a strategic level, issues stock, and makes major decisions and the Officers are responsible for the day-to-day operations of the company.
A corporation must follow various formalities. Failure to follow these formalities can have serious consequences, including holding the shareholders personally liable for corporate debts and actions. These formalities include: the appointment of directors and officers, adoption of bylaws and resolutions, holding formal meetings, and completing other compliance tasks that keep the corporation in good standing.

tendencias de consumo de produtos eletrônicos, vestuário, alimentos, entretenimento, medicamentos, etc.
Corporações farmacêuticas influenciam e ate definem o que será e o que não sera ensinado nos curriculos universitários de Medicina, Farmácia e outras áreas de Saúde, para defender seus interesses mercantilistas de vendas de inúmeros medicamentos nocivos.

Os ataques às práticas éticas e sociais das grandes empresas que compõem o documentário "A Corporação" não serão novidade para a maioria dos liberais bem informados.
Mas a pesquisa bem feita, a apresentação clara e a correlação precisa com os escândalos recentes envolvendo grandes empresas norte-americanas devem incentivar os espectadores bem menos informados a refletir mais profundamente sobre o papel das grandes firmas no mundo.
Se tivesse sido exibido alguns anos atrás, "A Corporação" provavelmente tivesse passado desapercebido. Mas o destaque ganho por "Fahrenheit 11 de Setembro" e os escândalos envolvendo empresas norte-americanas devem despertar o interesse do público. O fato de Michael Moore aparecer no filme, como entrevistado, é uma atração adicional.
A produção canadense é dirigida por Mark Achbar ("Manufacturing Consent: Noam Chomsky and the Media") e Jennifer Abbot a partir de um livro de Joel Bakan.

Our "Representatives" are officers of a corporation, they aren't public servants in any way and they cannot act as such. So that helps explain why they no longer seem to care about representing the people.

A corporation is created under the laws of a state as a separate legal entity that has privileges and liabilities that are distinct from those of its members. There are many different forms of corporations. Many corporations are established for business purposes but public bodies, charities and clubs are often corporations as well. Corporations take many forms including: statutory corporations, corporations sole, joint-stock companies and cooperatives. An important (but not universal) contemporary feature of a corporation is limited liability. If a corporation fails, shareholders may lose their investments, and employees may lose their jobs, but neither will be liable for debts to the corporation's creditors.
Despite not being natural persons, corporations are recognized by the law to have rights and responsibilities like natural persons ("people"). Corporations can exercise human rights against real individuals and the state, and they can themselves be responsible for human rights violations. Corporations are conceptually immortal but they can "die" when they are "dissolved" either by statutory operation, order of court, or voluntary action on the part of shareholders. Insolvency may result in a form of corporate 'death', when creditors force the liquidation and dissolution of the corporation under court order, but it most often results in a restructuring of corporate holdings. Corporations can even be convicted of criminal offenses, such as fraud and manslaughter. However corporations are not living entities in the way that humans are.

Some entrepreneurs definitely benefit from incorporating while at least as many do not. For you to make an informed and intelligent decision as to whether or not you should incorporate and objectively evaluate what can and cannot be accomplished when you incorporate you must have a basic understanding of what a corporation is, how you form one, and what the advantages and disadvantages are. Corporation defined A corporation is an independent legal entity owned by its shareholders. This means that the corporation itself is legally liable for its actions and debts, not the shareholders who own it. Corporations are more complex than sole proprietorships, partnerships and limited liability companies because they tend to have more administrative, tax, and legal responsibilities imposed on them. Because of this, corporations are generally better suited for more established and larger companies. Because it is a legally distinct entity, separate from its owners, a corporation is given many of the same legal rights as an actual person. And its owners don't have to risk their personal assets in the event the corporation can't satisfy its obligations. But it also means that corporations are usually taxed separately from its owners as well. You don't need to be a large company to be a corporation. In recent years, many small businesses have made the decision to incorporate to not only limit their personal liability and protect their personal assets but also gain credibility, attract outside investment, and access more sophisticated tax-planning strategies. How to form a corporation A corporation comes into existence when prospective shareholders file a charter document with a state's business entities department, which is usually the Secretary of State. The owners of a corporation are called shareholders and shares of stock represent their ownership interests. A corporation must have at least one owner. There is usually no limit on the number of shareholders a corporation can have, the most notable exception being an "S" corporation that is limited to 100 shareholders. Corporations and the IRS In the eyes of the IRS, there are two types of corporations: "C" corporations and "S" Corporations. By default all newly formed corporations begin as a "C" corporation and are taxed separately from their owners under subchapter C of the Internal Revenue Code. They file a corporate tax return and pay taxes on their profits. When these profits are then distributed to the shareholders the shareholders will pay taxes on the distribution. Certain corporations elect to be treated as an "S" corporation for federal tax purposes by filing Form 2553 with the IRS. This election causes the corporation to be treated as a "pass-through" entity. The corporation files an informational tax return but doesn't pay taxes at the corporate level. Rather, the profits and losses are "passed through" the business and reported on the shareholders personal income tax returns. Electing "S" corporation status is one way of avoiding "double" taxation. Close corporations Sometimes, at the state level there are two types of corporations as well: regular and close. Up to now I've been referring only to regular corporations. A close corporation is generally a smaller corporation that elects close corporation status and is entitled to operate without the strict formalities required in the operation of a regular corporation. Simply stated, it is a corporation whose shareholders and directors are allowed to operate more like a partnership because there are typically less than 30 shareholders. The close corporation election is made at the state level but a number of states do not recognize them. Corporate formalities Corporations have a set management structure. The shareholders elect a Board of Directors who in turn elects officers. Other than the election of the directors, the shareholders do not usually participate in the operations of the corporation. The Board of Directors manages the corporation at a strategic level, issues stock, and makes major decisions and the Officers are responsible for the day-to-day operations of the company. A corporation must follow various formalities. Failure to follow these formalities can have serious consequences, including holding the shareholders personally liable for corporate debts and actions. These formalities include: the appointment of directors and officers, adoption of bylaws and resolutions, holding formal meetings, and completing other compliance tasks that keep the corporation in good standing. For you to make an informed and intelligent decision as to whether or not you should incorporate and objectively evaluate what can and cannot be accomplished when you incorporate you must have a basic understanding of what a corporation is, how you form one, and what the advantages and disadvantages are.
Corporation defined
A corporation is an independent legal entity owned by its shareholders. This means that the corporation itself is legally liable for its actions and debts, not the shareholders who own it.
Corporations are more complex than sole proprietorships, partnerships and limited liability companies because they tend to have more administrative, tax, and legal responsibilities imposed on them. Because of this, corporations are generally better suited for more established and larger companies.
Because it is a legally distinct entity, separate from its owners, a corporation is given many of the same legal rights as an actual person. And its owners don't have to risk their personal assets in the event the corporation can't satisfy its obligations. But it also means that corporations are usually taxed separately from its owners as well.
You don't need to be a large company to be a corporation. In recent years, many small businesses have made the decision to incorporate to not only limit their personal liability and protect their personal assets but also gain credibility, attract outside investment, and access more sophisticated tax-planning strategies.
How to form a corporation
A corporation comes into existence when prospective shareholders file a charter document with a state's business entities department, which is usually the Secretary of State. The owners of a corporation are called shareholders and shares of stock represent their ownership interests. A corporation must have at least one owner. There is usually no limit on the number of shareholders a corporation can have, the most notable exception being an "S" corporation that is limited to 100 shareholders.
Corporations and the IRS
In the eyes of the IRS, there are two types of corporations: "C" corporations and "S" Corporations.
By default all newly formed corporations begin as a "C" corporation and are taxed separately from their owners under subchapter C of the Internal Revenue Code. They file a corporate tax return and pay taxes on their profits. When these profits are then distributed to the shareholders the shareholders will pay taxes on the distribution.
Certain corporations elect to be treated as an "S" corporation for federal tax purposes by filing Form 2553 with the IRS. This election causes the corporation to be treated as a "pass-through" entity. The corporation files an informational tax return but doesn't pay taxes at the corporate level. Rather, the profits and losses are "passed through" the business and reported on the shareholders personal income tax returns. Electing "S" corporation status is one way of avoiding "double" taxation.
Close corporations
Sometimes, at the state level there are two types of corporations as well: regular and close. Up to now I've been referring only to regular corporations.
A close corporation is generally a smaller corporation that elects close corporation status and is entitled to operate without the strict formalities required in the operation of a regular corporation. Simply stated, it is a corporation whose shareholders and directors are allowed to operate more like a partnership because there are typically less than 30 shareholders. The close corporation election is made at the state level but a number of states do not recognize them.

For you to make an informed and intelligent decision as to whether or not you should incorporate and objectively evaluate what can and cannot be accomplished when you incorporate you must have a basic understanding of what a corporation is, how you form one, and what the advantages and disadvantages are.
Corporation defined
A corporation is an independent legal entity owned by its shareholders. This means that the corporation itself is legally liable for its actions and debts, not the shareholders who own it.
Corporations are more complex than sole proprietorships, partnerships and limited liability companies because they tend to have more administrative, tax, and legal responsibilities imposed on them. Because of this, corporations are generally better suited for more established and larger companies.
Because it is a legally distinct entity, separate from its owners, a corporation is given many of the same legal rights as an actual person. And its owners don't have to risk their personal assets in the event the corporation can't satisfy its obligations. But it also means that corporations are usually taxed separately from its owners as well.
You don't need to be a large company to be a corporation. In recent years, many small businesses have made the decision to incorporate to not only limit their personal liability and protect their personal assets but also gain credibility, attract outside investment, and access more sophisticated tax-planning strategies.
How to form a corporation
A corporation comes into existence when prospective shareholders file a charter document with a state's business entities department, which is usually the Secretary of State. The owners of a corporation are called shareholders and shares of stock represent their ownership interests. A corporation must have at least one owner. There is usually no limit on the number of shareholders a corporation can have, the most notable exception being an "S" corporation that is limited to 100 shareholders.
Corporations and the IRS
In the eyes of the IRS, there are two types of corporations: "C" corporations and "S" Corporations.
By default all newly formed corporations begin as a "C" corporation and are taxed separately from their owners under subchapter C of the Internal Revenue Code. They file a corporate tax return and pay taxes on their profits. When these profits are then distributed to the shareholders the shareholders will pay taxes on the distribution.
Certain corporations elect to be treated as an "S" corporation for federal tax purposes by filing Form 2553 with the IRS. This election causes the corporation to be treated as a "pass-through" entity. The corporation files an informational tax return but doesn't pay taxes at the corporate level. Rather, the profits and losses are "passed through" the business and reported on the shareholders personal income tax returns. Electing "S" corporation status is one way of avoiding "double" taxation.
Close corporations
Sometimes, at the state level there are two types of corporations as well: regular and close. Up to now I've been referring only to regular corporations.
A close corporation is generally a smaller corporation that elects close corporation status and is entitled to operate without the strict formalities required in the operation of a regular corporation. Simply stated, it is a corporation whose shareholders and directors are allowed to operate more like a partnership because there are typically less than 30 shareholders. The close corporation election is made at the state level but a number of states do not recognize them.

Os ataques às práticas éticas e sociais das grandes empresas que compõem o documentário "A Corporação" não serão novidade para a maioria dos liberais bem informados.
Mas a pesquisa bem feita, a apresentação clara e a correlação precisa com os escândalos recentes envolvendo grandes empresas norte-americanas devem incentivar os espectadores bem menos informados a refletir mais profundamente sobre o papel das grandes firmas no mundo.
Se tivesse sido exibido alguns anos atrás, "A Corporação" provavelmente tivesse passado desapercebido. Mas o destaque ganho por "Fahrenheit 11 de Setembro" e os escândalos envolvendo empresas norte-americanas devem despertar o interesse do público. O fato de Michael Moore aparecer no filme, como entrevistado, é uma atração adicional.
A produção canadense é dirigida por Mark Achbar ("Manufacturing Consent: Noam Chomsky and the Media") e Jennifer Abbot a partir de um livro de Joel Bakan.
O documentário começa com um breve histórico legal das grandes empresas. De acordo com a lei, as firmas têm os mesmos direitos que os indivíduos: podem processar, ser processadas, etc.
Mas o foco do filme está em mostrar que existe uma grande diferença entre o indivíduos e a corporação. Espera-se dos indivíduos que demonstrem responsabilidade ética e social. Já a corporação tem, por lei, apenas uma responsabilidade: garantir a seus acionistas o maior lucro possível.

Os temas variam desde fábricas de fundo de quintal no Terceiro Mundo até a destruição do meio ambiente, passando pela patenteação do DNA.
Uma parte perturbadora do filme mostra um negociador de commodities, Carlton Brown, dizendo que, ao assistir ao ataque terrorista contra o World Trade Center, os dealers de ouro acharam que a tragédia teria um aspecto positivo, na medida em que faria o preço do ouro subir.
Os cineastas deram a executivos-chefes como Mooy-Smith a oportunidade de apresentar argumentos em favor da responsabilidade empresarial.

"A Corporação" não é um trabalho de ativismo global que defenda a derrubada do capitalismo. Uma seção final do filme analisa como o poder das grandes empresas pode ser reduzido por meios legais e sociais.
Alguns trechos do filme, como um em que Michael Moore, antes do lançamento de "Fahrenheit", comenta por que a Disney lança filmes de um inimigo declarado das grandes empresas, como ele, estão datados, e o filme fala muito pouco da Worldcom ou da Enron.
Mesmo assim, será muito bem-vindo pela parte do público cujas preferências políticas se situam à esquerda do centro.

I ordered this speaker after being disappointed with the sound quality of the DKnight Magicbox II, which right now has close to 12K reviews and 4.5 stars. I held on to the for two days so I could wait for the to arrive and compare them side by side.
The of the is far superior. Instruments and vocals are crystal clear with a good amount of bass. If you don't know where the music is coming from, would think that the is much bigger than it actually is.
I have played classical pop, R&B;, country, Celtic, rock, ballads. All sounded very nice. Songs with violin or piano solos and female surprised me the most because of how rich, deep, and they were.
While reading about other speakers I noticed several people asking loud they I like but for a to really when relatively quiet, it must at it max volume. This one certainly sounds excellent at If is your thing, I can tell that wouldn't be able to sustain a conversation in a living room with this around at max.
This was $65 the was $35; however, this is much more twice as as the If all I afford was the I prefer to buy anything since it is a mild improvement over the phone's speaker.
