Merck & Co., Inc. (NYSE: MRK), d.b.a. Merck Sharp & Dohme (MSD) outside the United States and Canada, is an American pharmaceutical company and one of the largest pharmaceutical companies in the world.
The company was established in 1891 as the United States subsidiary of the German company Merck, which was founded in 1668 by the Merck family. Merck & Co. was nationalized by the US government during World War I and subsequently established as an independent American company in 1917. It is the world's seventh largest pharmaceutical company by market capitalization and revenue. Its headquarters is located in Kenilworth, New Jersey.
Merck publishes The Merck Manuals, a series of medical reference books for physicians, nurses, and technicians. These include the Merck Manual of Diagnosis and Therapy, the world's best-selling medical reference. The Merck Index, a compendium of chemical compounds, was formerly published by Merck & Co. before being acquired by the Royal Society of Chemistry in 2012.
A general counsel or chief legal officer (CLO) is the chief lawyer of a legal department, usually in a company or a governmental department.
In a company, the person holding the position typically reports directly to the CEO, and their duties involve overseeing and identifying the legal issues in all departments and their interrelation, including engineering, design, marketing, sales, distribution, credit, finance, human resources, production, as well as corporate governance and business policy. This would naturally require in most cases reporting directly to the owner or CEO overseeing the very business on which the CLO is expected to be familiar with and advise on the most confidential level. This requires the CLO/general counsel to work closely with each of the other officers, and their departments, to appropriately be aware and advise.
Historically, general counsel often handled administrative tasks while outside lawyers in private practice handled more complex legal work. Since the 1980s, however, the general counsel position has become increasingly prominent in multinational companies, often directly advising the board of directors in place of outside lawyers. General counsel are now often among the most highly paid executives of major American corporations, and prominent American government lawyers and law firm partners are often hired for general counsel roles at prominent companies. Similar trends are also being seen in the United Kingdom and other countries.
A vice president (in British English: vice-president for governments and director for businesses) is an officer in government or business who is below a president (managing director) in rank. The name comes from the Latin vice meaning "in place of". In some countries, the vice president is called the deputy president. In everyday speech, the abbreviation VP can be used.
In government, a vice-president is a person whose primary responsibility is to act in place of the president on the event of the president's death, resignation or incapacity. Vice presidents are either elected jointly with the president as their running mate, or more rarely, appointed independently after the president's election.
Most governments with vice presidents have one person in this role at any time, although in some countries there are two or more vice-presidents. If the president is not present, dies, resigns, or is otherwise unable to fulfill their duties, the vice president will generally serve as president. In many presidential systems, the vice president does not wield much day-to-day political power, but is still considered an important member of the cabinet. Several vice presidents in the Americas held the position of President of the Senate; this is the case, for example, in Argentina, the United States, and Uruguay. The vice president sometimes assumes some of the ceremonial duties of the president, such as attending functions and events that the actual president may be too busy to attend; the Vice President of the United States, for example, often attends funerals of world leaders on behalf of the president.
Merck makes medicines for a number of ailments, from stuffy noses and asthma to hypertension and arthritis. The pharmaceutical giant's top prescription drugs include asthma medication Singulair, anti-inflammatory Remicade, hypertension fighters Cozaar and Hyzaar, and cholesterol combatants Vytorin, Zetia, and Zocor. The company also makes animal health pharmaceuticals, as well as childhood and adult vaccines for such diseases as measles, mumps, hepatitis, and shingles. Its OTC drug and personal care offerings include Claritin allergy pills and Dr. Scholl's foot care products. The company completed a reverse merger with the old Merck in 2009 and took on the Merck name.
