Ryan Kavanaugh along with an investor group have won bidding to keep him at the helm of the bankrupt Relativity Media.
Secured hours after their television unit went to an alliance of three hedge funds, an unlikely protracted sales process should see Kavanaugh running the company he founded.
The negotiations which began on Thursday and extended into the weekend, still must be validated by the U.S. Bankruptcy Court Judge Michael Wiles.
He is overseeing the Chapter 11 case and auction.
The group of investors stated the new arrangement will leave the company with just $30 million in dept.
Relativity has reported nearly $1.2 billion in liabilities and assets with a book value of just $560 million.

Relativity Media the digital-age entertainment company that claimed clever financing and data analysis could unlock the secret to box office riches filed for bankruptcy protection Thursday against a swarm of disgruntled investors and other creditors. The Chapter 11 filing came after weeks of failed scrambling by CEO Ryan Kavanaugh to find new partners or lenders to help him cover more than $300 million of debt and to preserve his place atop the company he founded 11 years ago. Thursday’s action represented a dramatic fall from grace for the high-flying Kavanaugh, a San Fernando Valley native who had been depicted over the years as reinvigorating a staid Hollywood establishment with both his savvy investing and his extravagant lifestyle. A hearing in bankruptcy court is scheduled to take place in New York on Friday.

Hollywood’s latest evangelist blew into town without a film degree or a single production credit, but armed with abundant smarts, a knack for salesmanship and buckets of charm. Even Ryan Kavanaugh’s shock of red hair assured he got noticed in any room he entered. Eleven years later, Relativity Media’s CEO stands on the brink of bankruptcy, a key lender is calling him a “con man” and suing for fraud, and other creditors are pushing for the 40-year-old entrepreneur to be shown the door. While Kavanaugh scrambles to find a savior, the company’s 350 employees are preparing for the worst, with a Chapter 11 bankruptcy filing expected as early as this week.

Relativity and a film finance company are feuding in a pair of lawsuits. Hardly a week since RKA Film Financing sued Ryan Kavanaugh for allegedly failing to pay millions of dollars owed, the company filed a second lawsuit against the Relativity CEO, accusing him of fraudulently mismanaging $75 million in funds from RKA. Then the same morning, Relativity filed its own lawsuit against RKA, claiming the company's litigation is a calculated bid to disrupt the embattled studio's negotiations with new investors. The company claims Kavanaugh raised money from RKA for the print and advertising (or distribution) costs of specific films, including the studio's delayed Masterminds and upcoming Solace, The Disappointments Room and Before I Wake, then diverted the funding into other company costs like salaries and personal expenses like helicopters for Kavanaugh. Relativity fired back in a lawsuit for $200 million, claiming in the complaint filed in New York state court RKA knew the loans entered into a general account not required for spending on specific films.

Have you heard of Ryan Kavanaugh? Maybe not. But you have definitely heard of the films that his studio, Relativity Media, have produced. The films include Out of the Furnace, Oculus, Beyond the Lights, House at the End of the Street, Limitless, The Season of the Witch, Immortals, and many others. It was founded in 2004 and quickly became the third largest mini-major film studios in the world. But sadly, the studio filed for Chapter 11 bankruptcy since its liabilities approached $1.2 billion and assets stood at about $560 million. Kavanaugh was known for creating “the model,” a monte carlo model that designed to predict the odds of a given film being successful. Kavanaugh also executed the finance deal for Marvel Studios which later created the Marvel Cinematic Universe. He had also created structured business deals for companies as Sony, Universal, and Warner Brothers. He was the executive producer for The Social Network, Mama Mia, Grown Ups, along with others. Although his successful model didn’t help his studio company, was no strangers to controversy.
In July 2015, the New York Finance company RKA Film Financing filed a lawsuit against Kavanaugh and accused him of being ““con man...who through dishonesty and deceit operated a scheme to defraud investors and convert and misappropriate their funds.” The lawsuit claimed that the $75 million given to Relativity was supposed to be used for print and advertising, but Kavanaugh used the money for salaries, bonuses, debts, and other expenses. The lawsuit accuses Kavanaugh conspiracy to commit fraud, negligent misrepresentations, conversion of funds, and breach of covenants of good faith, and fair dealing. They also asked for $90 million in damages. But Kavanaugh didn’t go down without a fight. He filed a countersuit against RKA for $200 million. A statement released by Relativity reads, “RKA has been engaged in an underhanded scheme to extract money from Kavanaugh, the company and its lenders all of whom have refused to submit to RKA’s outrageous demands. Relativity has filed a $200 million complaint this morning against RKA for its unlawful interference and for a declaratory judgment that all funds were used properly.” It is unknown what will happen to Relativity Media after bankruptcy but Kavanaugh isn’t leaving the world just yet. He doesn’t like to quit. He had an investment fund that went bankrupt in 2002 but bounced back with hundreds of millions of dollars in loans for film slates at Sony and Universal. This certainly won’t be the last time we hear of Ryan Kavanaugh.

A company that loaned Relativity funds for distribution says the mogul owes $7.5 million.
In the middle of his efforts to rescue his studio from financial problems, Relativity CEO Ryan Kavanaugh is now under fire in a new lawsuit from a financing company claiming he hasn't paid it on time.
In the complaint filed Wednesday in New York Supreme Court, RKA Film Financing says it loaned millions of dollars to Relativity for the distribution of several specific films. Court documents filed with the complaint indicate the films RKA supported include Masterminds, Before I Wake and Solace.
The company claims Relativity "fail[ed] to abide by the contractual terms relevant to the specified use of the loans (i.e. Spending the loans only on the P&A; of specific films)," leading the parties to strike a new agreement for Relativity to pay the company $7.5 million.

Relativity CEO Ryan Kavanaugh is hitting back. Now that his studio has declared Chapter 11 bankruptcy, he's opening up about those who are attempting to "steal the company." In a wide-ranging interview in this week's The Hollywood Reporter, he hints at what's coming, noting he's been told by others he has "the mother of all lawsuits" over a financial firm, Colbeck Capital, that allegedly saw an opportunity to leverage Relativity's debt maturity to make itself a billion dollars. At the same time, he along with his River Birch Funds have now filed court papers to deal with another financier, RKA Film Financing, that put up $115 million for the P&A; costs of seven Relativity films including the delayed Masterminds and upcoming Solace, The Disappointments Room and Before I Wake.
