SCMP.COM ONLINE SERVICE AGREEMENT
SCMP.com is an internet-based online information and communication service. Please read this online service agreement (this "Agreement") before using the service. By continuing to use SCMP.com, you agree to abide by the terms and conditions of this Agreement.
1. DEFINITIONS
1.1 The following definitions should apply in this Agreement unless otherwise stated.
“Account” means the registered account of a Member of the Service.
“Computer” means the computer, notebook, personal digital assistant, mobile phone or other electronic device of a Member used to access the Service.
“Content” means the data, information, materials, text, songs, audio, video, photos, graphics, messages, blogs, ideas, comments, suggestions and/or other content.
“Discussion Forum” means the online discussion forum(s) and blog(s) on the Website.
“Member” means: (i) an individual who accesses, reads, downloads or otherwise any or all of the four (4) articles per month for free on the Website as referred to in Clause 2.2: and/or (ii) a registered member of the Service, whichever applicable.
“Member Content” means collectively all Content that Members have made available or presented on the Service including but not limited to that on the Discussion Forum.
“Terms and Conditions” means the terms and conditions stated herein governing the use of the Service.
“SCMP” means individually and collectively South China Morning Post Publishers Limited and/or its ultimate holding company, holding company, subsidiaries, affiliates and subsidiaries of each of such ultimate holding company and holding company.
“SCMP Content” means all Content of SCMP that it has made available or presented on the Service or Website.
“Service” means all online information and communication services which are available on the Website including but not limited to access to and use of the Content on the Website and Discussion Forum subject to these Terms and Conditions.
“Third Party Content” means collectively all the: (i) Member Content; and (ii) Content which other third parties have made available or presented on the Service including but not limited to information relating to the Third Party Products.
“Third Party Products” means products and services of third parties which are and/or have been advertised or presented on the Service.
“Website” means the South China Morning Post website at www.scmp.com.
“Your Content” means all the Content that you have made available or presented on the Service as its Member.
2. GENERAL RULES AND REGISTRATION
2.1 You have to be at least 18 years old to participate in the Discussion Forum.
2.2 Anyone is entitled to read a total of three (3) articles per month for free on the Website without registration. If you register for using the Service, you can read an additional five (5) articles per month for free on the Website. SCMP reserves the right to change the total number of articles that anyone is entitled to read for free on scmp.com.
2.3 You must register as a Member and pay for the subscription fee before you can use all of the Service.
2.4 Registration Information and Password
2.4.1 As part of the registration process, you will select a password and a username. You also have to give us certain registration information, all of which must be accurate and updated.
2.4.2 You must not (i) select or use a username of another person with the intent to impersonate that person; (ii) allow any third party to use your username and/or password or otherwise use your SCMP.com account; or (iii) use a username that SCMP, in its sole discretion, deems offensive.
2.4.3 Failure to comply with the foregoing shall constitute a breach of this Agreement, which may result in immediate termination of your Account.
2.4.4 You shall be responsible for maintaining the confidentiality of your password, which you will not have to reveal to any representative or agent of SCMP.
2.5 You shall immediately notify SCMP of any changes of address or any other particulars provided to SCMP which may affect the provision of the Service or any part thereof to you. On SCMP's request, you shall provide SCMP with information relating to you and your use of the Service reasonably required by SCMP: (a) to assist SCMP in complying with SCMP's obligations under any applicable law; (b) to report to any government authorities or agencies regarding compliance with those obligations; and (c) to assess whether or not you have complied, is complying and will be able to continue to comply with all of your obligations under this Agreement.
2.6 You represent and warrant that your personal data and other information provided to us for registration or subscription purpose are true and accurate.
2.7 All registered Members who pay for their subscription fee shall receive SCMP Today (daily morning newspaper), News Wrap (daily afternoon newspaper) and Breaking News Alerts (as and when breaking news come up) every day during the subscription period unless otherwise terminated earlier according to the provisions herein.
2.8 The subscription fees for all annual packages are based on a 365-day cycle. If more than 365 days exist in any one-year subscription period (eg. February has 29 days), your annual package subscription fee will only cover such 365-day period. In addition, 30 days per month shall be used as the basis of calculating any benefit, subscription or entitlement of anyone or a Member using the Service.
2.9 By registering for using the Service, you agree to be bound by all of the Terms and Conditions in this Agreement throughout the process and use of the same.
2.10 SCMP reserves the right to modify the Terms and Conditions in this Agreement or any features of the Service at any time. Such modification shall be effective immediately upon posting of the modified Agreement or features on the Website without notifying you.
2.11 You agree to review this Agreement periodically to ensure that you are aware of any modifications. Your continued access or use of the Service shall be deemed your conclusive acceptance of the modified Agreement.
2.12 SCMP may also impose limits on certain features and services in respect of the Service.
2.13 You represent that you have read and agree to be bound by our Privacy Policy at https://register.scmp.com/privacy.php
3. CONTENT AND INTELLECTUAL PROPERTY RIGHTS
3.1 Your Content
3.1.1 You retain the intellectual property rights that you may or should have in Your Content.
3.1.2 By posting Your Content on the Service, you automatically grant SCMP a perpetual, irrevocable, non-exclusive, royalty-free, worldwide and sub-licensable licence to: (i) use, copy, edit, adapt, publish, translate, create derivative works from, make available, communicate and distribute Your Content (in whole or in part), its edited, adapted, translated versions and/or such derivative works ; and/or (ii) incorporate the same in other works in any form, media or technology now known or later developed.
3.1.3 In respect of the licence as referred to in Clause 3.1.2, you represent and warrant that:
(a) You are the sole owner of Your Content and have the full legal right and authority to grant such licence; and
(b) All of Your Content are your original works and creations and shall not infringe the intellectual property and/or related rights of any third parties or contravene or violate any applicable laws or regulations.
3.2 SCMP Content
3.2.1 All intellectual property rights in the SCMP Content, including but not limited to the copyright in the compilation of all Content on the Service, shall remain with SCMP.
3.2.2 You shall not use, edit, publish, adapt, translate, make derivative works from, distribute or otherwise all or part of the SCMP Content or decompile, reverse engineer or otherwise attempt to discover the source codes of any SCMP Content available on the Service unless otherwise permitted by SCMP in writing.
3.2.3 You shall not assist or facilitate any third party to make use of the SCMP Content in any manner that constitutes an infringement of our intellectual property and/or related rights, including but not limited to "framing", downloading or establishing unauthorized links to any part of the Content on your or any third party's web site.
3.2.4 The domain name(s) on which the Service is/are hosted on is/are the sole property of SCMP. You shall not use or otherwise adopt a same or similar name(s) for your own use.
3.2.5 The trademarks, logos and service marks of SCMP (“SCMP Marks”) displayed on the Service are the sole property of SCMP. You are not permitted to use any SCMP Marks without the prior written approval of SCMP.
3.3 Third Party Content
3.3.1 The trademarks, logos and service marks of any third parties (“Third Party Marks”) and all Third Party Content remain the sole property of the relevant Third Party.
3.3.2 In respect of the Third Party Marks, you are not permitted to use any of the same or the name of such Third Party without the prior written approval of such Third Party.
3.3.3 You shall not use, edit, publish, adapt, translate, make derivative works from, distribute or otherwise the Third Party Content or decompile, reverse engineer or otherwise attempt to discover the source codes of any Third Party Content available on the Service unless otherwise permitted by such Third Party in writing.
4. ONLINE DISCUSSION FORUM
4.1 Registration
4.1.1 Requirement for Registration
Your registration as a Member and payment of the subscription fee are required before you can use the Discussion Forum.
4.1.2 Reasons for Registration Requirement
Member registration is a pre-requisite for using the Discussion Forum. This is to ensure that you are a “real” person and that you agree to these Terms and Conditions. Such registration requirement is also intended to ensure that Members take responsibility for their comments and suggestions and to facilitate the development of our online community.
4.1.3 Suspension or Termination of Account
SCMP reserves the right to either suspend or terminate the Account of any Member in the event that the Member breaches any provision of these Terms and Conditions or contravenes or violates any applicable laws or regulations in respect of his/her use of the Discussion Forum.
4.2 Comments and Language
4.2.1 Types of Comments Not Allowed
You hereby agree and undertake not to make the following comments on the Discussion Forum.
(a) Defamatory, insulting, obscene, racist, sexist and homophobic comments.
(b) Speech, attacks and remarks which appear to be threatening, abusive, offensive or arousing hatred or discrimination.
(c) Impersonations, illegal comments or comments which violate or encourage the violation of any law or the propriety or other rights of any third party.
4.2.2 Types of Language Not Allowed
You also agree and undertake not to make any comments on the Discussion Forum which consist of vulgar, profane, crude, violent or hostile language or swearing.
4.2.3 Comments on South China Morning Post
You are welcome to make constructive comments on South China Morning Post and/or any other publications of SCMP on the Discussion Forum which are intended to help us improve our goods and/or services. Such constructive comments should not be attacks on the reputation of South China Morning Post and/or SCMP and shall be subject to these Terms and Conditions.
4.3. Proper Use
4.3.1 No Commercial Use or Investigation
You must not use the Discussion Forum for:
(a) the promotion of any products or services or for any other commercial purposes;
(b) any sponsorship, petition, campaign or chain message; and
(c) an investigation, eg. tracing the whereabouts of a person.
4.4 Moderation
4.4.1 Right to Moderate
SCMP reserves the right to moderate any comments, suggestions and other information which have been posted or made available on the Discussion Forum.
4.4.2 Reasons for Moderation
The Discussion Forum is intended to be an engaging and informative platform for our readers to discuss and debate a wide variety of topics. By moderating the submissions made to the Discussion Forum, SCMP creates a space where different perspectives and well-informed opinions can be exchanged in a respectful and civilised manner.
4.4.3 Editing and Removal of Content
SCMP reserves the right to edit or remove part or all of the Content and/or any other information on the Discussion Forum which violate these Terms and Conditions or which, in the opinion of SCMP, appear to be inappropriate for display on the Discussion Forum. In this regard, SCMP has the sole and full discretion and its determination shall be final.
4.4.4 Moderation Request from Readers
You can flag a comment on the Discussion Forum for our review or moderation, state the reasons you believe it should be removed and submit a report to SCMP if you find the comment:
(a) to be in breach of these Terms and Conditions;
(b) to be inappropriate for posting on or abusing the space available in the Discussion Forum.
5. FEES AND PAYMENT
5.1 SCMP reserves the right at any time to charge fees for access to portions of the Service or the Service as a whole unless otherwise provided herein. Payment can be made by way of credit card, debit card, cheque or bank transfer. Where fees and charges are (at your election) charged to your credit card, SCMP reserves the right to charge additional fees and charges for renewed and/or continuing subscriptions to the credit card for which details have previously been provided to SCMP. In the event that your credit card expires, you shall pay for such fees abd charges immediately by way of other payment methods above. Otherwise SCMP reserves the right to suspend or terminate your Account as provided in Clause 4.1.3.
5.2 All new fees, if any, will be posted in the Customer Service section or in other appropriate locations on the Service. You shall pay all fees and charges incurred at the rates in effect for the billing period in which such fees and charges are incurred, including, but not limited to charges for any products or services offered for sale through the Service, including, but not limited to, the Classified and Marketplace sections thereof SCMP.com and SCMP Archives, by SCMP or any third-party merchant or service provider. All fees and charges shall be billed to you, or at your election charged to your credit card, and paid for by you. You shall pay all applicable taxes relating to use of the Service through your Account.
5.3 Our fees and charges are normally stated in Hong Kong Dollars ("Quoted Fees"). If you elect to pay the fees and charges by credit card in a currency other than Hong Kong Dollars, you shall be fully responsible for payment of: (i) the amount in such currency that your credit card company charges you in order to settle he Quoted Fees irrespective of any exchange rate fluctuations; and (ii) all currency conversion and/or related fees, if any. SCMP shall not be liable for any payment, refund or fees in this regard.
5.4 In the event of any error in calculating the amount of the fees and charges on the part of SCMP, (i) you shall pay for the shortfall in case such error results in the calculated amount being less than the accurate amount; and (ii) SCMP shall refund to you any excess in case such error results in the calculated amount being more than the accurate amount and you have paid such calculated amount.
5.5 You expressly agree that SCMP shall not for any reason whatsoever be liable to refund the full amount or any part of fees, charges and taxes paid by you unless otherwise provided hereunder.
5.6 If you had not opted out the auto-renewal arrangement when you placed your subscription order, your subscription shall be automatically renewed upon its expiry unless you give us at least three (3) working days' prior written notice not to have your subscription renewed.
6. PRIVACY OF PERSONAL DATA
You should not place or submit any personal information or data to us and/or for publication on the Service without first reading our Privacy Policy at https://register.scmp.com/privacy.php which sets out our personal data use and privacy practices. We are committed to compliance with the Personal Data (Privacy) Ordinance and any other relevant laws or regulations relating to personal data privacy.
7. LIABILITY
7.1 Your Content
You acknowledge and agree that: (i) you shall be solely and fully responsible for Your Content and any related consequences including but not limited to any third party claims arising from or in connection with the same; and (ii) SCMP shall not be liable in any manner.
7.2 Third Party Content
SCMP shall not be liable in any way for the Third Party Content including but not limited to its accuracy, completeness, usefulness, relevance, timeliness or otherwise.
8. INDEMNITY
You agree to indemnify SCMP and its employees, officers, agents and contractors and hold them harmless from and against all losses, claims, demands, actions, proceedings, costs (including but not limited to legal costs) and liabilities (including but not limited to statutory and tortuous liabilities) which may be suffered by or brought against SCMP and its employees, officers, agents and contractors arising from or in connection with:
8.1 your connection to the Website;
8.2 your use of the Service /or your posting of any Content on the Service;
8.3 your breach of these Terms and Conditions;
8.4 your contravention of any applicable laws or regulations; and/or
8.5 your violation of the rights of any person or entity.
9. DISCLAIMER OF WARRANTIES
9.1 Service and Computer
SCMP makes no representation or warranty that:
9.1.1 the access to and functioning of the Service and the availability of any Content on the same will be timely, uninterrupted, without error or omission; and free of viruses or other harmful components; and
9.1.2 the download, installation or use of any Content in or with any Computer will not affect the functionality or performance of the Computer.
9.2 Content
SCMP makes not representation or warranty regarding the use or the results of the use of any Content on the Service in terms of its correctness, accuracy, reliability, usefulness, timeliness or otherwise.
9.3 SCMP Content
SCMP makes every effort to ensure that all SCMP Content on the Service is accurate and complete to the best of SCMP’s knowledge. However, SCMP provides the SCMP Content for informative purposes and on an ‘as is” basis only. SCMP disclaims all warranties, express or implied, including but not limited to the implied warranties of satisfactory quality, merchantability and fitness for a particular purpose or the warranty of non-infringement to the extent permissible under law.
9.4 Professional or Expert Advice
The data, information and/or any Content made available on the Service are of a general nature and do not purport to contribute an offer or a provision of any professional or expert advice. You should consult a qualified professional adviser or expert to obtain independent advice and verification of the information and data contained in the Service as necessary.
9.5 Third Party Products
You acknowledge and agree that SCMP does not endorse or recommend and has no control over the Third Party Products which are advertised or made available on the Service, Website or websites linked from the Website.
9.6 Use of Information on the Website
You agree that all Content, statements, information, opinions, comments, suggestions and/or materials from SCMP, other Members, third parties and advertisers on the Service and Website should be used and relied upon only with care and discretion and at your own risk. SCMP shall not be responsible for any loss or liability incurred by you arising from such use or reliance.
10. LIMITATIONS OF LIABILITY
10.1 In no event shall SCMP be liable to you or you shall hold SCMP liable for any losses, damages, liabilities and expenses under any causes of action (whether in contract or tort or otherwise) caused by the use of, or inability to use, the Service, Your Content, SCMP Content, Third Party Content and Website.
10.2 In the event that SCMP is liable for losses or damages in spite of Clause 10.1, you agree that SCMP’s aggregate liability to you for any and all causes of action in relation to the use of the Service, Your Content, SCMP Content, Third Party Content and Website, and to these Terms and Conditions, shall not exceed the total amount of fees and charges, if any, paid by you to SCMP for the Service and/or Website (whichever applicable) prior to the time such liability arises.
10.3 Under no circumstance shall SCMP be liable for any indirect, special, consequential or incidental damages arising or resulting from the use of, or inability to use, the Service, Your Content, SCMP Content, Third Party Content and Website.
11. ACCESS AND AVAILABILITY OF SERVICE AND LINKS
The Service contain(s) links to other related World Wide Web Internet sites, resources, and sponsors of SCMP. Since SCMP is not responsible for the availability of these outside resources, or their content, you should direct any concerns regarding any external link to the site administrator or webmaster of such site.
12. HACKING, DISRUPTION AND IMPAIRMENT
You hereby undertake not to hack into, interfere with, disrupt, disable or otherwise impair the proper working of the Service including but not limited to reprogramming, reverse engineering, decoding, tampering, sniffing and session hacking.
13. SECURITY
13.1 You shall notify Customer Service at digitalsupport@scmp.com of any known or suspected unauthorised use(s) of your Account, or any known or suspected breach of security, including loss, theft, or unauthorised disclosure of your password or credit card information.
13.2 You are responsible for all usage or activity on your Account. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your Account, at SCMP's sole discretion, and SCMP may refer you to appropriate law enforcement agencies.
14. COMMUNICATIONS BETWEEN SCMP AND SUBSCRIBERS
14.1 You agree that SCMP may send electronic mail or digital messages to you for the purpose of informing you of changes or additions to the Service.
14.2 We reserve the right to gather and use information about your usage and demographics, and agree to maintain your data privacy, in accordance with the SCMP.com Privacy Policy, which is incorporated herein by reference, and the Personal Data (Privacy) Ordinance. 15. SOFTWARE LICENCES
You shall have no rights to the proprietary software and related documentation, or any enhancements or modifications thereto, provided to you in order to access the Service ("Access Software"). You may not sub-license, assign or transfer any Licenses granted by SCMP, and any attempt at such sub-license, assignment or transfer shall be null and void. You may not otherwise copy, distribute, modify, reverse engineer, use, or create derivative works from, Access Software.
16. SUSPENSION AND TERMINATION OF SERVICE
16.1 SCMP may (i) deactivate or suspend the Service or any part thereof, with or without notice to you, to carry out system, maintenance, upgrading, testing and/or repairs; (ii) limit or suspend your access to any of the Service with or without notice to you if SCMP is of the opinion that such action is appropriate as a result of your use of the Service; (iii) take any steps or omit to take any steps, with or without notice to you, for any reason SCMP deems relevant to the management or the operation of any of the Service and SCMP's business, that may expand, reduce, modify, suspend, limit, make inaccessible or adversely affect the Service or any part thereof.
16.2 SCMP may, upon discovery of suspected or inchoate, fraudulent, deceptive, unlawful or improper use of the Service by you, suspend your access to any or all of the Service temporarily or permanently.
16.3 This Agreement may be terminated by SCMP for any reason at any time. You cannot terminate your scmp.com subscription. SCMP shall not refund to you any part or all of the subscription fee that you paid unless otherwise provided in this Agreement. This Agreement shall remain valid and effective until SCMP terminates the same in the manner prescribed above.
16.4 Termination hereunder shall not affect SCMP's rights in relation to any antecedent breach or liability incurred prior to the date of termination nor shall it affect the coming into force or the continuance in force of any provision contained herein which is expressly or by implication intended to come into or continue in force on or after such termination. All remaining benefits (whether monetary or non-monetary) that you may enjoy under this Agreement at the date of termination shall be forfeited absolutely.
16.5 SCMP does not provide any temporary suspension service to the subscription package.
17. LEGAL AND REGULATORY COMPLIANCE OBLIGATIONS
You acknowledge that SCMP may be required under applicable laws or regulations or upon receipt of instructions from governmental authorities to carry out acts which may be in breach of the provisions in these Terms and Conditions. In this connection, you agree not to hold SCMP liable or responsible.
18. WRITTEN EVIDENCE
18.1 You hereby agree that all records of SCMP relating to the Service, your use of the Service and/or Website, your Account, your particulars, any Content or these Terms and Conditions (collectively the “Records”), though in electronic form, are written and original documents.
18.2 You shall not dispute or challenge the validity, enforceability or admissibility of any Record on the grounds that it is not a written or original document, is in electronic form or was produced by or is the output of a Computer; and you hereby waive any such right you may have under law.
19. GENERAL
19.1 SCMP shall have the right to sub-license, sub-contract, assign or transfer its rights and obligations in this Agreement to any third party at its sole and absolute discretion.
19.2 This Agreement shall be governed by Hong Kong law. You agree that any action arising under this Agreement shall be submitted to the non-exclusive jurisdiction of Hong Kong courts.
SCMP PRINT SERVICE AGREEMENT
Subscription price
All stated prices are subject to change without prior notice. This rate is applicable to subscriptions within the Hong Kong SAR only. Acceptance of subscription applications is at the sole discretion of South China Morning Post Publishers Limited ("SCMPP").
Sales suspension of sales package
SCMPP allows subscribers to suspend their package(s) temporarily for a limited number of times in a year. The minimum suspension period is 3 days and the maximum suspension period is 3 months on an annual accumulative basis. Any suspensions and resumption of service shall be communicated to SCMPP 1 working day prior to the date of commencement of suspension or resumption, as the case may be. All annual and 6-month packages must be consumed within 15 months and 9 months respectively, otherwise they shall be regarded as automatically terminated. Any suspensions of more than 6 months in a year shall be deemed an automatic termination of subscription; and no refund for the remaining balance of the subscription period shall be provided under any circumstances.
Please note that no suspension(s) prior to expiry date(s) in respect of one-month trial package for the first six months will be entertained.
Early-Bird Renewal
If any extension of subscription ("Extended Subscription") is entered into prior to the expiry of an existing subscription, the remaining balance from any suspension period (provided that such suspension period does not exceed 6 months) will be credited into Extended Subscription.
All renewal gifts are offered on a first-come first-served basis, while stocks last. SCMPP reserves the right to change any gift item.
Basis of Subscription Cycle
The subscription fees for all annual packages are based on a 365-day cycle. If more than 365 days exist in a one-year subscription period (eg. February has 29 days), your annual package subscription fee will only cover such 365-day period.
Change of Delivery Address
All changes to subscribers' personal information, including but not limited to address change, shall require processing time of 3 working days before such changes can be effected.
New and Renewal
It is understood that all renewal(s) must be communicated to SCMPP 1 working day prior to the date commencement of delivery, and all renewals shall be effective only after SCMPP's receipt of full payment(s).
Incentive Gift
All gifts are offered on a first-come, first-served basis. SCMPP reserves the final right to replace any gift item without prior notice. Lost gifts will not be replaced.
Termination of Service
Termination of subscription services must be communicated to SCMPP 3 working days prior to the date of termination (7 working days for one-month trial package). Any unused portion of each subscription is refundable with HK$300 handling charge for one or two-year package and HK$150 handling charge for six-month package that payable by the subscriber. If a premium has been granted to the subscriber, SCMPP will deduct from the refund amount a relevant portion of such premium which is based on the percentage of the unused portion of the subscription over the full subscription period. However, there shall be no refund if the termination of subscription takes place one year after such subscription has commenced.
SCMPP may at its sole discretion, terminate the subscription services at any time during a subscription period by giving 3 working days notice to the subscriber. In the latter case, the balance subscription amount for the unused portion of the subscription will be refunded to the subscriber by way of credit card or cheque, as the case may be. However, there shall be no refund if such termination takes place one year after the subscription has commenced.
Terms and Conditions of Sale Revision
SCMPP reserves the right to amend the terms and conditions herein and other rules relevant to the sales of merchandise from time to time without any prior notice.
Delivery
Delivery and order are subject to confirmation of SCMPP.
Delivery time of subscription varies by district. SCMPP will arrange delivery at earliest possible time depending on actual situation.
If Typhoon Signal No.8 is hoisted or Black Rainstorm Warning is issued on the subscription date and the delivery is disrupted, subscription delivery lead time allowance shall be given. SCMPP shall not be responsible for any failure or delay in performance of its obligations because of circumstances beyond its reasonable control, including without limitation, typhoons, rainstorms, other acts of God and virus outbreaks.
Refund
Refund(s) shall be calculated according to the paid subscribed rate regardless of the time and date of the termination. Four weeks are to be allowed for the processing of refunds.
Personal Information
(a) Use of Personal Information
SCMPP uses personal data for purposes of administering your subscription and providing customer service relating to such subscription. Occasionally, subject to your consent and our compliance with the Personal Data (Privacy) Ordinance, SCMPP may also use the personal data it collects to notify you about important changes to the SCMP.com Web site, new services and special offers which SCMPP thinks you will find valuable.

Force Majeure
SCMPP shall not be responsible for any failure or delay in performance of its obligations under this agreement because of circumstances beyond its reasonable control, including, without limitation, acts of God, typhoons, rainstorms, virus outbreak, government restrictions, strikes, wars, network failures or telecommunications failures.
No Waiver
No failure on the part of SCMPP hereto in exercising any right, power or privilege and no course of dealing between the parties shall operate as a waiver thereof, nor shall any single or partial exercise of its right, power or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, power or privilege.
Amendments
This agreement shall not be amended, altered or modified except by an instrument in writing duly executed by both parties.
Governing Law
This agreement shall be governed and construed in accordance with the laws of the Hong Kong SAR and both parties agree to submit to the non-exclusive jurisdiction of the courts of Hong Kong SAR.

SCMPP reserves the right to amend the terms and conditions at any time without prior notice, if any dispute, SCMPP reserves the final decision.
