Royal Dutch Shell cleared a major hurdle to its $70 billion takeover of BG Group on Thursday, winning a green light from Australia's competition watchdog, which said the deal would not change the dynamics of the domestic market.
The acquisition will make Shell the world's top liquefied natural gas (LNG) trader, although it still needs approval from China and Australia's Foreign Investment Review Board to go ahead as planned in early 2016.
The Australian Competition and Consumer Commission (ACCC) was not convinced by concerns raised by big local gas users that the takeover would hurt competition in eastern Australia if Shell's Arrow Energy were to sell its coal seam gas into BG's Queensland Curtis LNG plant for export.
"The ACCC's view is that the proposed acquisition would be unlikely to substantially lessen competition in the wholesale natural gas market, in either Queensland or eastern Australia more broadly," commission chairman Rod Sims said in a statement.
Arrow was not currently supplying domestic customers and appeared unlikely to do so in the future, so aligning it to supply BG's LNG plant would change nothing, Sims said.
Imposing conditions on the deal would have been "extremely difficult", he added.
"There is too much uncertainty about the amount and timing for future gas supplies for the ACCC to be satisfied that Arrow and BG would be meaningful competitors in the domestic market in the absence of the acquisition."
Shell and BG said the decision was crucial to the deal, after having secured approvals from anti-trust authorities in Brazil, the European Union and the United States.
"The addition of BG's integrated gas assets in Australia to Shell's global portfolio is one of the main strategic drivers behind the recommended combination, making ACCC approval a major step forward for the deal," Shell CEO Ben van Beurden said in a statement.
Manufacturers worried about a lack of competitive gas supply on the east coast were disappointed the commission could not impose conditions on the merger but pinned their hopes on the Australian Foreign Investment Review Board (FIRB).
"We believe that the FIRB have a duty to test the national interest and we would hope that conditions on the merger be considered," Manufacturing Australia, a group that includes the biggest industrial east coast gas user, Incitec Pivot.

Royal Dutch Shell cleared a major hurdle to its $70 billion takeover of BG Group on Thursday, winning a green light from Australia's competition watchdog, which said the deal would not change the dynamics of the domestic market.
The acquisition will make Shell the world's top liquefied natural gas (LNG) trader, although it still needs approval from China and Australia's Foreign Investment Review Board to go ahead as planned in early 2016.
The Australian Competition and Consumer Commission (ACCC) was not convinced by concerns raised by big local gas users that the takeover would hurt competition in eastern Australia if Shell's Arrow Energy were to sell its coal seam gas into BG's Queensland Curtis LNG plant for export.
"The ACCC's view is that the proposed acquisition would be unlikely to substantially lessen competition in the wholesale natural gas market, in either Queensland or eastern Australia more broadly," commission chairman Rod Sims said in a statement.
Arrow was not currently supplying domestic customers and appeared unlikely to do so in the future, so aligning it to supply BG's LNG plant would change nothing, Sims said.
Imposing conditions on the deal would have been "extremely difficult", he added.
"There is too much uncertainty about the amount and timing for future gas supplies for the ACCC to be satisfied that Arrow and BG would be meaningful competitors in the domestic market in the absence of the acquisition."
Shell and BG said the decision was crucial to the deal, after having secured approvals from anti-trust authorities in Brazil, the European Union and the United States.
"The addition of BG's integrated gas assets in Australia to Shell's global portfolio is one of the main strategic drivers behind the recommended combination, making ACCC approval a major step forward for the deal," Shell CEO Ben van Beurden said in a statement.
Manufacturers worried about a lack of competitive gas supply on the east coast were disappointed the commission could not impose conditions on the merger but pinned their hopes on the Australian Foreign Investment Review Board (FIRB).
"We believe that the FIRB have a duty to test the national interest and we would hope that conditions on the merger be considered," Manufacturing Australia, a group that includes the biggest industrial east coast gas user, Incitec Pivot.

MELBOURNE (Reuters) - Australia's competition watchdog said it has postponed a final decision on Royal Dutch Shell's $70 billion (45.4 billion pounds) takeover of BG Group by a week to November 19, following an earlier deferral in September.
The Australian Competition and Consumer Commission (ACCC) had said last month that market participants had expressed concerns the takeover may hurt gas supply competition in eastern Australia if Shell's Arrow Energy were to sell its gas into BG's Queensland Curtis liquefied natural gas plant for export.

Fallout 3 takes place in the year 2277, 36 years after the setting of Fallout 2 and 200 years after the nuclear apocalypse that devastated the game's world, in a future where international conflicts between the United States and China culminated in a Sino-American war in 2077, due to the scarcity of petroleum reserves that ran the economies of both countries. The player character is an inhabitant of Vault 101, a survival shelter designed to protect up to 1,000 humans from the nuclear fallout. When the player character's father disappears under mysterious circumstances, the leader of the Vault initiates martial law and sends security forces after the player, who is forced to escape from the Vault and journey into the ruins of Washington, D.C. to track their father down. Along the way the player is assisted by a number of human survivors and must battle myriad enemies that inhabit the area, now known as the "Capital Wasteland".
Fallout 3 was critically acclaimed and received a number of Game of the Year awards, praising the game's open-ended gameplay and flexible character-leveling system. The NPD Group estimated that Fallout 3 sold over 610,000 units during its initial month of release in October 2008, performing better than Bethesda Softworks' previous game The Elder Scrolls IV: Oblivion, which sold nearly 500,000 units in its first month. The game has received post-launch support with Bethesda releasing five downloadable add-ons. The game received controversy upon release, including the use of and the ability to be addicted to morphine and other drugs including alcohol in the game for Australia, religious and cultural sentiments in India over the cattle in the game being called Brahmin, and sensitivity in Japan due to a weapon that launches mini nuclear bombs called the "Fat Man" and a quest involving the detonation/disarming of an atomic bomb.

During the delivery, the Courier is intercepted, shot in the head, and left for dead by a mysterious man who steals the package. After being found by a friendly robot, Victor, and healed by a man named Doc Mitchell, the Courier is thrust back into the desert to seek revenge and recover the stolen package. By doing this, the player becomes caught between various factions competing for control over the desert and its most valuable asset, the Hoover Dam, ultimately coming to shape the future of its inhabitants.

Abalone is a common name for any of a group of small to very large edible sea snails, marine gastropod molluscs in the family Haliotidae.
Other common names are ear shells, sea ears, and muttonfish or muttonshells in Australia, ormer in Great Britain, and pāua in New Zealand.
The family Haliotidae contains only one genus, Haliotis, which once contained six subgenera.
