Has Divestiture Worked? Panel 1 - Historical perspective
The Internet Society - NY Chapter (ISOC-NY) & the Open Infrastructure Alliance (OIA) present a 25th Anniversary Assessment of the Breakup of AT&T The goal of this conference was to outline the history of the last 25 years, discuss the current market issues, then give a view of the future of broadband and telecom in the US that has been mostly untold in the media. It is a future that leads to ubiquitous, very high speed networks based on an infrastructure that is open to all competitors -- giving customers choice, lower prices and new quality products and innovative services. And widely acknowledged as critical for long term economic growth. How does America get gigabit, open and ubiquitous, broadband telecom infrastructure? EVENT: Has Divestiture Worked? LOCATION: Warren Weaver Hall, NYU DATE: Mar 6 2009 PANEL 1: Historical perspective: * Bruce Kushnick - An overview and leading financial indicators. What happened over the last 25 years? * Dean Landsman & Tom Allibone - Consumers: telephony costs and other issues of broadband. * Ken Levy - Living history, perspective from within FCC during the Break Up! * Alex Goldman - ISP/CLEC industry: regulatory follies over the past decade * Mark Cooper - The Failure of Market Fundamentalism in the Telecom Sector: How Deregulation Derailed Divestiture or The Operation was Successful, but the Patient Died Speaker bios: 25thanniversaryofthebreakupofatt.blogspot.com More/Comment: www.isoc-ny.org

LCRA Board Chair says divestiture of water systems must proceed
Tim Timmerman, new chair of the LCRA Board of Directors, says LCRA would be remiss to pull back on the process of divesting its water and wastewater systems. He said LCRA's business model has changed and one group of customers should not be subsidizing others, which is what is happing now with the water systems. You can view his comments here.

Justice Department Requires Divestiture For NYSE, Deutsche Borse Merger
The Department of Justice announced that it will require Deutsche Borse to direct its subsidiary International Securities Exchange Holdings to sell its 31.5% stake in Direct Edge Holdings and agree to other restrictions in order to proceed with its planned merger with NYSE Euronext (NYSE:NYX). The department said that the transaction, as originally proposed, would have substantially lessened competition. The department's Antitrust Division filed a civil antitrust lawsuit today in US District Court in Washington, DC, and at the same time, filed a proposed settlement that, if approved by the court, would resolve the lawsuit and the department;s competitive concerns. Under the terms of the proposed settlement, Deutsche Borse's subsidiary, ISE, will divest its interest in Direct Edge within two years. NYSE and Deutsche Borse are also required to provide a written plan, prior to closing their transaction, explaining the steps they will take to remove any Deutsche Borse affiliate from governance of Direct Edge until the divestiture occurs. NYSE Euronext (NYSE:NYX) has potential upside of 42.1% based on a current price of $26.22 and an average consensus analyst price target of $37.25.

In order to keep its $10 billion divestiture plan on track, ConocoPhillips (NYSE:COP) may be required to ascertain $3 billion for its 9% stake in Syncrude Canada, according to a Bloomberg report. Closing its Syncrude holdings will be the first step for ConocoPhillip's in its effort to sell $10 billion worth of assets over a two-year period to lower its debt. Bloomberg said if Conoco falls short of its target proceeds from the divestiture, it may look to sell its interest in Russia-based OAO Lukoil.

Thomson Reuters Selling Its Healthcare Business, Expects No Change To Earnings Outlook
Thomson Reuters (NYSE:TRI) intends to divest its Healthcare business, which has been part of the company's Healthcare & Science segment. The Healthcare business provides data, analytics and performance benchmarking solutions and services to companies, government agencies and healthcare professionals. The Healthcare business in 2010 had revenues of approximately $450 million and an operating margin comparable to the company's consolidated margin of 19.3%. Following adjustment for this divestiture by removing Healthcare's results from ongoing businesses, no material impact is expected to the company's previously announced 2011 outlook. The company expects the divestiture to close before the end of the year. This divestiture will result in a realignment of the company's existing Intellectual Property and Science businesses into a single operating unit of the Professional division.
