Tribune Company has announced its intent to pursue the separation of its iconic broadcasting and publishing businesses into two distinct companies, each with greater financial and operational focus, the ability to tailor its capital structure to its specific business needs, and a management team dedicated to seizing strategic growth opportunities with maximum flexibility. The proposed separation is designed to maximize shareholder value through the spin-off of Tribune’s publishing assets to an independent company and the tax-free distribution of shares in that company to the stockholders of Tribune.
In a joint release, Tribune Company and Local TV Holdings, LLC announced the companies have entered into a definitive agreement for Tribune to acquire all of Local TV's 19 television stations. Upon closing, the acquisition will transform Tribune into the largest commercial TV station owner in the United States, with a total of 42 stations across the country. The deal makes Tribune become the #1 Fox network affiliate group, expands its position as the #1 CW network affiliate group, and adds market-leading stations in prime cities, such as Denver, Cleveland, St. Louis, Kansas City, Salt Lake City and Milwaukee.
