The very first ad of Vodafone in India. Vodafone acquired 52% stake in Hutchison Essar which operated the brand Hutch in India in May 2007. The brand transition from Hutch to Vodafone was carried out on 20 September 2007, which cost the company a reported sum of Rs. 250 crores (US$ 500 million). The ad features a pug which had become a brand ambassador of sorts of Hutch.

Vodafone wins $2.5 billion tax dispute case in Supreme Court
In a 2.5 billion dollar sigh of relief for Vodafone, and for other companies eyeing assets in India, the Supreme Court has ruled in favour of Vodafone. The court has said that the Indian tax department cannot tax the transaction that saw Vodafone acquire 67 per cent stake in Hutchison Essar, a mobile phone operator in India in 2007. The deal was for 55000 crores or $11.5 billion.

Vodafone tax matter - the questions before the Supreme Court
India's tax authorities claim that capital gains tax is due on Vodafone's acquisition of Hutchison Essar in 2007 for 10.9 billion US dollars. Previously, the Bombay High Court had rejected the companies' argument that the transaction took place outside of India and was therefore not subject to tax. Daksha Baxi, a Mumbai-based Executive Director with Khaitan and Co., spoke with us about the questions before the Supreme Court. Daksha Baxi first outlined the facts that lay behind the dispute. There was a very substantial value of a business, which was established in India. This business was owned by several companies in Mauritius, which were in turn owned by a company in the Cayman Islands, which in turn was held by another company in the Cayman Islands. By virtue of a transaction, this Cayman Islands company's shares were transferred by Hutch International to Vodafone. What really happened was that the control of the Indian company's business moved from Hutchison to Vodafone. "Many such transactions, where the shares of an intermediary company, which holds several investments, one or all of which may be Indian, have been sold, have happened over the years in several jurisdictions. India's case is specifically very interesting because India is one of the few larger countries, which are not a member of the OECD, which have a source-and-residence based taxation. So a non-resident is taxed on income, which is sourced in India. So as far as the Indian Tax Department is concerned <b>...</b>

The conventional practice in many parts of the world is to own foreign assets, particularly those that are not core, through a chain of subsidiaries, many of them registered in tax havens. One of the advantages is that the deal does not attract capital gains tax. The Indian Revenue department has, however, challenged this. The tax authorities have claimed US$2 billion in the US$11.1 billion Vodafone acquisition of Hutchison Essar.
