A private company limited by shares, usually called a private limited company (Ltd.) (though this can theoretically also refer to a private company limited by guarantee), is a type of company incorporated under the laws of England and Wales, Scotland, that of certain Commonwealth countries and the Republic of Ireland. It has shareholders with limited liability and its shares may not be offered to the general public, unlike those of a public limited company (plc).

"Limited by shares" means that the company has shareholders, and that the liability of the shareholders to creditors of the company is limited to the capital originally invested, i.e. the nominal value of the shares and any premium paid in return for the issue of the shares by the company. A shareholder's personal assets are thereby protected in the event of the company's insolvency, but money invested in the company will be lost.

A limited company may be "private" or "public". A private limited company's disclosure requirements are lighter, but for this reason its shares may not be offered to the general public (and therefore cannot be traded on a public stock exchange). This is the major distinguishing feature between a private limited company and a public limited company. Most companies, particularly small companies, are private.

Private companies limited by shares are usually required to have the suffix "Limited" (often written "Ltd" or "Ltd.") or "Incorporated" ("Inc.") as part of their name, though the latter cannot be used in the UK or the Republic of Ireland; companies set up by Act of Parliament may not have Limited in their name. In the Republic of Ireland "Teoranta" ("Teo.") may be used instead, largely by Gaeltacht companies. "Cyfyngedig" ("Cyf.") may be used by Welsh companies in a similar fashion.

Company officers[link]

Every company must have formally appointed company officers at all times. By statute, a private company must have at least one Director and until April 2008 also had to have a Secretary (see Companies Act 2006). The company's articles of association may require more than one director in any case, and frequently do. At least one director must be an individual, not another company.

Anybody can be a director, subject to certain exceptions. A person who is an undischarged bankrupt or who has been banned from being a company director by the court will also be restricted. Nor can a person be a director of a limited company if he or she is unable to consent to their appointment. From October 2008, all directors must be at least 16 years old. This change will be applied retrospectively, with any directors under the age of 16 being removed from the register (Companies Act 2006).

No formal qualifications are required to be a company secretary.

In Scotland the Registrar will not register the appointment of a director under the age of 16 years for any company, as such a child does not have the legal capacity to accept a directorship, under the Age of Legal Capacity (Scotland) Act 1991.

Certain non-British nationals are restricted as to what work they may carry out in the UK.

As of October 2008 (Companies Act 2006), it is no longer necessary to obtain a court order to withhold a director's address, as a Service Address can be supplied as well with the residential address being held as protected information at Companies House.

Share capital[link]

When a Limited Company is formed it must issue one or more subscriber shares to its initial members. It may increase capitalisation by issue of further shares. The issued share capital of the company is the total number of shares existing in the company multiplied by the nominal value of each share.

A company incorporated in England and Wales can be created with any number of shares of any value, in any currency. For example, there may be 10,000 shares with a nominal value of 1p, or 100 shares each of £1. In each case the share capital would be £100.

Unissued shares can be issued at any time by the directors using a Form SH01 - Return of Allotment of Shares(Pursuant to Companies Act,2006) subject to prior authorisation by the shareholders.

Shares in a private company are usually transferred by private agreement between the seller and the buyer, as shares in a private company may not by law be offered to the general public. A stock transfer form is required to register the transfer with the company. The articles of association of private companies often place restrictions on the transfer of shares.

Company accounts[link]

A company's first accounts must start on the day of incorporation. The first financial year must end on the accounting reference date, or a date up to seven days either side of this date. Subsequent accounts start on the day following the year-end date of the previous accounts. They end on the next accounting reference date or a date up to seven days either side.

To help companies meet this filing requirement, Companies House send a pre-printed "shuttle" form to its registered office several weeks before the anniversary of incorporation. This will show the information that has already given to Companies House. If a company's accounts are delivered late there is an automatic penalty. This is between £100 and £1,000 for a private company.

The first accounts of a private company must be delivered:

• within 10 months of the end of the accounting reference period until April 2008, when it was reduced to 9 months; or
• if the accounting reference period is more than 12 months, within 22 months of the date of incorporation, or three months from the end of the accounting reference period, whichever is longer.

A company may change its accounting reference date by sending Form 225 to the Registrar.

Registered office[link]

Every company must have a registered office, which does not need to be its usual business address. It is sometimes the company's lawyers or accountants, for example. All official letters and documentation from the government departments (including Inland Revenue and Companies House) will be sent to this address, and it must be shown on all official company documentation. The registered office can be anywhere in England and Wales (or Scotland if the company is registered there). If a company changes its registered office address after incorporation, the new address must be notified to Companies House on Form AD01.

Formation[link]

To incorporate a company in the UK (other than Northern Ireland) the following documents, together with the registration fee (currently £40), must be sent to the Registrar of Companies:

• Form IN01
• The articles of association
• The memorandum of association

The memorandum of association states the name of the company, the registered office and the company objectives. The objective of a company may simply be stated as being to carry out business as a general commercial company. The memorandum delivered to the Registrar must be signed by each subscriber in front of a witness who must attest the signature.

The articles of association govern the company's internal affairs. The company's articles delivered to the Registrar must be signed by each subscriber in front of a witness who must attest the signature.

Form IN01 states the first directors, the first secretary and the address of the registered office. Each director must give his or her name, address, date of birth, and occupation. Each officer appointed and each subscriber (or their agent) must sign and date the form.

In other jurisdictions companies must make similar applications to the relevant registrar — the Northern Ireland Registrar of Companies in Northern Ireland, the Companies Registration Office, Ireland in the Republic of Ireland, or the Registrar of Companies in India.

In reality it is far easier to contact one of the Company Registration services that can now form a company online without your written signature. Companies house now offers this service on their website using a system called business link (currently £18), meaning this method is often cheaper.

Redundant companies[link]

Private companies that have not traded or otherwise carried on business for at least three months may apply to the Registrar to be struck off the register. Alternatively, the company may be voluntarily liquidated.

Converting to a public limited company[link]

A private company limited by shares and an unlimited company with a share capital may re-register as a public limited company (PLC). A private company must pass a special resolution that it be so re-registered and deliver a copy of the resolution together with an application form 43(3)(e) to the Registrar.

A privately held company or close corporation is a business company owned either by non-governmental organizations or by a relatively small number of shareholders or company members which does not offer or trade its company stock (shares) to the general public on the stock market exchanges, but rather the company's stock is offered, owned and traded or exchanged privately. Less ambiguous terms for a privately held company are unquoted company and unlisted company.

Though less visible than their publicly traded counterparts, private companies have a major importance in the world's economy. In 2008, the 441 largest private companies in the United States accounted for $1.8 trillion in revenues and employed 6.2 million people, according to Forbes. In 2005, using a substantially smaller pool size (22.7%) for comparison, the 339 companies on Forbes' survey of closely held U.S. businesses sold a trillion dollars' worth of goods and services (44%) and employed 4 million people. In 2004, the Forbes' count of privately held U.S. businesses with at least $1 billion in revenue was 305.^[1]

Koch Industries, Bechtel, Cargill, Publix, Pilot Corp., one of the members of the Big Four accounting firms, Deloitte Touche Tohmatsu, Hearst Corporation, S. C. Johnson, and Mars are among the largest privately held companies in the United States. KPMG, the UK accounting firms, Ernst & Young and PricewaterhouseCoopers, IKEA, Trafigura, J C Bamford Excavators (JCB), LEGO, Bosch, Rolex and Victorinox are some examples of Europe's largest privately held companies.

State ownership vs. private ownership[link]

In the broadest sense, the term private corporation refers to any business not owned by the state. This usage is often found in former Communist countries to differentiate from former state-owned enterprises,^{[citation needed]} but it may be used anywhere when contrasting to a state-owned company.

In the States, the term privately held company is more often used to describe for-profit enterprises whose shares are not traded on the stock market.

Ownership of stock[link]

In countries with public trading markets, a privately held business is generally taken to mean one whose ownership shares or interests are not publicly traded. Often, privately held companies are owned by the company founders and/or their families and heirs or by a small group of investors. Sometimes employees also hold shares of private companies. Most small businesses are privately held.

Subsidiaries and joint ventures of publicly traded companies (for example, General Motors' Saturn Corporation), unless shares in the subsidiary itself are traded directly, have characteristics of both privately held companies and publicly traded companies. Such companies are usually subject to the same reporting requirements as privately held companies, but their assets, liabilities and activities are also included in the reports of their parent companies, as required by the accountancy and securities industry rules relating to groups of companies.

Form of organization[link]

Private companies may be called corporations, limited companies, limited liability companies, unlimited companies, or other names, depending on where and how they are organized. In the United States, but not generally in the United Kingdom, the term is also extended to partnerships, sole proprietorships or business trusts. Each of these categories may have additional requirements and restrictions that may impact reporting requirements, income tax liabilities, governmental obligations, employee relations, marketing opportunities, and other business decisions.

In many countries, there are forms of organization which are restricted to and are commonly used by private companies, for example the private company limited by shares in the United Kingdom (abbreviated Ltd) or private unlimited company and the proprietary limited company (abbreviated Pty Ltd) or unlimited proprietary company (abbreviated Pty) in Australia.

Reporting obligations and restrictions[link]

Privately held companies generally have fewer or less comprehensive reporting requirements for transparency, via annual reports, etc. than do publicly traded companies. For example, in the United States, unlike in Europe^[where?], privately held companies are not generally required to publish their financial statements. By not being required to disclose details about their operations and financial outlook, private companies are not forced to disclose information that may potentially be valuable to competitors and can avoid the immediate erosion of customer and stakeholder confidence in the event of financial duress. Further, with limited reporting requirements and shareholder expectations, private firms are afforded a greater operational flexibility by being able to focus on long term growth rather than quarterly earnings. In addition, private company executives may steer their ships without shareholder approval, allowing them to take significant action without haste.^[2][3] In Australia, Part 2E of the Corporations Act 2001 requires that publicly traded companies file certain documents relating to their annual general meeting with the Australian Securities and Investments Commission, while there is no similar requirement for privately held companies.

Privately held companies also sometimes have restrictions on how many shareholders they may have. For example, the U.S. Securities Exchange Act of 1934, section 12(g), limits a privately held company, generally, to fewer than 500 shareholders, and the U.S. Investment Company Act of 1940, requires registration of investment companies that have more than 100 holders. In Australia, section 113 of the Corporations Act 2001 limits a privately held company to fifty non-employee shareholders.

Privately owned enterprise[link]

A privately owned enterprise refers to a commercial enterprise that is owned by private investors, shareholders or owners (usually collectively, but they can be owned by a single individual), and is in contrast to state institutions, such as publicly owned enterprises and government agencies. Private enterprises comprise the private sector of an economy. An economic system that contains a large private sector where privately run businesses are the backbone of the economy is referred to as capitalism. This contrasts with socialism, where industry is owned by the state or by all of the community in common. The act of taking assets into the private sector is referred to as privatization. The goal of private enterprise differs from other institutions, the major difference being private businesses exist solely to generate profit for the owners or shareholders.^[4]

Types of privately owned business[link]

• Sole proprietorship: A sole proprietorship is a business owned by one person. The owner may operate on his or her own or may employ others. The owner of the business has total and unlimited personal liability of the debts incurred by the business. This form is usually relegated to small businesses.
• Partnership: A partnership is a form of business in which two or more people operate for the common goal of making profit. Each partner has total and unlimited personal liability of the debts incurred by the partnership. There are three typical classifications of partnerships: general partnerships, limited partnerships, and limited liability partnerships.
• Corporation: A business corporation is a for-profit, limited liability or unlimited liability entity that has a separate legal personality from its members. A corporation is owned by multiple shareholders and is overseen by a board of directors, which hires the business's managerial staff. Corporate models have also been applied to the state sector in the form of Government-owned corporations. A corporation may be privately held (that is, close - that is, held by a few people) or publicly traded.

Privately owned businesses are typically divided into two subcategories: privately held companies and publicly traded companies. Publicly traded firms list their shares on the stock market, allowing for more diversified ownership as anyone who purchases their stock becomes a partial owner and is able to receive a portion of its profit. Despite the term "public" in its name, a publicly listed company does not entail public ownership because it is not owned by the whole society. It just means that shares of the company are for sale to anyone in the general public who wishes to purchase them. Publicly listed corporations may be partially owned by peacemakers.

Criticism[link]

Criticism of private business has come from many perspectives, most notably^{[citation needed]} socialist perspectives. Criticism of private property and privately owned business is usually accompanied by criticism of the capitalist system entirely^{[citation needed]}. Socialists often argue^{[citation needed]} that within a capitalist system, economic activity is uncoordinated and serves the interest of a small business class as opposed to society as a whole. This results in stifled advancement^{[citation needed]} and an 'anarchy of production'. Marxists criticize private business^{[citation needed]}, along with capitalism, as being a form of exploitation that serves to extract the surplus value from the workforce and distribute it to passive owners (the capitalist class) in the form of profit. Because of this exploitation, the workers do not receive the full product of their labor and are forced, by the conditions imposed upon them by capitalism, to sell their labor to business owners in order to make a living.^[5] Socialists typically argue^{[citation needed]} for public ownership of the means of production, with Marxian socialists advocating^{[citation needed]} more direct collective worker-ownership of business enterprises with democratic worker management. Other critics of private property include^{[citation needed]} technocrats, some forms of economic nationalism, anarchists and proponents of economic democracy, who believe^{[citation needed]} power and economic decision-making should be spread among as many people as opposed to being concentrated into the hands of a few.

Subramanian Swamy (born 15 September 1939 in Chennai, India sometimes spelt Subramaniam Swamy) is an Indian politician, academician and an economist.^[1] He is the President of the Janata Party of India. He also presently serves as chairman^[2] of the SCMS Board of Governors of the SCMS Group of Educational Institutions in Kerala.

Swamy has previously served as member of the Planning Commission of India and Cabinet Minister of India. He has written extensively on foreign affairs dealing largely with India-China, India-Pakistan and Indo-Israel relation and is also a published author.

In November 1978, Swamy was member of the Group of Eminent persons called to Geneva to prepare a report of the United Nations (UNCTAD) on Economic Co-operation between Developing countries (ECDC).Swamy simplified trade procedures and formulated a new export strategy which became the forerunner of trade reform adopted subsequently. In 1994, Swamy was appointed as Chairman of the Commission on Labour Standards and International Trade by then Prime Minister P. V. Narasimha Rao. This was perhaps for the first time that an Opposition Party member was given a Cabinet rank post by the ruling party.

He is also known for his anti corruption activism.

Early life and education[link]

Subramanian Swamy was born in Mylapore, Chennai, India. His father Sitaram Subramanian^[3] is from Madurai, Tamil Nadu who was an Indian Statistical Service officer^[4] and retired as Director of the Central Statistical Institute.^[5][6] His mother Padmavati Subramanian^[4] belongs to Kerala Iyer family from Trichur, Kerala.

He attended Hindu College, University of Delhi, from where he earned his Bachelor Honours degree in Mathematics.^[5] He studied for his Masters degree in Statistics at the Indian Statistical Institute.^[5] He then went to study at Harvard University on a full Rockefeller scholarship.^[5] He received a Ph.D. in Economics in 1965. His thesis adviser was Nobel Laureate Simon Kuznets.^[7]

For some time, while completing his dissertation in 1963, he worked at the United Nations Secretariat in New York as an Assistant Economics Affairs Officer. He subsequently worked as a resident tutor at Lowell House at Harvard university.

Academic career[link]

Professorships[link]

In 1964, Swamy joined the faculty of economics at Harvard and since then has taught in the Department of Economics.^[8] He began as an assistant professor in July 1966^[5][9] and in 1969 became an associate professor.^[10] When he was Associate Professor at Harvard University, he was invited by Noble Laureate Amartya Sen^[3] for reader’s chair on Chinese studies at Delhi School of Economics.^[4] He accepted the offer and came back. However, when he arrived for the position at DSE, his appointment was cancelled due to his views on the nuclear capabilities for India and market friendly attitude.^[3] Thereafter, he moved to the Indian Institute of Technology Delhi and alongside to his teaching duties, he took special interest in talking to the hostel students. From 1969 to 1991, he was a Professor^[9] of mathematical economics at the Indian Institute of Technology Delhi.^[11] He was removed from the position by its board of Governors in the early 1970s but was legally reinstated in the late 1990s by the Supreme Court of India. He continued in the position until 1991 when he resigned to become a cabinet minister. He served on the Board of Governors of the IIT, Delhi (1977–80), and on the Council of IITs (1980–82).

He taught economics courses in summer session at Harvard ^[12] until 2011. In December 2011, the Faculty Council of the Faculty of Arts and Sciences removed his course from the Harvard Summer School course offerings in response to a controversial article he wrote, effectively ceasing his employment at Harvard.^[13]

Early politics[link]

Swamy's career started with his involvement in Jayaprakash Narayan's Sarvodaya movement, which was an apolitical movement but which formed the foundation of the creation of Janta Party later.^[14]. The real turn in his political career came after his sacking from IIT. Liberal economic policies put forward by him didn't go well with the then Prime Minister Indira Gandhi who discredited him as 'Santa Claus with unrealistic ideas'. As a result he was expelled from Indian Institute of Technology. This marked the beginning of his active political career. Staunch opponent of Indira Gandhi and right wing political party Jansangh sent him to Rajya Sabha - the upper house of Indian Parliament.^[3]

He was elected Member of Parliament 5 times between 1974 and 1999. He has twice represented the city of Mumbai North East during 1977 and 1980, Uttar Pradesh and Tamil Nadu in the Parliament.^[3]

During the period of emergency, he fled to America, seeking save haven with a Indian businessman in Michigan who had become the spokesperson of opposition in the US. In 1976 when emergency was still in force and an arrest warrant issued in his name, he came to parliament to attend the session and managed to escape India after attending the session. This act made him a hero in the eyes of opposition parties.

He was one of the founding members of the Janata Party and has been its president since 1990.^[3]

Economic Reforms in India[link]

During 1990 and 1991 Swamy was a member of the Planning Commission of India and Cabinet Minister of Commerce and Law of India. During this period he created the blueprint^[15][16] for economic reforms in India under Prime Minister Chandra Shekhar which was later carried out in 1991 by Manmohan Singh^[5], then Finance Minister under leadership of Prime Minister Narasimha Rao.^[16] The current Prime Minister Dr. Manmohan Singh recently stated that Dr. Swamy was the first to envisage and articulate the need for reforms in India.^[2][17]

Between 1994 and 1996, he held the position of "Chairman of the Commission on Labour Standards and International Trade" (equivalent to the rank of a cabinet minister) under the P. V. Narasimha Rao government.^[3] Dr. Swamy has been subject to several defamation cases. He is known to argue these cases himself without the agency of lawyers. In October 2004, he along with other members of the erstwhile Janata Party established the Rashtriya Swabhiman Manch to oppose the policies of the ruling UPA.

China and India[link]

He is known for his efforts in normalizing relations between China and India. In 1981, Indira Gandhi sought his help and upon which he persuaded Deng Xiaoping^[18] to open the Kailash Mansarovar in Tibet to the Hindu pilgrims from India.^[19] He became the first Indian on the reopening to visit Kailash and Mansarovar in 1981. In 1990–1991, he was a minister in the Chandra Shekhar cabinet and was in charge of the Ministry of Commerce and Ministry of Law and Justice.

Israel[link]

In his speeches and articles, Dr Swamy has expressed his admiration for Israel, and has credited its retaliatory capacity for its ability to survive in a hostile Arab environment. He made pioneering efforts at establishing diplomatic relations with Israel. In 1982, Dr. Swamy became the first Indian political leader to make publicized trip to Israel, where he met with some important Israeli leaders such as Yitzhak Rabin and then Prime Minister Menachem Begin. His efforts at normalizing relations with Israel have borne fruit now with India's decision in 1992 to open Embassies in the respective countries.^[20]

Revealing 2G spectrum scam[link]

In November 2008, Subramanian Swamy wrote the first of five letters to PM Manmohan Singh seeking permission to prosecute A. Raja in regards to the 2G spectrum scam.^[21] However, Singh took no action^[22], leading Swamy to file a case on his own in the Supreme Court of India regarding the matter, which then asked the Central Bureau of Investigation to produce a detailed report on the matter.^[23] He further called on the Indian government to re-auction the 2G spectrum without the involvement of Communications Minister Kapil Sibal.^[24]

Swamy has raised allegations that Sonia Gandhi's two sisters Anushka and Nadia have received sixty percent of the kickbacks in the 2G spectrum scam, amounting to Rs.18,000 crores each.^[25] On 15 April 2011, he filed a 206-page long petition with PM Singh seeking permission to prosecute Gandhi. In the petition, he claimed to have strong evidence of corrupt acts committed by Gandhi as early as 1972; he also raised doubts regarding her acquisition of Indian citizenship.^[26] At a lecture on corruption given on 29 May 2011, he again repeated his allegation against Sonia Gandhi, saying she has Rs.1 lakh crore stashed abroad.^[27] Most of Swamy's letters to the prime minister regarding this matter are backed up with full proof, which makes him defensive about his allegations.^[28]

Swamy filed various documents in the court to prosecute Minister of Home Affairs P.Chidambaram by including a January 15, 2008 letter written by Chidambaram to Prime Minister Manmohan Singh. Swamy also placed on record the certified copy of the minutes of a meeting between Chidambaram, Raja and the Prime Minister during the tenure of Raja as the MOC&IT. ^[29]After supreme court verdict cancelling all 122 licences awarded during A Raja tenure, Cho Ramaswamy described Subramanian swamy as not only man of the match but man of the series.^[30]

Supreme court petition in 2G scam[link]

On January 31, 2012, the Supreme Court of India accepted Swamy's petition against the Prime Minister's Office in the 2G case, saying that all public authorities should give a sanction within 3 months against any public official if a request is made for prosecution. The Supreme Court said that Subramanian Swamy had the locus to seek sanction from the Prime Minister for the prosecution of A Raja in the 2G scam. Sanction by a competent authority for the prosecution of a public servant has to be granted within a time frame, the apex court said. Justice A K Ganguly said that the sanction would be deemed to be granted if competent authority failed to take a decision within four months. Swamy's arguments were that he wrote to the PMO on November 29, 2008 but it was only on March 19, 2010 the PMO replied that the plea made by Swamy was "premature" as investigation was being carried out by the Central Bureau of Investigation (CBI). Raja was arrested by the CBI in the case and got bail on 15th May 2012 after spending nearly 15 months in the Tihar Central Jail.^[31]

Views on Kashmir[link]

In September 2008, Dr. Swamy stridently retorted against the contentions of some Indian columnists who voiced their opinions in favour of "peacefully" surrendering Kashmir to Pakistan. He said,

"I would say that the silent suffering majority of India wants none of this. The ‘Kashmir issue,’ in fact, can no more be solved by dialogue either with the Pakistanis or the Hurriyat, leave alone the constitutional impossibility of allowing it to secede. [...]Kashmir, in fact, is now our defining identity. It is a touchstone for our resolve to preserve our national integrity. The population of that State may be majority Muslim but the land and its history is predominantly Hindu. For our commitment to the survival of the ancient civilisation of India and the composite culture that secularists talk of, we have not only to win that coming inevitable war but also resolve never to part with Kashmir. [...]

I will not blame the jihadis for the coming war. They are, after all, programmed that way by their understanding of Islamist theology. I will blame ourselves for not understanding their understanding of the fundamentals of Islam. [...]

Pakistanis often cite the United Nations resolutions on Kashmir to argue for a plebiscite. This obfuscates the fact of accession of the State to India. The legality of the Instrument of Accession signed in favour of India by the then Maharaja of J&K, Hari Singh, on October 26, 1947 has to prevail anyway. "^[32]

• The Hindu is the target and that Muslims of India are being programmed by a slow reactive process to become radical and thus slide into suicide against Hindus.
• Remove Article 370, and re-settle ex-servicemen in the Valley. Create Panun Kashmir for Hindu Pandit community. Look or create opportunity to take over PoK. If Pakistan continues to back terrorists, assist the Baluchis and Sindhis to struggle for independence.
• Remove the masjid in Kashi Vishwanath temple complex, and 300 others in other sites as a tit-for-tat.
• Make Sanskrit learning compulsory and singing of Vande Mataram mandatory, and declare India as Hindu Rashtra in which only those non-Hindus can vote if they proudly acknowledge that their ancestors are Hindus. Rename India as Hindustan as a nation of Hindus and those whose ancestors are Hindus.

• Enact a national law prohibiting conversion from Hindu religion to any other religion.

Propagate the development of a Hindu mindset ^[33][34]. Swamy had written a similar column in The New Indian Express after the 2008 Mumbai attacks.

Negative reactions[link]

His column provoked a variety of reactions. His house was attacked by people alleged to be Congress party workers.^[35] Minorities Council of Maharashtra Vice Chairman Abraham Mathai and National Commission for Minorities chairman Wajahat Habibullah accused him of violating Indian Penal Code Section 153A.^[36][37] New Delhi law student Shehzad Poonawala attempted to lodge an FIR against him at Defence Colony police station, but was disallowed by the officer on duty.^[37] DNA published two hostile response columns by Rakesh Sharma and Parsa Venkateshwar Rao Jr. calling him a "Hindu Taliban", "maverick", and "Zionist" in response to his views.^[38][39]

Controversy at Harvard[link]

Some students at his alma mater Harvard University, where he also teaches economics in the summer school, accused him of stoking communalism and circulated a petition calling on the university to fire him and publicly repudiate his remarks. Two PhD students, Umang Kumar and Sanjay Pinto, started an online petition asking for the removal of courses taught by Dr Swamy, which received more than 450 signatures from students and faculty.^[40][41] Adam Kissel, on behalf of the Foundation for Individual Rights in Education, wrote in a letter to Harvard that a disciplinary investigation against him would be inappropriate for an academic institution dedicated to intellectual freedom, represented a threat to free speech, and could lead to self-censorship by other faculty members.^[42]

In response to the petition, Donald H. Pfister, dean of Harvard Summer School, stated that the school would "give this matter our serious attention", and decided to stand by its instructor.^[35] On Tuesday, 6 December 2011, the Harvard Faculty of Arts and Sciences voted to exclude Subramanian Swamy's summer school courses from its catalog.^[43][44][45] The Op-Ed was considered more to be a case of hate speech rather than free speech. 'I was persuaded... that the views expressed in Dr Swamy's op-ed piece amounted to incitement of violence instead of protected political speech,' Philosophy Department Chair Sean D Kelly wrote in an e-mail to the Crimson.^[46] Comparative Religion Professor Diana Eck said, "Swamy's op-ed [piece] clearly crosses the line by demonising an entire religious community and calling for violence against their sacred places".^[47] Swamy described the move as "nothing serious", saying "non-economists at Harvard don't like my views on how to protect India".^[48]

Views on Tamil Nadu Politics[link]

He is well known for his critical views against the Government of Tamil Nadu and against the "Aryan versus Dravidian" brand of divisive politics of Periyar E. V. Ramasamy.

He was staunch opponent of the Liberation Tigers of Tamil Eelam.^[49][50]

He obtained Supreme Court Stay against the implementation of Sethu Samuthiram Shipping Channel project (SSSCP). He believes that it would hurt the sentiments of people who believe that this shallow land connecting between Tamil Nadu and Sri Lanka was built by Lord Rama. He strongly opposes the implementation of SSSCP citing that implementing this scheme may affect the sentiments of Hinduism. He wrote letters to Prime Minister of India in June 2009 asking him to stop the project.^[51]. He has also strongly urged the Supreme Court of India to declare this Rama-Sethu as a National heritage & historical monument.

Family and Personal life[link]

Dr.Swamy married Dr. Roxna Swamy (a Parsi) in June 1966 whom he met at Harvard. Then she had obtained Ph.D in Maths ^[52] who is presently an advocate at the Supreme Court of India. They have two daughters, Dr. Gitanjali Swamy who is married to Sanjay Sarma, a professor at MIT and Suhasini Haider, a senior editor at CNN-IBN is married to Nadeem Haidar who is a son of Salman Haider, former foreign secretary and external affairs minister.^[53] His brother-in-law is Jewish, his son-in-law Muslim, his sister-in-law Christian, and his wife Parsi.^[40]

Sonia Gandhi (born Antonia Edvige Albina Maino^[2][3][4] on 9 December 1946)^[5] is an Italian-born Indian politician and the President of the Indian National Congress, one of the major political parties of India. She is the widow of former Prime Minister of India, Rajiv Gandhi and belongs to Nehru–Gandhi family. After his assassination in 1991, she was invited by the Indian National Congress to take over the Congress but refused and publicly stayed away from politics amidst constant prodding by the Congress. She finally agreed to join politics in 1997; in 1998, she was elected as the leader of the Congress.

Since then, Sonia Gandhi has been the President of the Indian National Congress Party. She has served as the Chairperson of the ruling United Progressive Alliance in the Lok Sabha since 2004. In September 2010, on being re-elected for the fourth time, she became the longest serving president in the 125-year history of the Congress party.^[6] Her foreign birth has been a subject of much debate and controversy.^[7][8][9] Although Sonia is actually the fifth foreign-born person to be leader of the Congress Party, she is the first since independence in 1947.^[10]

She was born to Stefano and Paola Maino in Contrada Màini ("Maini quarter/district"), at Lusiana,^[11][12] a little village 30 km from Vicenza in Veneto,^[13] Italy, where families with the family name "Màino" have been living for many generations.^[14][15][16] She spent her adolescence in Orbassano,^[17] a town near Turin, being raised in a traditional Roman Catholic family and attending a Catholic school. Her father, a building mason, died in 1983.^[18] Her mother and two sisters still live around Orbassano.^[19]

In 1964, she went to study English at the Bell Educational Trust's language school in the city of Cambridge. She met Rajiv Gandhi, who was enrolled in Trinity College at the University of Cambridge in 1965 at a Greek restaurant (the Varsity Restaurant) while working there as a waitress to make ends meet.^[20][21] Sonia and Rajiv Gandhi married in 1968, following which she moved into the house of her mother-in-law and then Prime Minister, Indira Gandhi.^[22]

The couple had two children, Rahul Gandhi (born 1970) and Priyanka Vadra (born 1972). Despite belonging to the influential Nehru family, Sonia and Rajiv avoided all involvement in politics. Rajiv worked as an airline pilot while Sonia took care of her family.^[23] When Indira was ousted from office in 1977 in the aftermath of the Indian Emergency, the Rajiv family moved abroad for a short time.^{[citation needed]} When Rajiv entered politics in 1982 after the death of his younger brother Sanjay Gandhi in a plane crash on 23 June 1980, Sonia continued to focus on her family and avoided all contact with the public.^[24]

Political career[link]

Sonia Gandhi's involvement with Indian public life began after the assassination of her mother-in-law and her husband's election as Prime Minister. As the Prime Minister's wife she acted as his official hostess and also accompanied him on a number of state visits.^{[citation needed]} In 1984, she actively campaigned against her husband's sister-in-law Maneka Gandhi who was running against Rajiv in Amethi. At the end of Rajiv Gandhi's five years in office, the Bofors Scandal broke out. Ottavio Quattrocchi, an Italian business man believed to be involved, was said to be a friend of Sonia Gandhi, having access to the Prime Minister's official residence.^[25] In 1980, her name appeared in the voter's list for New Delhi prior to her becoming an Indian Citizen, when she was still holding Italian Citizenship.^[26] It was a violation of Indian Laws.^[27] When she did acquire Indian Citizenship in April 1983, the issue cropped up again, as her name appeared on the 1983 voter's list when the deadline for registering had been in January 1983.^[28][29]

Senior Congress leader Pranab Mukherjee said that she surrendered her Italian passport to the Italian Embassy on 27 April 1983. Italian nationality law did not permit dual nationality until 1992. So, by acquiring Indian citizenship in 1983, she would automatically have lost Italian citizenship.^[30]

After the assassination of Rajiv Gandhi and her refusal to become Prime Minister, the party settled on the choice of P. V. Narasimha Rao who became leader and subsequently Prime Minister. Over the next few years, however, the Congress fortunes continued to dwindle and it lost the 1996 elections. Several senior leaders such as Madhavrao Sindhia, Rajesh Pilot, Narayan Dutt Tiwari, Arjun Singh, Mamata Banerjee, G. K. Moopanar, P. Chidambaram and Jayanthi Natarajan were in open revolt against incumbent President Sitaram Kesri and quit the party, splitting the Congress into many factions.^{[citation needed]}

In an effort to revive the party's sagging fortunes, she joined the Congress Party as a primary member in the Calcutta Plenary Session in 1997 and became party leader in 1998.^[31]

In May 1999, three senior leaders of the party (Sharad Pawar, P. A. Sangma, and Tariq Anwar) challenged her right to try to become India's Prime Minister because of her foreign origins. In response, she offered to resign as party leader, resulting in an outpouring of support and the expulsion from the party of the three rebels who went on to form the Nationalist Congress Party.^[32]

Within 62 days of joining as a primary member, she was offered the party President post which she accepted.^{[citation needed]} She contested Lok Sabha elections from Bellary, Karnataka and Amethi, Uttar Pradesh in 1999. In Bellary she defeated veteran BJP leader, Sushma Swaraj.^[33] In 2004 and 2009, she was re-elected to the Lok Sabha from Rae Bareli in Uttar Pradesh.^[34]

Leader of the Opposition[link]

She was elected the Leader of the Opposition of the 13th Lok Sabha in 1999.^{[citation needed]} When the BJP-led NDA formed a government under Atal Bihari Vajpayee, she took the office of the Leader of Opposition. As Leader of Opposition, she called a no-confidence motion against the NDA government led by Vajpayee in 2003.^{[citation needed]}

She holds the record of having served as Congress President for 10 years consecutively.^{[citation needed]}

2004 elections and aftermath[link]

In the 2004 general elections, Gandhi launched a nationwide campaign, criss-crossing the country on the Aam Aadmi (ordinary man) slogan in contrast to the 'India Shining' slogan of the BJP-led National Democratic Alliance (NDA) alliance. She countered the BJP asking "Who is India Shining for?". In the election, she won by a large margin in the Rae Bareilly constituency. Following the unexpected defeat of the NDA, she was widely expected to be the next Prime Minister of India. On 16 May, she was unanimously chosen to lead a 15-party coalition government with the support of the left, which was subsequently named the United Progressive Alliance (UPA).

The defeated NDA protested once against her 'foreign origin' and senior NDA leader Sushma Swaraj threatened to shave her head and "sleep on the ground", among other things, should Sonia become prime minister.^[7] The NDA also claimed that there were legal reasons that barred her from the Prime Minister's post.^[35] They pointed, in particular, to Section 5 of the Indian Citizenship Act of 1955, which they claimed implied 'reciprocity'. This was contested by others^[29] and eventually the suits were dismissed by the Supreme Court of India.^[36]

A few days after the election, Gandhi appointed Manmohan Singh as prime minister. Her supporters compared it to the old Indian tradition of renunciation,^[37] while her opponents attacked it as a political stunt.^[38]

UPA Chairperson[link]

On 23 March 2006, Gandhi announced her resignation from the Lok Sabha and also as chairperson of the National Advisory Council under the office-of-profit controversy and the speculation that the government was planning to bring an ordinance to exempt the post of chairperson of National Advisory Council from the purview of office of profit. She was re-elected from her constituency Rae Bareilly in May 2006 by a margin of over 400,000 votes.

As chairperson of the National Advisory Committee and the UPA, she played an important role in making the National Rural Employment Guarantee Scheme and the Right to Information Act into law.^[39][40]

She addressed the United Nations on 2 October 2007, Mahatma Gandhi's birth anniversary which is observed as the international day of non-violence after a UN resolution passed on 15 July 2007.^[41]

Under her leadership, India returned the Congress-led-UPA to a near majority in the 2009 general elections with Manmohan Singh as the Prime Minister. The Congress itself won 206 Lok Sabha seats, which was the highest total by any party since 1991.

Personal life[link]

Sonia is the widow of late Rajiv Gandhi, elder son of Indira Gandhi. She is a practising Christian.^[42] There has been considerable media speculation for over a decade about their future role in the Congress. After a period of uncertainty, both Rahul and Priyanka became primary members of the Congress party. While Priyanka has so far restricted herself to organising her mother's election campaigns and taking care of Sonia's constituency, Rahul Gandhi has gone on to take formal charge as General Secretary of the Congress Party. He is also currently head of the Youth Congress.

In August 2011, she underwent a successful surgery for some ailment in the US. It has been widely speculated in the media that the surgery took place at Memorial Sloan–Kettering Cancer Center in New York. Newspapers reported that she returned^[43] to India on 9 September after her treatment.

Honours, awards and international recognition[link]

Gandhi was named the third most powerful woman in the world by Forbes Magazine in the year 2004^[44] and was ranked 6th in 2007.^[45] In 2010, Gandhi ranked as the ninth most powerful person on the planet by Forbes Magazine.^[46] She was also named among the Time 100 most influential people in the world for the years 2007^[47] and 2008.^[48] The British magazine New Statesman listed Sonia Gandhi at number 29 in their annual survey of "The World's 50 Most Influential Figures" in the year 2010.^[49]

Rahul Gandhi ([ˈraːɦʊl ˈɡaːnd̪ʱiː]; born 19 June 1970) is an Indian politician and member of the Parliament of India, representing the Amethi constituency.^[1] Gandhi is the general-secretary of the Indian National Congress.^[2] He is the grandson of Feroze Gandhi and Indira (née Nehru) Gandhi, and fourth-generation scion of the Nehru-Gandhi family.

Rahul Gandhi was born in Delhi on 19 June 1970 ^[3] as the first of the two children of Rajiv Gandhi, who later became the Prime Minister of India and Sonia Gandhi, who later became President of Indian National Congress, and as the grandson of the then Prime Minister Indira Gandhi. He is also the great-grandson of India's first Prime Minister, Jawaharlal Nehru. Priyanka Vadra is his younger sister.^[4]

Rahul Gandhi attended St. Columba's School, Delhi^[5] before entering The Doon School in Dehradun (Uttarakhand), also his father's alma mater,^[6] from 1981–83. Meanwhile, his father had joined politics and became the Prime Minister on October 31, 1984 when Indira Gandhi was assassinated. Due to the security threats faced by Indira Gandhi's family from Sikh extremists, Rahul Gandhi and his sister, Priyanka were home-schooled since then.^[7] Rahul Gandhi joined St. Stephen's College, Delhi in 1989 for his undergraduate education but moved to Harvard University after he completed the first year examinations.^[8] In 1991, after Rajiv Gandhi was assassinated by LTTE^[9] during an election rally, he shifted to Rollins College due to security concerns and completed his B.A. in 1994.^[10] During this period, he assumed the pseudonym Raul Vinci and his identity was known only to the university officials and security agencies.^[8][11] He further went on to obtain a M.Phil from Trinity College, Cambridge University in 1995.^[12] After graduation, Rahul Gandhi worked at the Monitor Group, a management consulting firm, in London.^[13] In 2002 he was one of the directors of Mumbai-based technology outsourcing firm Backops Services Private Ltd.^[14]

Political career[link]

In March 2004, he announced his entry into politics by announcing that he would contest the May 2004 elections, standing for his father's former constituency of Amethi in Uttar Pradesh in the Lok Sabha, India's lower house of Parliament.^[15] The seat had been held by his mother until she transferred to the neighbouring seat of Rae Bareilly. The Congress had been doing poorly in Uttar Pradesh, holding only 10 of the 80 Lok Sabha seats in the state at the time.^[16] At the time, this move generated surprise among political commentators, who had regarded his sister Priyanka as being the more charismatic and likely to succeed. It generated speculation that the presence of a young member of India's most famous political family would reinvigorate the Congress party's political fortunes among India's youthful population^[17] In his first interview with foreign media, he portrayed himself as a uniter of the country and condemned "divisive" politics in India, saying that he would try to reduce caste and religious tensions.^[15]

He won with a landslide majority, retaining the family stronghold with a margin of over 100,000 as the Congress unexpectedly defeated the ruling Bharatiya Janata Party.^[18] Until 2006 he held no other office.^[19]

Gandhi and his sister, who is married to Robert Vadra, managed their mother's campaign for re-election to Rae Bareilly in 2006, which was won easily with a margin greater than 400,000 votes.^[20]

He was a prominent figure in the Congress campaign for the 2007 Uttar Pradesh Assembly elections; Congress, however, won only 22 seats with 8.53% of votes.^[21]

Rahul Gandhi was appointed a general secretary of the All India Congress Committee on 24 September 2007 in a reshuffle of the party secretariat.^[22] In the same reshuffle, he was also given charge of the Indian Youth Congress and the National Students Union of India.^[23]

In 2008, senior Congress leader Veerappa Moily mentioned “Rahul-as-PM” idea when the PM of India Manmohan Singh was still abroad.^[24]

Youth politics[link]

In his attempt to prove himself as a youth leader in November 2008 he held interviews at his 12, Tughlak Lane residence in New Delhi to handpick at least 40 people who will make up the think-tank of the Indian Youth Congress (IYC), an organisation that he has been keen to transform since he was appointed general secretary in September 2007.^[25]

Under Rahul Gandhi, IYC and NSUI has seen a dramatic increase in members from a two lakhs to twenty five lakhs.^[26]

In various reports it has been proved that Rahul Gandhi has failed in his promise to eliminate family, patronage, money from Youth Congress. It has been seen that an aspiring delegates need to pay a substantial sum as nomination fee. Hence, an aspiring office-bearer with deep pockets sponsors them thereby allowing money power to have a role in the elections.^[27][28][29]

2009 elections[link]

In the 2009 Lok Sabha elections, he retained his Amethi constituency by defeating his nearest rival by a margin of over 333,000 votes. In these elections congress is said to have revived itself in Uttar Pradesh by winning 21 out of the total 80 Lok Sabha seats and the majority of the credit for this turnaround is given to Rahul Gandhi.^[30] He spoke at 125 rallies across the country in six weeks.

Lokpal bill[link]

Rahul Gandhi opines that the Lokpal should be made a constitutional body and it should be made accountable to the Parliament, just like the Election Commission. He also feels that Lokpal alone cannot root out corruption. This statement came out on 25 August 2011, on the 10th day of Anna Hazare's fast. This statement was considered as a delaying tactic by the opposition and Team Anna's members. It was consequently slammed by prominent opposition leaders Sushma Swaraj and Arun Jaitley.^[31] The Parliamentary Standing Committee led by Abhishek Manu Singhvi tabled the Lok Bill report in the Rajya Sabha on 9 December 2011. Almost all points proposed by Team Anna were ignored while Rahul Gandhi's wish for Lokpal to be made into a constitutional body was implemented. Anna Hazare believes that Rahul Gandhi is responsible for the weak and ineffective bill proposed by the standing committee of parliament.^[32]

Land Acquisition Protests Arrest[link]

On 11 May 2011 Rahul Gandhi was arrested by the Uttar Pradesh police at Bhatta Parsaul village after he turned out in support of agitating farmers demanding more compensation for their land being acquired for a highway project.^[33] He was released after being held for about three hours and later returned to New Delhi. He was to be presented before a Sub-Divisional Magistrate on 12 May 2011.^[34]

2012 Assembly elections[link]

Rahul Gandhi campaigned extensively in the 2012 Assembly elections, especially in the highly politically crucial state of Uttar Pradesh (UP) in the hope that his popularity would help bring Congress back to power. However, the party did very poorly in the elections winning only 38 seats, a meagre increase of six seats from the 2007 elections^[35]. The Samajwadi Party and its new leader, Akhilesh Yadav swept the elections in UP, and Mr Yadav was sworn as the youngest Chief Minister of UP. The Congress party suffered humiliating defeats in other states (Goa and Punjab), and a close shave in Uttarahakhand. With only one win in the state of Manipur, the Indian press was quick to question the future of Mr Gandhi as the leader of the Congress party.^[36]

Comparison of RSS and SIMI[link]

Rahul Gandhi has been critical of nationalist groups like the RSS and compared them to terrorist organizations like SIMI.^[37][38] According to a cable leaked by Wikileaks, in 2009, he allegedly shared concerns with the American ambassador to India Timothy Roemer that radicalized Hindu groups may pose a bigger threat to India than Islamic terror groups like Lashkar-e-Taiba.^[39][40] His comments on radical Hindu groups were criticized by the opposition party, as well as the Rashtriya Swayamsevak Sangh.^[41]

Sukanya Devi[link]

It has been alleged that Rahul Gandhi had detained a girl and her parents since 2007 after the family accused the Gandhi scion of raping the girl. On 01st Mar 2011, the Lucknow Bench of Allahabad High Court issued a notice to Rahul Gandhi,^[42] however the allegations were found to be false. Allahabad high court not only dismissed the case after the girl in question appeared in the court, but slapped a 50 lakh penalty against the petitioner ordering a CBI inquiry against her and websites publishing the story.^[43]

13th Jul 2011 Terror Attack remarks[link]

On 14th Jul 2011, a day after the serial bombing in Mumbai, Rahul Gandhi gave a statement that "it was very difficult to stop every single terror attack". The remark resulted in a number of strong criticism from a number of Shiv Sena party members.^[44]
