Rosneft to buy half of TNK-BP?

Reportedly the consortium of Russian billionaires that owns half of the oil company with BP wants out of the lucrative but troubled joint-venture.
Sources said it has agreed to sell its stake to Russia's state-controlled energy producer Rosneft.
It is not clear if BP would also then sell its half to Rosneft.
A full purchase would make Rosneft the world's largest publicly listed oil company, with production of 4.5 million barrels a day; that is over double the output of the privately owned Russian firm Lukoil.
A deal would be subject to government approval but that is not seen as a problem. Rosneft boss Igor Sechin has strong personal ties to Russian President Vladimir Putin and recently said his firm's ambition to invest in TNK-BP enjoyed Putin's backing.
This could also allow BP to pursue an exploration deal in the Arctic it tried to set up last year with Rosneft, but which was blocked in the courts by its TNK-BP partners. That was just the latest in a series of disputes between BP's management and the Russian billionaires.
BP's Chief Executive Bob Dudley, a former head of TNK-BP, has said he is still committed to Russia.

Rosneft Buys TNK Unit from BP
Rosneft, Russia's state-controlled energy firm, is one step closer to becoming the world's biggest oil company after reaching a $55bn deal with BP and a group of investors.
This means that BP and a consortium of Russian investors known as AAR, will each sell their 50 % share in a joint venture known as TNK-BP to Rosneft in return for cash and shares. The UK firm will get $17.1bn (£10.7bn) cash and a 12.84% stake in Rosneft, enabling BP to continue to share in Russia's vast energy resources. BP has agreed to eventually use some of the cash to buy further Rosneft shares, taking its stake to 19.75%.
This deal has the blessing of the Russian President Vladimir Putin, who said state-controlled Rosneft had made a good deal at a good price: "This is a good, large deal that is necessary, not only for the Russian energy sector but also the entire economy."
The $55bn value makes it the second largest transaction in oil industry history - behind the $80bn takeover of Mobil by Exxon in 1999 - and the biggest ever by a Russian company. Once the transaction closes, Rosneft will control around 40 % of Russia's crude output and match the annual production of Exxon Mobil.

Rosneft bids for BP's stake in TNK-BP
The race to buy BP's stake in equal UK and Russian joint venture TNK-BP has sped up - after Russian state-owned oil company Rosneft revealed it is its interest in potentially acquiring BP's stake at the embattled company.
In a statement, Rosneft, chaired by one of President Vladimir Putin's closest confidants Igor Sechin, said that it has informed BP of the group's interest in a potential acquisition of BP's 50% stake.
"As a result, the parties agreed to commence negotiations on this matter and signed a non-disclosure agreement" -- said the group.
At the beginning of June, BP revealed that it was considering selling its stake in TNK-BP, after being approached by a number of "unsolicited approaches".
Since then, there has been wide speculation as to who would buy the lucrative 50 percent BP stake.
Consensus highlighted Russian state-owned energy companies, such as Gazprom-Neft and Rosneft as the key potential bidders, however the head of Russian energy giant Gazprom's oil arm, OAO Gazprom Neft, denied reports that the group is looking to buy BP's stake.
Analysts tell IBTimes UK that they wouldn't be surprised if Rosneft spurred on BP to sell its stake in the first place.

El acuerdo fue firmado por Sechin y el vicepresidente de Exxon, Stephen Greenlee, en la sede de la compañía estadounidense en el estado de Texas. El monto de la transacción no superaría los 100 millones de dólares, según estiman algunos expertos.

Für umgerechnet 21,5 Milliarden Euro erwirbt Rosneft eine Hälfte des Joint-Ventures von mehreren russischen Milliardären. Die andere Hälfte kommt vom britischen Mineralölkonzern BP, der seinen Anteil für 13 Milliarden Euro sowie eine Unternehmensbeteiligung verkauft. Damit steigt Rosneft zum größten börsennotierten Ölkonzern der Welt auf, der mit einem Fördervolumen von knapp 3,2 Millionen Barrel pro Tag vor Petrochina und ExxonMobil rangiert.
Experten sind jedoch eher skeptisch. "Es bleibt abzuwarten, ob der immer stärkere Einfluss des russischen Staates auf diesen so wichtigen Bereich der russischen Wirtschaft für Anleger positiv ist oder nicht", meint etwa Analyst Neil Sheering. "Ich nehme eher an, es ist keine gute Entwicklung. Die Dinge können schwierig werden, vor allem, wenn die Ölpreise fallen."
Denn Rosnefts größter Aktionär ist der russische Staat, erst dahinter folgt BP mit einem Anteil von 19,7 Prozent. Für Russlands Präsident Wladimir Putin bedeutet die Übernahme von TNK-BP durch Rosneft, dass er bei seinem Vorhaben, die staatliche Kontrolle über große Teile der Industrie zurückzugewinnen, vorankommt. Zudem könnte Russland seinen schon jetzt starken Einfluss auf den europäischen Energiemarkt weiter ausbauen.

State-controlled Russian oil company Rosneft has struck a two-part deal worth about $55 billion, to buy privately-owned TNK-BP and make British oil company BP a near-20 percent Rosneft shareholder, with two seats on the board. Rosneft, which is already Russia's top oil producer, will control almost half of Russia's oil output and pump more oil and gas than Exxon Mobil, the world's top international oil company. Looks like Rosneft is definitely the winner in this little scenario, gaining a lot of credibility with a western partner on the board and everything, but there must be a catch somewhere. I am sure of it. Only a matter of time till we find out.
Well it's official. The UCI, International Cycling Union, has stripped Lance Armstrong of all his seven Tour de France titles today. UCI president Pat McQuaid said: "Lance Armstrong has no place in cycling. He deserves to be forgotten." Armstrong has continued to deny the allegations that he used performance-enhancing drugs, but in August he said he would no longer fight the doping charges handed down by the USADA. The entire US team was accused of using the banned hormone EPO. Even the Dutch banking Group Rabobank had enough, and ended its 20 year sponsorship of the sport. It is indeed a sad day for cycling and its fans.
An amazing breakthrough has been achieved by UK scientists! They have found a way to extract carbon dioxide from air, and mix it with water vapor to create a cleaner, clearer gas, that can be used in existing cars and other forms of transport. A company called Air Fuel Synthesis says it has made five liters of gas so far using a small, electric refinery, but it hopes to create a larger operation powered by solar or wind energy that could produce up to a ton of gas a day within two years. If it works on a large scale, the process could not only help ease the energy crisis but clean up the environment as well. Now it is just a matter of time until we can convince the oil producers of our world to give up their billions upon billions of dollars in profit - and switch over to cleaner energy.

TNK-BP announces that all of its Russian retail assets have been consolidated within the TNK-BP Holding group of companies.
In a transaction between a subsidiary of TNK-BP Holding and STBP Holdings Ltd., the TNK-BP Holding group has consolidated retail business of STBP Holdings Ltd. within Moscow city limits and the Moscow region. The transaction was valued at approximately USD 1.1 bn by an independent appraiser, S&G; Partners. With the deal closed, TNK-BP Holding owns 733 retail sites across Russia under BP and TNK brands.
"Complete consolidation of Russian retail assets within a Russian company makes for a crucial step in the implementation of TNK-BP's strategy for greater transparency and efficiency of its business; moreover, it is a key prerequisite for its ongoing successful development", — says Jonathan Muir, Chief Financial Officer, TNK-BP.

BP Holdings - BP säljer TNK-BP samriskföretaget spel Rosneft
LONDON--BP PLC (BP.LN) sade måndag har enats om att sälja sin 50% andel i ryska oljebolaget TNK-BP Ltd. till staten-stödda jätte OAO Rosneft för 17,1 miljarder dollar i kontanter plus andelar som representerar 12.84% i det ryska bolaget.
Enligt villkoren i transaktionen, BP använder 4,8 miljarder US-dollar i kontanter tas emot för sin TNK-BP spel att köpa ytterligare 5.66% av aktierna i Rosneft, att dess totala spel upp till 19,75%, det sade i ett uttalande. Efter förvärv av dessa aktier, kommer BP vunnit 12,3 miljarder dollar i kontanter från transaktionen, det sade.
Affären är ett historiskt skifte i BP: s närvaro i nyckeln ryska oljemarknaden, frigöra den från ett turbulent samriskföretag med en grupp av Sovjet-född miljardärer och potentiellt ger tillgång till Arktis olja utforskning rättigheter som är mycket eftertraktade av företag som syftar till att ersätta krympande olja resurser i någon annanstans.
BP får två platser Rosnefts nio personer ombord som en del av affären och förväntar sig att kunna redovisa sin andel av Rosnefts vinstmedel, produktion och reserver på grundval av eget kapital.
Undertecknandet av de definitiva avtalen är beroende av den ryska regeringen att försäljning av 5.66% andel i Rosneft och avsikten är att TNK-BP försäljningen och detta ytterligare investeringar i Rosneft skulle fullborda samma dag, BP sade i ett uttalande.
