What is an IPO?
An IPO is the first offer of a company’s stock on the public market. “Going public” is the sought-after destination of many emerging companies. Traditionally, the IPO has been used as a financing vehicle. Today, it’s a little more complex than that. An IPO can cost hundreds of thousands of dollars — and there’s no guarantee it’ll even become a reality.
Why Do Companies Go Public?
Going public exposes all kinds of vulnerabilities. Not only does it subject a company to new rules and regulations by various governing bodies, it also opens it up to the risk of takeover. A public company’s shares can be snapped up by anyone — even its competitors. The IPO’s primary reason for existing is to provide liquidity to investors and employees. An IPO also furnishes a company with some collateral that can later be traded upon for future purchases or mergers.
The heart of the matter is knowing when. Undertaking an IPO too early can have catastrophic effects on the future health of a business; waiting too long might allow a competitor to steal the thunder. Before deciding whether or not to issue an IPO, companies need to spend some time evaluating the big picture.

Do your research before investing in IPO stocks to avoid getting in at the wrong time.
IPO (Initial Public Offering)
-The first time the stock is released to the public and is available for purchase
The Problem With IPOs:
-The stock market is based on future expected growth
-IPOs need time to set up
-Preferred shareholders typically sell their shares as soon as the IPO comes out, which causes the stock to go down
-Sometimes preferred shareholders are required to hold their shares for 60-90 days, the stock can decrease at this time instead of dropping initially.
-As time go on, more shareholders can sell their stock. You need to read the find print to find out when this happens.
-Let the charts set up, give them time and do not hurry
-Don't jump into things too quickly, IPOs should be avoided initially
-Understand why you are buying the stock. Don't just purchase it because it's a company you use (e.g. Zynga or Groupon)
-A better time to get in is after the stock has decreased over a period of time and begins to go back up. You don't need to get in right away.

-Everyone expected FB to go way up, but it went very low because preferred shareholders sold their shares right away

What is an IPO? What is an Initial Public Offering? This video will cover everything you need to know about an IPO, or an Initial Public Offering of the stock of a private company to the general public.
“IPO” - Initial Public Offering, the very first sale of stock issued to the public.
A company is considered to be private before an IPO. Prior to this, only insiders are able to invest in them. Until the stock of a company is offered to the public, the public is unable to invest in it. You would have to approach a private company directly to invest in them.
MYTH: All large companies go public.
Here are a few that have not: Cargill, Dell, Mars Candy, Publix, US Foods, IKEA
The reason for this is that public companies have to disclose a lot as they report to the Securities and Exchange Commission quarterly. Private companies do not have to disclose as much financial and accounting information.
In the past, public offerings were reserved for the cream of the crop. The best of the best companies were chosen and it as difficult to get listed. Now, as a result of exchange competition, it is easier to get listed and the companies are no longer the best of the best. A company is not a good investment solely because it goes public.
A company will have an IPO to raise money. It is also an exit strategy for the founders and initial investors. This also makes mergers and acquisitions easier as they can attract talent using equity as buying power.
An IPO is good for a company because it provides lower cost of capital. It improves the prestige and the image of the company, allows for better talent acquisition and allows them to raise the most money. The cons of an IPO are the in depth financial disclosure, no demand for the stock, public info may help their competition, loss of control if voting rights are offered and an increased risk of legal issues.
The offer price is set by the company based on the perceived demand for the stock and what they feel the market capitalization of the company is. If there is high demand, it will trade higher than the IPO in the secondary market. This means the company left money on the table. Once the stock is sold, proceeds go to whoever sold the stock post IPO on the secondary market. This could be founders or institutional investors for example.
After the IPO, the stock trades on a public stock exchange. There is very little technical and fundamental information aside from what is in the prospectus. Often times, the stock surges post-IPO then comes back to earth. This is often due to the lock up period where company insiders sign an agreement not to sell shares for a specified period of time. Once this period expires, this can create tremendous bearish pressure on the stock.
The bottom line is, unless you are an institutional investor it is very difficult if not impossible to get your hands on the initial offering. Your only chance is likely to buy shares from the secondary market, after market demand or supply sets the price. The best strategy is to invest in an IPO because you like the company, not simply because of the IPO or your intentions to do a short term hold and flip.

Initial public offering
Initial public offering (IPO) or stock market launch is a type of public offering in which shares of a company usually are sold to institutional investors that in turn, sell to the general public, on a securities exchange, for the first time. Through this process, a private company transforms into a public company. Initial public offerings are mostly used by companies to raise the expansion of capital, possibly to monetize the investments of early private investors, and to become publicly traded enterprises. A company selling shares is never required to repay the capital to its public investors. After the IPO, when shares trade freely in the open market, money passes between public investors. Although IPO offers many advantages, there are also significant disadvantages, chief among these are the costs associated with the process and the requirement to disclose certain information that could prove helpful to competitors. The IPO process is colloquially known as going public.

Khan Academy
Khan Academy is a non-profit educational organization created in 2006 by educator Salman Khan with the aim of providing a free, world-class education for anyone, anywhere. The organization produces short lectures in the form of YouTube videos. In addition to micro lectures, the organization's website features practice exercises and tools for educators. All resources are available for free to anyone around the world. The main language of the website is English, but the content is also available in other languages.
History
The founder of the organization, Salman Khan, was born in New Orleans, Louisiana, United States to immigrant parents from Bangladesh and India. After earning three degrees from the Massachusetts Institute of Technology (a BS in mathematics, a BS in electrical engineering and computer science, and an MEng in electrical engineering and computer science), he pursued an MBA from Harvard Business School.
In late 2004, Khan began tutoring his cousin Nadia who needed help with math using Yahoo!'s Doodle notepad.When other relatives and friends sought similar help, he decided that it would be more practical to distribute the tutorials on YouTube. The videos' popularity and the testimonials of appreciative students prompted Khan to quit his job in finance as a hedge fund analyst at Connective Capital Management in 2009, and focus on the tutorials (then released under the moniker "Khan Academy") full-time.

Wall Street
Wall Street is a 0.7-mile-long (1.1 km) street running eight blocks, roughly northwest to southeast, from Broadway to South Street on the East River in the Financial District of Lower Manhattan, New York City. Over time, the term has become a metonym for the financial markets of the United States as a whole, the American financial sector (even if financial firms are not physically located there), or signifying New York-based financial interests.
Anchored by Wall Street, New York City has been called both the most economically powerful city and the leading financial center of the world, and the city is home to the world's two largest stock exchanges by total market capitalization, the New York Stock Exchange and NASDAQ. Early years
There are varying accounts about how the Dutch-named "de Waal Straat" got its name. A generally accepted version is that the name of the street was derived from an earthen wall on the northern boundary of the New Amsterdam settlement, perhaps to protect against English colonial encroachment or incursions by Native Americans. A conflicting explanation is that Wall Street was named after Walloons— the Dutch name for a Walloon is Waal. Among the first settlers that embarked on the ship "Nieu Nederlandt" in 1624 were 30 Walloon families. The Dutch word "wal" can be translated as "rampart". However, even some English maps show the name as Waal Straat, and not as Wal Straat.

An IPO is the first offer of a company’s stock on the public market. “Going public” is the sought-after destination of many emerging companies. Traditionally, the IPO has been used as a financing vehicle. Today, it’s a little more complex than that. An IPO can cost hundreds of thousands of dollars — and there’s no guarantee it’ll even become a reality.
Why Do Companies Go Public?
Going public exposes all kinds of vulnerabilities. Not only does it subject a company to new rules and regulations by various governing bodies, it also opens it up to the risk of takeover. A public company’s shares can be snapped up by anyone — even its competitors. The IPO’s primary reason for existing is to provide liquidity to investors and employees. An IPO also furnishes a company with some collateral that can later be traded upon for future purchases or mergers.

-Let the charts set up, give them time and do not hurry
-Don't jump into things too quickly, IPOs should be avoided initially
-Understand why you are buying the stock. Don't just purchase it because it's a company you use (e.g. Zynga or Groupon)
-A better time to get in is after the stock has decreased over a period of time and begins to go back up. You don't need to get in right away.

-Facebook (FB)
-Everyone expected FB to go way up, but it went very low because preferred shareholders sold their shares right away

The reason for this is that public companies have to disclose a lot as they report to the Securities and Exchange Commission quarterly. Private companies do not have to disclose as much financial and accounting information.
In the past, public offerings were reserved for the cream of the crop. The best of the best companies were chosen and it as difficult to get listed. Now, as a result of exchange competition, it is easier to get listed and the companies are no longer the best of the best. A company is not a good investment solely because it goes public.
A company will have an IPO to raise money. It is also an exit strategy for the founders and initial investors. This also makes mergers and acquisitions easier as they can attract talent using equity as buying power.
An IPO is good for a company because it provides lower cost of capital. It improves the prestige and the image of the company, allows for better talent acquisition and allows them to raise the most money. The cons of an IPO are the in depth financial disclosure, no demand for the stock, public info may help their competition, loss of control if voting rights are offered and an increased risk of legal issues.
The offer price is set by the company based on the perceived demand for the stock and what they feel the market capitalization of the company is. If there is high demand, it will trade higher than the IPO in the secondary market. This means the company left money on the table. Once the stock is sold, proceeds go to whoever sold the stock post IPO on the secondary market. This could be founders or institutional investors for example.
After the IPO, the stock trades on a public stock exchange. There is very little technical and fundamental information aside from what is in the prospectus. Often times, the stock surges post-IPO then comes back to earth. This is often due to the lock up period where company insiders sign an agreement not to sell shares for a specified period of time. Once this period expires, this can create tremendous bearish pressure on the stock.
The bottom line is, unless you are an institutional investor it is very difficult if not impossible to get your hands on the initial offering. Your only chance is likely to buy shares from the secondary market, after market demand or supply sets the price. The best strategy is to invest in an IPO because you like the company, not simply because of the IPO or your intentions to do a short term hold and flip.
