Due Diligence During the M&A; Process - Part 1
Information as Currency - Why a Seller Short-changes Due Diligence at its own Peril. George P. Shenas, Esq. hosts Marcus H. Klebe, Esq., Attorney with George P. Shenas, Incorporated. George asks Marcus about the importance of due diligence in M&A; transactions, and Marcus begins by defining due diligence and then explaining how undertaking a systematic review of ones own enterprise gives a seller leverage during subsequent negotiations. Marcus and George encourage the full and honest disclosure of facts, even unfavorable ones, as part of the process the key is placing all facts in their proper context, and painting a comprehensive picture of the enterprise that will hold up under close scrutiny and yet secure the highest possible purchase price. Marcus emphasizes the need to maintain the buyers confidence throughout the due diligence process, because trust is an essential component to speedy and mutually-favorable negotiations. George and Marcus agree that any financial or other projections relayed by the seller at the outset of the M&A; negotiations must be met, or preferably exceeded, during the weeks and months leading up to closing in order to avoid the risk of significant price erosion.

Private Equity: The Consolidation Play and Due Diligence - John Poerink, Linley Capital
A consolidation play looks like an easy winner in the private equity world. Roll up a number of companies in the same industry and you've got scale and pricing power, among other good things. There's just one problem -- such plays are really hard to pull off. Due diligence is the key, the more thorough the better. But even then, surprises can lurk and assumptions can prove wrong. Its feels good to be rewarded for your hard work and diligence and that’s what the Kid Cudi concert on January 6th was all about for Risa and me. If you haven’t noticed yet Risa and I are music lovers and we really appreciate when our favorite musicians pay us a visit in Milwaukee. Its been a long while now that we’ve both been listening to Cudi’s music and when we heard he was performing at the rave we knew that we wanted to hook him up with a thank you gift, a Risa Marie original. For weeks I had been making phone calls to arrange an exchange. I called Def Jam, I called Motown, I called Phylicia Fant like 12 times, I even text messaged Rhymefest for the number to Good Music, but no answers. We brushed it off and just said we’ll be the first ones to the show and hold the portrait up in the front row. Then about 4 days before the show my friend Frankie Flowers texts messages me that he is supposed to open up for Cudi and if we came with him as his support then we’d get backstage passes! We damn near jumped threw the roof after hearing that. We stayed up almost 2 whole nights working on the portrait and everything else for it and printed it out at Digicopy hours before the concert. We felt like we had all the time in the world because we were getting backstage passes so there was no need to wait in any lines. But, as you know, come prime time the plans change. Due to some over booking error Frankie was redirected to perform on a different stage and our passes wouldn’t give us access to the stage Cudi was going to play on. I know that’s some bull crap right? I wasn’t going to let that stop us though, especially after al the hard work Risa put into that piece of art and her dream of giving it to Kid Cudi. I went and found the stage manager and told him everything that was going on and convinced him to put Risa’s large portrait of Cudi in his dressing room. He gave me his word that it would get there but for insurance we kept a smaller version of the portrait with Risa to try and hold up during the show.
By the time Frankie got done with his set and we made it over to the main stage the floor was packed! There was no way to get to the front let alone a decent spot to watch the show from. So I did something I’ve never seen any else do at a general admission concert, I asked people to let me walk in front of them. No aggravated pushing and lieing about sick friends who are dyeing of imaginary diseases that only direct eyesight of the performer can cure. No, I just asked people, one at a time. I told them what happened and showed them the portrait and sure enough we made it from behind the left speakers to 4 rows away from center stage before we faced a frigid wall of un-inspirable stubborn fans who had been standing their just a little too long to move now. The Show was great. It was a lot harder to film because of all the bumping bodies but I think I scored some nice shots.
After it was all said and done we waited by the stage to see if any one, especially Cudi, would come out to meet and great the fans. Apparently Cudi was out as soon as he wrapped up his encore but luckily for us Plain Pat and Emile wondered back out on stage. With the help of a few Risa Marie converts, the people we convinced to let us in front of them, we flagged them down off stage and Emile was kind enough to take our small portrait back with him to Cudi. As we waited for him to come back I could see the hope and the worry building up in Risa’s eyes as security began to sweep the crowd out side. We lingered and stalled as much as we could, and thank God we did. We must have been standing no more than 50ft away from the exit when I spotted Emile portrait in hand scanning the crowd for Risa. Risa’s hard work was not for naught. Her eyes light up with pure joy when she read the words Cudi left for her on the piece.
Dream on
“NICE!”
Hopefully Cudi found his gift from us, a 24 x 36 version of her work, and will be framing it and putting it on his wall.
Peace

FLANNERY // the DUE DILIGENCE
I shot this video at my favorite old bar in the East Village. People have said New York is changing and it's true. Since I shot this footage two years ago, this bar has renovated (completely gutted / re-fitted) and most of the people you see in this video were fired. I just recently heard the deli next door is closing, too.
This is a song about ghosts. I wrote it about the disparity between how important things feel in the present and how silly they seem once they've past. This goes double when you consider how much stuff we do for the sake of posterity.

CRUCIFIXION // the Due Diligence
Every year growing up, the people of my hometown of Chatham, NJ would bring their discarded Christmas trees to the lumber lot outside of town to set them ablaze ritually. It was a picture of community, all the Hoos of Hooville circling round to watch the holiday effigy; a holocaust of burning dreams.
In 2008, (with Max Cohen) I went home to film the bonfire's last year. I've had the footage sitting on a shelf till this year - in launching the Mail Order for the Due Diligence's "I Will Wreck Your Life" LP, I realized that the album opener "Crucifixion" deals with a lot of the same questions as my experience of the yearly tree fire. So I combined this footage with some found portraiture.
"Crucifixion" can be found on the Due Diligence's "I Will Wreck Your Life"

Persevering to a Sacred History
Fourth Sermon in our "Sacred Marriage" series based upon the book "Sacred Marriage" by Gary Thomas
While at Baptist Bible College it was common to have conversations with a friend about some gal that had captured their heart and now they were considering asker her to marry them. My standard reply was to imagine falling into a dark bottomless pit and all the way down you could see the words flashing in neon "Forever Forever Forever" It was a not so subtle reference to the bottomless pit that Satan will be cast into one day.
There would be an occasional chuckle, or nervous laugh, but the truth was in our minds that marriage was a serious undertaking that impacted the rest of your life. In 1870 a wife would be lucky if her husband lived past the time the youngest child left home. In 1911 the average marriage lasted 28 years. By 1967 that average had reached 42 years. Paul Harvey got to the point that he wouldn't even mention your anniversary unless it was 60 and most of the time 70 years of marriage.
Now 70 years of marriage would seem like an eternity to most folks. But with medical care advancing, if a couple stays together, it is no big deal anymore to see at least their 50th anniversary. We have at least three folks in our church that have been married over 60 years.
What this means is that you hae an opportunity to build a real history with each other. Now with digital cameras, you might be able to remember it all.
HISTORY AS A TIMELINE:
With our American brains we see time as a line with various dates and events marked on it. It is a linear view of history. Time is the determiner of when things happen. We got married May 18 1974. We had children on such and such a date, we bought this house on a certain date, we sold and bought another house, etc. The kids went to this school at such and such a date, graduated from High School College etc. Everything fits on the timeline of our life.
BIBLICAL VIEW OF TIME AND HISTORY
To understand how marriages have the opportunity to enjoy “Sacred History” it would be helpful to understand a Biblical view of History.
This is where an understanding of ancient Jewish view of History comes into play.
The ancient Hebrew perception of time was not abstract like our modern view; instead, it was connected to the idea of specific events, and because of this event specific orientation the people of Israel "found the idea of a time without a particular event quite inconceivable" [Von Rad, v. 2, page 100]. So, for the ancient Jews the concept of "time" was understood only in relation to particular events: There is a time of giving birth (Mic. 5:2), a time for animals to be gathered together (Gen. 29:7), a time when kings go forth to battle (II Sam. 11:1).
The tree yields its fruit 'in its time' (Ps. I. 3), and God gives his creatures food 'in due time' (Ps. CIV. 27); that is to say, every event has its definite place in the time-order; the event is inconceivable without its time... [Von Rad, v. 2, page 100].
Psalm 31:15 which reads, "My times are in thy hands" [KJV,RSV].
The Jews of David’s time did not think of time like we do, they viewed life as being made of many times, or a series of times.
BIBLICAL JEWS SAW GOD AS THE LORD OF HISTORY
Specifically, the Jews saw time as a series of specific events initiated by God. Time did not exist as an independent reality, but existed only in relation to divinely initiated events.
I will use my wife as an example of how the Jews viewed history.
My wife views our history not by dates but by whom she was pregnant with at the time. I’ll mention a partucular event and say when did that happen and she’ll say – well it had to be so and so year because Redeptshe was pregnant with Tonya or somebody else. If it happened when she wasn’t pregnant with any one, she can’t remember it or can’t recall the year. Her concept of time is totally event related.
All of their festivals and observances celebrated a redemptive act of God. The exact time was not important, but their celebration and identifying with what God did was important.
I believe in heaven that time will cease to exist. We will simply live in events in happenings. We’ll be able to participate in the crossing of the Red Sea. We’ll be able to watch as Jesus feeds the multiture. We’ll watch as Peter walks and then falls into the Sea. We’ll watch as Jesus rescues him.
It won’t be a movie, it will be the real thing. Time will cease to exist, and we will be totally event oriented.
It will be totally about seeing how God has redeemed us and mde us trophies of His grace.
GOD’S RELATIONSHIP WITH ISRAEL
Karl Barth (a famous theologian) was challenged by an atheist to prove the existence of God. His reply was quite simple - the Jew. For over 4000 years the Jews have kept a separate identity while all the other races of man came and went. Yet the Jewish people with their worship of Yahweh has continued on in spite of losing their land, being persecuted in coun
