William Morrow and Company is an American publishing company founded by William Morrow in 1926. The company was acquired by Scott Foresman in 1967, sold to Hearst Corporation in 1981, and sold to the News Corporation in 1999. The company is now an imprint of HarperCollins.

William Morrow has published many renowned fiction and non-fiction authors, including Ray Bradbury, Elmore Leonard, Neal Stephenson, Erle Stanley Gardner, B.H. Liddell Hart, Neil Gaiman and Michael Chabon.

Francis Thayer Hobson was President and later Chairman of the Board of William Morrow and Company.^[1]

A company is a business organization. It is an association or collection of individual real persons and/or other companies, who each provide some form of capital. This group has a common purpose or focus and an aim of gaining profits. This collection, group or association of persons can be made to exist in law and then a company is itself considered a "legal person". The name company arose because, at least originally, it represented or was owned by more than one real or legal person.

In the United States, a company may be a "corporation, partnership, association, joint-stock company, trust, fund, or organized group of persons, whether incorporated or not, and (in an official capacity) any receiver, trustee in bankruptcy, or similar official, or liquidating agent, for any of the foregoing."^[1] In the US, a company is not necessarily a corporation.^[2]

In English law and in the Commonwealth realms a company is a body corporate or corporation company registered under the Companies Acts or similar legislation.^[3] It does not include a partnership or any other unincorporated group of persons, although such an entity may be loosely described as a company.

Meaning and definition[link]

A company can be defined as an "artificial person", invisible, intangible, created by or under Law, with a discrete legal entity, perpetual succession and a common seal. It is not affected by the death, insanity or insolvency of an individual member.

The English word has its origins in the Old French military term compaignie (first recorded in 1150), meaning a "body of soldiers",^[4] originally taken from the Late Latin word companio "companion, one who eats bread with you", first attested in the Lex Salica as a calque of the Germanic expression *gahlaibo (literally, "with bread"), related to Old High German galeipo "companion" and Gothic gahlaiba "messmate". By 1303, the word referred to trade guilds. Usage of company to mean "business association" was first recorded in 1553 and the abbreviation "co." dates from 1769.

History[link]

According to one source, "it may be formed by Act of Parliament, by Royal Charter, or by registration under company law (referred to as a limited liability or joint-stock company)."^[5] In the United Kingdom, the main regulating laws are the Companies Act 1985 and the Companies Act 2006.^[5] Reportedly, "a company registered under this Act has limited liability: its owners (the shareholders) have no financial liability in the event of winding up the affairs of the company, but they might lose the money already invested in it".^[5] In the USA, companies are registered in a particular state—Delaware being especially favoured—and become Incorporated (Inc).^[5]

In North America, two of the earliest companies were The London Company (also called the Charter of the Virginia Company of London)—an English joint stock company established by royal charter by James I of England on April 10, 1606 with the purpose of establishing colonial settlements in North America—and Plymouth Company that was granted an identical charter as part of the Virginia Company. The London Company was responsible for establishing the Jamestown Settlement, the first permanent English settlement in the present United States in 1607, and in the process of sending additional supplies, inadvertently settled the Somers Isles, alias Bermuda, the oldest-remaining English colony, in 1609.

There are various types of company that can be formed in different jurisdictions, but the most common forms of company (generally formed by registration under applicable companies legislation) are:

• A company limited by guarantee. Commonly used where companies are formed for non-commercial purposes, such as clubs or charities. The members guarantee the payment of certain (usually nominal) amounts if the company goes into insolvent liquidation, but otherwise they have no economic rights in relation to the company. This type of company is common in England. A company limited by guarantee may be with or without having share capital.
• A company limited by shares. The most common form of company used for business ventures. Specifically, a limited company is a "company in which the liability of each shareholder is limited to the amount individually invested" with corporations being "the most common example of a limited company. This can be a public company or private company."^[1] This type of company is common in England.
• A company limited by guarantee with a share capital. A hybrid entity, usually used where the company is formed for non-commercial purposes, but the activities of the company are partly funded by investors who expect a return. This type of company may no longer be formed in the UK, although provisions still exist in law for them to exist.^[6]
• A limited-liability company. "A company—statutorily authorized in certain states—that is characterized by limited liability, management by members or managers, and limitations on ownership transfer", i.e., L.L.C.^[1]
• An unlimited company with or without a share capital. A hybrid entity, a company where the liability of members or shareholders for the debts (if any) of the company are not limited. In this case doctrine of veil of incorporation does not apply.

Less commonly seen types of companies are:

• Companies formed by letters patent. Most corporations by letters patent are corporations sole and not companies as the term is commonly understood today.
• Charter corporations. Before the passing of modern companies legislation, these were the only types of companies. Now they are relatively rare, except for very old companies that still survive (of which there are still many, particularly many British banks), or modern societies that fulfil a quasi regulatory function (for example, the Bank of England is a corporation formed by a modern charter).
• Statutory Companies. Relatively rare today, certain companies have been formed by a private statute passed in the relevant jurisdiction.

Note that "Ltd after the company's name signifies limited company, and PLC (public limited company) indicates that its shares are widely held."^[5]

In legal parlance, the owners of a company are normally referred to as the "members". In a company limited or unlimited by shares (formed or incorporated with a share capital), this will be the shareholders. In a company limited by guarantee, this will be the guarantors. Some offshore jurisdictions have created special forms of offshore company in a bid to attract business for their jurisdictions. Examples include "segregated portfolio companies" and restricted purpose companies.

There are however, many, many sub-categories of types of company that can be formed in various jurisdictions in the world.

Companies are also sometimes distinguished for legal and regulatory purposes between public companies and private companies. Public companies are companies whose shares can be publicly traded, often (although not always) on a regulated stock exchange. Private companies do not have publicly traded shares, and often contain restrictions on transfers of shares. In some jurisdictions, private companies have maximum numbers of shareholders.

Robert John Wagner (born February 10, 1930) is an American actor of stage, screen, and television, best known for starring in the television shows It Takes a Thief (1968–70), Switch (1975–78), and Hart to Hart (1979–84). In movies, Wagner is known for his role as Number Two in the Austin Powers films (1997, 1999, 2002). He also had a recurring role as Teddy Leopold on the TV sitcom Two and a Half Men.

Wagner's autobiography, Pieces of My Heart: A Life, written with author Scott Eyman, was published on September 23, 2008.

Early life and career[link]

Wagner was born in Detroit, Michigan. He is the son of Hazel Alvera (née Boe), a telephone operator, and Robert John Wagner Sr., a traveling salesman who worked for the Ford Motor Company. His paternal grandparents were born in Germany.^[1][2] Wagner has a sister, Mary. He graduated from Santa Monica High School in 1949.^[3]

He made his film debut in The Happy Years (1950). He was signed by agent Henry Willson and put under contract with 20th Century-Fox, where he gained attention with a small but showy part as a shellshocked soldier in With a Song in My Heart (1952). This led to star roles in a series of films including Beneath the 12-Mile Reef (1953) and Prince Valiant (1954), and White Feather (1955, with Debra Paget and Jeffrey Hunter), A Kiss Before Dying (1956, a rare villainous role) and Between Heaven and Hell (1956).

Wagner appeared with veteran actor Clifton Webb in Stars and Stripes Forever (1952) and Titanic (1953). Wagner starred opposite Steve McQueen in The War Lover (1962). Roles soon followed in The Condemned of Altona and The Pink Panther.

Career rise[link]

In 1967, Wagner signed with Universal Studios. In 1968, Lew Wasserman convinced Wagner to make his television series debut in It Takes a Thief. While the success of The Pink Panther and Harper began Wagner's comeback, the successful two and a half seasons of his first TV series completed it. In this series, he acted with Fred Astaire, who played his father. Wagner was a long-time friend of Astaire's, having gone to school with Astaire's eldest son, Peter. Wagner was suggested to play James Bond after On Her Majesty's Secret Service was released.^[4]

In 1972, he produced and cast himself opposite Bette Davis in the television movie Madame Sin, which was released in foreign markets as a feature film.^[5] and was a regular in the BBC/Universal World War II prisoner-of-war drama Colditz until its end in 1974. He reunited with McQueen, along with Paul Newman and Faye Dunaway, in the disaster film The Towering Inferno released in the same year.

By the mid-1970s, Wagner's television career was at its peak with the television series Switch opposite Eddie Albert, after re-signing a contract with Universal Studios in 1974. Before Switch, Albert was a childhood hero of Wagner's, after he watched the movie Brother Rat along with a few others. The friendship started in the early 1960s, where he also co-starred in a couple of Albert's movies. After the series' end, the two remained friends until Albert's death on May 26, 2005. Wagner spoke at his funeral, and gave a testimonial about his longtime friendship with him.

In part payment for starring together in the Aaron Spelling and Leonard Goldberg production of the TV movie The Affair, Wagner and Natalie Wood were given a share in three TV series that the producers were developing for ABC.^[6] Only one reached the screen, the very successful TV series Charlie's Angels, for which Wagner and Wood had a 50% share, though Wagner was to spend many years in court arguing with Spelling and Goldberg over what was defined as profit.^[7]

Wagner and Wood acted with Laurence Olivier in Cat on a Hot Tin Roof (as part of Olivier's UK television series Laurence Olivier Presents). Wood also made a small cameo appearance in the pilot episode of Wagner's own television series, Hart to Hart.

His third successful series was Hart to Hart, which co-starred Stefanie Powers. Before those roles, Wagner also made guest appearances in the pilot episode of The Streets of San Francisco. He would later be nominated for an Emmy Award for Best TV Actor for his performance in It Takes a Thief and for four Golden Globe awards for his role as Jonathan Hart in Hart to Hart.

Return to film and television[link]

Wagner's film career received a revival after his role in the Austin Powers series of spy spoofs starring Mike Myers. Wagner played Dr. Evil's henchman Number 2 in all three films: Austin Powers: International Man of Mystery (1997), Austin Powers: The Spy Who Shagged Me (1999) and Austin Powers in Goldmember (2002).

He also became the host of Fox Movie Channel's Hour of Stars, featuring original television episodes of The 20th Century-Fox Hour (1955), a series which Wagner had appeared on in his early days with the studio.

In 2005, Wagner became the television spokesman for the Senior Lending Network, a reverse mortgage lender and in 2010 began as a spokesman for the Guardian First Funding Group, also a reverse mortgage lender. As of June 2011, Guardian First Funding was acquired by Urban Financial Group, who continue to use Mr. Wagner as their spokesperson.^[8][9]

In 2007, Wagner had a role in the BBC/AMC series Hustle. In season four's premiere, Wagner played a crooked Texan being taken for half a million dollars. As Wagner is considered "a suave icon of American caper television, including It Takes a Thief and Hart to Hart", Robert Glenister (Hustle's fixer, Ash Morgan) commented that "to have one of the icons of that period involved is a great bonus for all of us".^[10]

Wagner also played the pivotal role of President James Garfield in the comedy/horror film Netherbeast Incorporated (2007). The role was written with Wagner in mind. He had a recurring role of a rich suitor to the main characters' mother on the sitcom Two and a Half Men. His most recent appearances on the show were in May 2008.

Wagner's radio and television career was recognized by the Pacific Pioneer Broadcasters on January 30, 2009, when they presented him with their Art Gilmore Career Achievement Award.

Wagner has guest-starred as Tony's father, Anthony DiNozzo Sr., in three episodes of NCIS: "Flesh and Blood" (2010), "Broken Arrow" (2010), and "Sins of the Father" (2011). He was set to star as Charlie in the 2011 reboot of Charlie's Angels, but due to scheduling conflicts, had to exit the project.^[11]

Personal life[link]

In his memoirs, Wagner claims to have had affairs with Yvonne de Carlo, Joan Crawford, Elizabeth Taylor, Anita Ekberg, Shirley Ann Field and Joan Collins.^[12] He had a four-year romantic relationship with Barbara Stanwyck after they acted together in the movie Titanic (1953).^[13] Because of the age difference – he was 22, she was 45 – they kept the affair secret to avoid damage to their careers.^[14]

On December 28, 1957, Wagner married Natalie Wood when he was 27 and she was 18. They separated in June 1961 and divorced on April 27, 1962.

While working on location in Europe, Wagner reconnected with an old acquaintance, actress Marion Marshall. In the spring of 1963, after a brief courtship, Wagner, Marshall, and her two children from her marriage to Stanley Donen moved back to America.^[4] Wagner and Marshall married on July 22, 1963, in the Bronx Courthouse. Soon after, they had a daughter, Katie Wagner (born May 11, 1964). The two were together for nearly nine years before they separated in late 1970. They were divorced on April 26, 1971. Wagner's only grandchild is Katie's son, Riley John Wagner-Lewis (born 21 September 2006).

In 1971, Wagner was briefly engaged to Tina Sinatra.^[4]

Wagner kept in contact with Natalie Wood, whose short-lived marriage to Richard Gregson ended in early 1972. Wagner remarried her on July 16, 1972. Their only child, Courtney Wagner, was born on March 9, 1974. On November 29, 1981, Natalie Wood drowned near their yacht Splendour while it was moored near Catalina Island; also on board were Wagner and Christopher Walken, who was co-starring with her in the motion picture Brainstorm. Wagner subsequently became the legal guardian of Wood's daughter Natasha Gregson. He is estranged from Natalie Wood's sister Lana Wood,^[15] who claims Wagner refused to let her see her nieces after Natalie Wood's death.^[16] In November 2011, the Los Angeles County Sheriff's Department reopened its investigation into Wood's death.^[17][18] Wagner is not considered a suspect.^[19]

In early 1982, Wagner began a relationship with actress Jill St. John, who coincidentally was a childhood acquaintance of Natalie Wood and Wagner's Hart to Hart co-star Stefanie Powers, as well as starring alongside Natalie's sister Lana Wood in Diamonds Are Forever. The couple had first met in the late 1950s when Wagner was an up-and-coming actor and St. John was a teenage starlet. After an eight-year courtship, they were married on May 26, 1990.

Urijah Christopher Faber^[1] (born May 14, 1979) is an American mixed martial artist currently fighting as a bantamweight in the Ultimate Fighting Championship organization. Faber won the WEC featherweight championship at WEC 19 on March 17, 2006 and held the title for over two years until his loss to Mike Brown at WEC 36 on November 5, 2008. As of November 2011, Faber is ranked the #2 bantamweight in the world by Sherdog.^[2]

Faber is a Brazilian Jiu-Jitsu brown belt under Fabio "Pateta" Prado,^[3] who, under Carlson Gracie Jr., is a 5th degree black belt.

Early life[link]

Faber was born on May 14, 1979, in Isla Vista, California, to Theo and Suzanne Faber, and grew up in Lincoln. He is of Dutch descent on his fathers side and Italian descent on his mothers side.^{[citation needed]} He went to Glen Edwards Middle School for Jr. High and Lincoln High School for high school.^[4] He has two siblings, an older brother named Ryan and a younger sister named Michaella. His sister almost died after a Thanksgiving 2011 car accident.^[5] Faber graduated from the University of California at Davis with a Bachelors degree in human development.

Mixed martial arts career[link]

Faber made his professional MMA debut as part of the Gladiator Challenge promotion on November 12, 2003, defeating Jay Valencia by a guillotine choke at 1:22 of round 1. Faber then defeated George Adkins by TKO (strikes) on February 12, 2004, earning a shot at GC Bantamweight champion, David Velasquez. On June 6, 2004, Faber defeated Velasquez by unanimous decision, becoming the new GC Bantamweight champion. In his first title defense, Faber defeated Del Hawkins by TKO(strikes) at 3:19 of the first round on August 19, 2004. After this fight, Faber began to take fights in both GC and King of the Cage, GC's parent promotion.

Upon moving to KOTC, Faber defeated Rami Boukai by majority decision on September 24, 2004, barely a month after his last fight. On November 14, 2004, Faber defeated Eben Kaneshiro by submission (strikes) to win the KOTC Bantamweight championship, co-holding it with the GC Bantamweight title.

On March 13, 2005, Faber made his return to GC, defeating David Granados by rear naked choke at 2:13 of round 1. On May 7, 2005, he defended his KOTC belt for the first time, defeating Hiroyuki Abe by TKO (cut) at 2:37 of the third round. Returning to GC on September 10, 2005, Faber had his first defeat, losing the GC Bantamweight championship to Tyson Griffin by TKO (strikes) at :05 seconds of round 3.

On October 29, 2005, Faber defended his KOTC title again, defeating Shawn Bias by guillotine choke at 1:24 of the first round. He returned to GC on December 11, 2005, defeating Charles Bennett by rear naked choke at 4:38 of round 1. Faber then fought at a TKO Major League MMA event on January 8, 2006, facing Ivan Menjivar. Faber won by disqualification at 2:02 of the second round when Menjivar landed an illegal kick to a downed Faber.

World Extreme Cagefighting[link]

On March 17, 2006, Faber competed for the first time in the World Extreme Cagefighting promotion, beating Cole Escovedo by second round doctors stoppage and winning the WEC Featherweight Championship. On May 13, 2006, he fought for the KOTC Bantamweight title for the third time, defeating Charlie Valencia by rear naked choke at 3:09 of the first round. Faber then returned to GC July 1, 2006 and defeated Naoya Uematsu by TKO(strikes) at 3:35 of round 2 to reclaim the GC Bantamweight championship, thus holding three titles at once. Faber then took a fight in the Full Contact Promotions organization on September 9, 2006, defeating Enoch Wilson by TKO (strikes) at 1:01 of the second round. On October 28, Faber returned to KOTC and defended his title for the fourth and last time, defeating Bibiano Fernandes by TKO (cut) at 4:16 of round 1. Faber later vacated his KOTC and GC titles upon signing a contract with the WEC after it was purchased by Zuffa in December 2006.

At WEC 25: McCullough vs. Cope on January 20, 2007, Faber defended his WEC Featherweight title for the first time since winning it ten months prior, defeating Joe Pearson by submission(strikes) at 2:31 of the first round. At WEC 26: Condit vs. Alessio on March 24, 2007, he successfully defended his title for a second time by defeating Dominick Cruz by guillotine choke at 1:38 of round 1, the only loss on Cruz's record.

At WEC 28: WrekCage on June 3, 2007, Faber defeated Chance Farrar by rear naked choke at 3:19 of the first round. In his postfight interview, Faber called out K-1 Hero's 2005 middleweight (154 lb) tournament champion Norifumi Yamamoto, though this fight has yet to take place. After this match, Faber took a six month break between fights, the longest of his career. He came back at WEC 31: Faber vs. Curran on December 12, 2007, defeating Jeff Curran by guillotine choke at 4:34 of the second round. Also on this card was the WEC debut of Jens Pulver, who was moving back down to featherweight from the 155 lb lightweight division. In Jens WEC debut, he submitted Cub Swanson in the first round of their match setting up a title match between Pulver and Faber. Pulver and Faber both commented in their postfight interviews that they wanted to fight each other, and the match was signed for June 1, 2008 at WEC 34: Faber vs. Pulver. Faber and Pulver fought a constant back-and-forth battle, but neither man was able to finish the other and the fight went the full five rounds, the first time in Faber's WEC career that one of his fights had gone the distance. The judges scored the bout a unanimous decision for Faber, 50–45, 50–44 and 50–44. This fight also marked both the first time that one of Pulver's fights at featherweight had gone to decision and the first time Pulver had been defeated at that weight class.

Losing the title[link]

Faber was next scheduled to fight Mike Brown at WEC 36 on September 10, 2008 at the Seminole Hard Rock Hotel and Casino in Hollywood, Florida. However, this fight was postponed due to the threat of Hurricane Ike and was rescheduled for November 5, 2008 at the same location. Faber was defeated via TKO at 2:23 of the first round.

Road back to the title[link]

On January 25, 2009 at WEC 38 Faber fought Jens Pulver in a rematch, with Faber winning by guillotine choke at 1:34 of the first round. Post-fight, Faber addressed WEC featherweight champion Mike Brown, who was seated at ringside and announced he wanted a shot at regaining his title. When Brown made his first successful title defense at WEC 39 in Corpus Christi, Texas, he responded to Faber's comments by saying that a rematch between the two of them was something "the fans want to see."

Faber was defeated a second time by Mike Brown at WEC 41 on June 7, 2009 by a unanimous decision (49–46, 49–46 and 48–47) in front of his hometown crowd in Sacramento. Early in the fight, Faber broke his right hand and later dislocated his left thumb, resorting to using primarily elbows and kicks starting in round 3. Nonetheless, even in the fifth round Faber threw 15 left hooks or jabs, many of which connected. Sherdog and ESPN.com in a post-fight article noted that Faber's "right hand was no match for the top of Mike Brown's head." Immediately after the fight, Faber stated that despite the close (but controversial nevertheless) decision, he would still like another fight against Brown. Though a lot of people thought Faber's incredible heart and performances in rounds 1, 3 and 5 did enough to win himself (Faber) the fight, as Faber very easily won first round, out-striking Brown and then suffering those hand injuries at the end of the round and controlled rounds 3 and 5 with multiple accurate and quick leg and body kicks as well as in round 5 surprisingly left hook and jabbing strikes. However Brown won round 2 dominantly and won round 4 closely, which is what the judges thought was more significant to give Brown the controversial decision victory.

Faber appeared on WEC 43 as a guest commentator and returned to action in January. He submitted Brazilian jiu-jitsu black belt, Raphael Assuncao via rear naked choke in third round at WEC 46,^[6] earning the Submission of the Night award.^[7]

With the victory over Assuncao, Faber earned a shot to fight Jose Aldo for the WEC Featherweight Championship on April 24, 2010 at WEC 48.^[8] He was dominated throughout the fight by Aldo, mostly by his kicks that sent him to the canvas several times. Faber lost via unanimous decision.^[9]

Move to Bantamweight[link]

Faber decided to move down to Bantamweight after his defeat by Jose Aldo at featherweight. Faber was set to move back down to bantamweight against Japanese striker Takeya Mizugaki on August 18, 2010 at WEC 50.^[10] However, Faber was forced off the card with an injury. As a result, Mizugaki was also pulled from the event.^[11] Faber defeated Mizugaki via first round rear naked choke at WEC 52, earning Submission of the Night honors.^[12][13] With the victory over Mizugaki, Faber won his ninth WEC bout, a promotional record he shares with Antonio Banuelos and Poppies Martinez.

Ultimate Fighting Championship[link]

On October 28, 2010, World Extreme Cagefighting merged with the Ultimate Fighting Championship. As part of the merger, all WEC fighters were brought over to compete in the 2 new weight divisions.^[14] Upon his UFC debut, Faber was the only WEC fighter to compete in the promotion before Zuffa, LLC owned them, compete exclusively for the WEC until the UFC/WEC merger, and then move over to the UFC.

Faber defeated former WEC Bantamweight Champion Eddie Wineland via unanimous decision in his UFC debut on March 19, 2011 at UFC 128.^[15]

A rematch with Dominick Cruz, whose only defeat came by Faber in 2007, took place on July 2, 2011 at UFC 132, in which Faber lost via unanimous decision, the bout earned Fight of the Night honors.^[16]

Faber faced Brian Bowles on November 19, 2011 at UFC 139.^[17] Faber defeated Bowles via second round submission (guillotine choke), earning Submission of the Night honors. Faber is now expected to fight a trilogy with Dominick Cruz.^[18]

Following his win at UFC 139, Faber was selected to be a coach on The Ultimate Fighter: Live opposite Dominick Cruz.^[19] Following the conclusion of the reality show, Faber/Cruz III was expected to take place on July 7, 2012 at UFC 148.^[20] However, Cruz was forced to pull out of the bout citing ACL injury.^[21] Faber will remain on the card and face Renan Barão in a bout for the UFC Interim Bantamweight Championship.^[22]
